TERMS & CONDITIONS GOVERNING THE SOLE SELLING AGENT Sealed tenders are invited for Six Sets of 28 weekly lottery (each set comprising of 28 weekly lottery Schemes i.e 4 draws daily) by the under signed, acting for and on behalf of the Governor of Punjab, from bonafide agent of sound financial standing for appointment as Sole Selling Agent for the marketing of lottery tickets of the following schemes, on an all sold basis, Tender for each set in the attached prescribed performe must be accompanied by Earnest Money of Rs. 1.30 Crore only (Rupees One Crore Thirty lakh only) in the shape of a Bank Draft in favour of Director, Punjab State Lotteries, Chandigarh. One Set (comprises of 28 Weekly Lottery schemes- Joker / Card games). The prize structure of each Weekly Lottery scheme is tentatively as under:1. Weekly Lottery Scheme i) The weekly lottery Scheme comprises of 7.20 lac tickets having MRP of Rs.2/- per lottery. The prize structure of each Weekly Lottery scheme is tentatively as under:A. 12,10,000 The rates be given per 1.20 lac tickets for MRP of Rs.2.00. The Sole Selling Agent, keeping in view the market condition, may exercise the option to change the scheme of different MRPs, as mentioned above. However, the decision with regard to change of schemes will be taken by the Director Punjab State Lotteries, at his sole discretion, keeping in view the market conditions and revenue interest of the State and the same shall be final and binding on the Sole Selling Agent. In the eventuality of change of MRP, the tendered rate accepted for MRP of Rs.2.00 will be increased proportionately. For example, if the rate for MRP of Rs.2.00 for 1.20 lac tickets if it is say Rs. 2,40,000/- , it will be Rs. 4,80,000/- in case of tickets of MRP of Rs. 4.00.

The fourth digit shall be drawn out of 1 / 2 / 3 / 4 / 5


There are 120 combinations and 6000 tickets in each combination numbering 0000 - 5999 will be printed. Hence minimum tickets to be printed will be 7.20 lacs.

Total tickets : ii) The tickets shall be issued to the Sole Selling Agent on all-sold basis and no ticket shall be taken back as unsold. iii) The Parties quoting the higher bid/ rates for each Set or as the case may be, will have first option of choosing the timings. iii) In case the tenderer offer to lift more number of tickets (in multiple of 1.20 lacs only) then he will have to pay the rate as offered in the scheme. In that case the prize structure will be increased proportionately except the first prize. If at any subsequent stage he fails to lift the additional number of tickets he shall have to pay damages equal to the amount of face value of those unlifted tickets. The scheme can be changed whenever it is required as per market conditions in consultation with SSA. However, the decision of the Government will be final and binding on the Sole Selling Agent and the prize structure to the winners will not be less than 75% of the face value of the tickets printed

MINIMUM GUARANTEED REVEUE i) The minimum reserve price for lifting of tickets will be Rs.2, 12,400/- per 1.20 lac tickets.

_____________________________________________________________________________ ii) The agent will be required to deposit Minimum Guaranteed Revenue ( i.e Rate of per lac tkts offered less Guaranteed prize as per scheme) for at least 15 days equivalent amount seven days prior to draw. iii) The agent will be required to deposit initially, before conducting the first draw, two days sale proceeds to be calculated on the face value of tickets. iv) v) The prizes up to 10,000 will paid by the SSA to the winners as per scheme. Claim of prizes/Commission as per scheme lodged by the Sole Selling Agent on the Government, if not paid immediately shall be considered as payments against face value of tickets of further draws. As soon as the bills of such claims are paid the amount to the extent of tickets are already issued against security of such claims, shall be recovered and deposited to the Treasury. Detailed report including claimed and unclaimed prize winning tickets will be generated from the master server. Agent have to submit the claim of commission on date of draw. vi) The Sole Selling Agent will submit the physical prize winning tickets within 30 days from the date of draw & the final adjustment will be made after the physical verification by the counting committee constituted by the Department. vii) After thirty days on submitting the prize winning tickets by sole selling agents, if any difference between the actual prizes claimed as per the report from the server and total prize claimed or benefit given in the Clause V above, the sole selling agent will be liable to pay penalty equal to ten times of the difference. 3 QUALIFICATIONS:(A) The net worth of the bidding entity alone shall not be less than Rupees Ten crore on the date of submission of tender or as on 31.03.2012. A certificate to this effect from a Chartered Accountant or the balance sheet showing the net worth as on date certified by a Chartered Accountant, as the case may be, shall be enclosed with the tender.

_____________________________________________________________________________ (B) The bidder should have experience of at least one year for conducting lottery as distributor/sub distributor in any State of India during the last fifteen years. ADDITIONAL INFORMATION TO BE SUBMITTED ALONG WITH DOCUMENTERY PROOF AT TIME OF SUBMISSION OF TENDER i) The Legal Status of the bidder along with documentary proof i.e. whether it is sole proprietorship, Private Limited Company or Partnership firm. In case of partnership firm, it shall be registered and proof thereof be attached. ii) The experience of the bidder in the lottery trade if any, in the capacity of Sole Selling Agent/Sole Distributor/Sole Stockiest/Agent of any state Government(s). iii) A list of immovable assets and bank balances as on 31.3.2012 of the Sole Proprietor/Partners of the partnership firm/Directors of the Company running lottery business in the Punjab State or any other State. If any immovable assets is pledged, mortgaged or if any loan is taken against immovable assets, the same shall be properly reflected in the list for which a certificate from a Chartered Accountant be enclosed. iv) Whether any of the partners/proprietors/directors of the tendering party are also partners/proprietor/directors of any other company running lottery business in Punjab State or any other State. v) Whether any of sister concern or parties mentioned above have tendered for the same lottery in any other name and style. vi) The tenderer shall be income tax Assesses having PAN.

_____________________________________________________________________________ vii) Latest Income Tax Assessment Order and Latest Income Tax Return.

IMPORTANT NOTES 1 The bidder may submit the tender for any number of sets. He Shall separately bid for each super set and has to enclose the earnest money deposit, for requisite amount , for each super set as explained above. Any tender/offer without requisite earnest money amount is liable to be rejected. 2 In case the tender document has been downloaded from the Internet the bidder would need to enclose an additional demand draft of Rs.10,000/(Rupees Ten Thousand Only) on account of tender document charges, for each set tender submitted. 3 4 Any conditional/ incomplete tender will be rejected. The Government reserves the right to accept or reject any or all tenders without giving any reasons. 5 The earnest money received from the unsuccessful tenderers, except Ist highest to 2nd highest, will be returned without interest any time after the opening of tenders. 4. i) ON ACCEPTANCE OF BID THE SUCCESSFUL BIDDER HAS TO COMPLY / FULLFILL THE FOLLOWING TERMS AND CONDITIONS.Successful tenderer (s) shall be required to execute agreement with the Department immediately on the issue of acceptance letter of tender and shall be required to complete/fulfill all formalities/requirements to enable the department to hold the first draw within thirty days from signing of agreement or as the case may be. The tenderer may be given 30

_____________________________________________________________________________ days time to setup the infrastructure to run the lottery or as the case may be but he has to conduct the first draw definitely within thirty days from signing of agreement or which ever is earlier. In case the successful tenderer fails to execute the agreement or fails to complete any of the formalities, to hold the draw within the specified period of time, his earnest money shall be forfeited and offer to market the lottery tickets shall be treated as withdrawn. The earnest money of the remaining tenderers, except the successful tenderer (s), will be returned after/on the finalisation of tender process. ii) The successful tenderer shall have to furnish a Bank Guarantee of Rs.155 lacs or equivalent amount of Minimum Guaranteed Revenue for two months , which ever is higher within 21 (twenty one) days from the issuance of acceptance letter of tender but definitely before the signing of the agreement. The validity of the bank guarantee shall be for a period of one year from the date of Ist draw, with a moratorium period of three months. iii) The Sole Selling Agents shall have to deposit Minimum Guaranteed Revenue to be calculated on the basis of rates offered for each lottery. The agent will be required to deposit Minimum Guaranteed Revenue for at least 15 days equivalent amount seven days prior to draw so as to enable the Department to issue print/release orders to the printer failing which the SSA shall have to pay a penalty of Rs.10,000/- for each delayed day for each scheme in addition to any other action to be taken against him

_____________________________________________________________________________ under the terms & conditions. The said amount will be adjusted against the sale proceeds for that particular draw. iv) The SSA shall make the payment of prizes up to the value of Rs.10,000/to the prize winners on behalf of the Government within Ten days from the date of draw/publication of result in the government gazette whichever is earlier and seek reimbursement, if any, within thirty days from the date of draw or as provided in the Punjab State Lotteries Rules, 1998, whichever is earlier. However, time can be extended by the Principal Secretary Finance in the Department of Finance. To ensure the payment of prizes by the SSA, if the Government/Department deems it proper during the period of contract, may require the SSA to furnish sound security equal to the amount of prizes of one draw of each scheme or as provided in the Rules ibid, whichever is more, which shall be furnished by him within fifteen days from the date of communication received from the Government/Department. However, this time can be extended by the Director Lotteries for a period of another fifteen days on the request of the S SA. v) The prizes which remain unclaimed or otherwise not disbursed by way of prizes shall revert to and become the property of the State Government. To determine the unclaimed/undisbursed prizes amount which are to become the property of the State Government on the basis of prize winning tickets, the appropriate decision will be taken by the Tender Committee. This can be by way of actual counting of tickets drawn from all the draws from an independent agency and expenditure

_____________________________________________________________________________ on this account shall be got reimbursed from the Sole Selling Agent. On the basis of this exercise the Tender Committee may fix the amount to be recovered from the Sole Selling Agent on unclaimed/undisbursed prizes for total period of the Agency/contract and the said decisions shall be binding on the Sole Selling Agent. In case the SSA fails to submit the prize-winning tickets, the quantum of recovery for the

unclaimed/undisbursed prize amount shall also be separately decided by the Tender Committee and its decision shall be binding on the Sole Selling Agent. vi) If the SSA does not lift the tickets already printed in full or part, he shall have to pay damages equal to the amount of the Minimum Guaranteed for the draws for which tickets have not been lifted or as the amount of damages decided by the Government. vii) In case the Sole Selling Agent desires to drop the marketing of tickets at his own will, he shall have to give a prior notice of thirty days or to pay penalty of an amount equal to the Minimum Guaranteed Revenue, to be earned by the Govt for thirty days or Rupees 78 lacs whichever is higher. a. If he marketing the tickets of b. ..more than one Set , for the Punjab Govt, he shall have to first drop, the marketing of tickets of the Set, being operated by him at the lowest rate, at that time and then the next lowest and so on in that order, on the terms and condition provided in the agreements of those super sets.

Where he is marketing tickets for only one set, he shall have to give a prior notice of thirty days or pay a penalty equal to the Minimum Guaranteed Revenue, to be earned by the Govt for thirty days or Rs.78 lacs whichever is higher. viii) The Lotteries (Regulation) Act 1998 and Lotteries (Regulations) rules 2010 will be part and parcel of the document. 5. i) IMPORTANT GUIDELINES/INSTRUCTIONS The time of draw would be specified and the draw shall be arranged by the Director of Lotteries on behalf of the Government. The Department can hold more draws of various lottery schemes at the same time. It will be binding on the Sole Selling Agent. ii) The successful tenderer shall have to bear all the expenses viz. the payment of stockistship commission to various stockiests appointed by the Sole Selling Agent; expenditure on the supply of tickets to agents and stockiests; printing of office stationery; invoice books; payment of collection charges of prize winning tickets; maintenance of accounts at his office and submission of regular accounts to the department and other misc. expenditure. The bidder shall have to bear all expenses for creation of the infrastructure required for running the weekly lotteries. iii) iv) The result publicity shall be done by the Department. The Department shall arrange the printing of lottery tickets of each Weekly draw and deliver it to the Sole Selling Agent at the place mutually agreed upon in Punjab. The style and form of lottery tickets shall be as such as may be designed by the Department.

_____________________________________________________________________________ v) The agents commission will be settled/ paid/adjusted in the purchase advance. Sole Selling Agent will deposit amount in shape of DD, along with purchase advance amount, equivalent to the amount of TDS so required to be deposited as per the guidelines of the income tax department. vi) The delivery of tickets shall be made in advance as per the decision of the Director Lotteries. vii) In case there is loss of tickets in transit due to any valid reasons the same shall be notified by the Director, Punjab State Lotteries in the newspapers. However, in case the tickets are once handed over to the Sole Selling Agent or to his duly authorised stockist or Sub-agent and there is loss of tickets due to any reason, no compensation of any kind would be allowed to the Sole Selling Agent. viii) The draw will be conducted by the Department and the place for holding the draw shall be located within the State of Punjab and Director Lotteries shall be competent to fix the same and to change it subsequently depending upon the circumstances. ix) Every lottery shall have one draw in a week. The draws of all kind of lotteries shall be conducted between the period as prescribed in the Lotteries (Regulations) Rules 2010. However, Director Punjab State Lotteries shall be competent to change the timings/method of draw as and when required depending upon the circumstances and lottery market conditions and may also consult the SSAs in this regard, if need be.

_____________________________________________________________________________ x) No draw will held on National Holidays. xi) The result of the draw shall be got published by the Department in the newspapers to be decided by the Director, Punjab State Lotteries. However, a certified copy of the result will be supplied to the SSA immediately after the draw. xii) The result of the draw shall be notified in the Gazette of Punjab Government. xiii) The Sole Selling Agent can make publicity for the promotion of the lottery provided that the publicity shall in no way undermine the image of the Government. xiv) In case of any default dues and damages shall be recovered from the Sole Selling Agent by invoking Bank Guarantee and by forfeiting security/colateral security, as the case may be. xv) The Government can recover any of its dues from the Sole Selling Agent by any method i.e. by invoking bank guarantee as arrears of land revenue or by Civil Suit etc. xvi) The Sole Selling Agent shall conduct the business in accordance with the law / rules and regulations as may be in force in various States/Union Territories of India and shall pay Sales Tax / VAT or other taxes, levies, octroi etc., as may be applicable from time to time. However, the Service Tax on Lotteries of or any other Tax on Lotteries imposed by the Center Government from time to time will be borne by the bidder. xvii) Director, Punjab State Lotteries or his nominee may, at any reasonable time, enter into the premises of Sole Selling Agent and inspect the

_____________________________________________________________________________ account pertaining to the lottery and may call for any information in this regard. xviii) The agreement will remain in force for a period of one year from the date of first draw. The agreement may be extended on mutual consent, at the sole discretion of the Punjab Government, for a further period of two years (on year to year basis). xix) Director Lotteries may terminate the contract without any notice, and without any payment of money, for violation of any condition of contract, mis-conduct or erratic running of lottery without any sufficient cause, non-payment of prizes payable by the Agent, fraud, etc. xx) The Director Lotteries may also terminate the contract if the State/Central Government take such a policy decision or there is any judgment of any Court of Law regarding the Lottery. xxi) There is Tax on lotteries in Punjab. However Tax on Lotteries and any other tax on Lotteries in the State of Punjab, will be paid by the Directorate of Punjab State Lotteries. Further the service tax on lotteries or any other tax on lotteries imposed by the Centre Government from time to time will be born by the bidder. xxii) In addition to above, any condition can be modified or added subsequently if prescribed by the Central Government or the State Government. xxiii) In case of any dispute, which may arise between the Tenderers/ Sole Selling Agent and Director Punjab State Lotteries, Principal Secretary

_____________________________________________________________________________ Finance will be the Sole Arbitrator and his decision shall be final and binding.

6.

Permission to sell Punjab Lottery through website/Internet as Additional Marketing Strategy The Government at its sole discretion may allow the sole selling agents to sell part or all lottery tickets through web site/ internet mode as additional market strategy. The permission in this regard will be allowed on the following conditions:1) Sale of tickets through Internet will be governed strictly for the particular lottery. 2) The Tickets for particulars lottery schemes (s) both sold through conventional retail outlets and Internet outlets will not exceed the total number of tickles of that particular lottery scheme. 3) The total number of lottery tickets with numbers fed in the Server Machine for selling through Internet and number of sold and number of tickets in hand with tickets numbers be notified

through Internet before commencement of draw of particular scheme and a written statement thereof shall also be submitted to this Department. 4) The programming shall be so configured as to ensure that as soon as particular ticket number is sold, the number of the ticket shall be eliminated from the list of the tickles available for sale. 5) The Internet system being used will be subject to system audit both at back-end and in the front end at the dealer level by any audit agency appointed by the Directorate of Lotteries, The SSAs will have to bear the expenditure incurred by the department on

_____________________________________________________________________________ the system audit, The SSA will ensure compliance with the suggestions of the independent audit company. 6) The Central Computer Server which accepts, process, store and validate each transaction must be under the direct control of the Director Punjab State Lotteries within the State of Punjab. 7) The Management Information System shall provide detailed information regarding the complete scheme and each and every transaction such as on the following to the Director, Punjab State Lotteries from time to time through Dealer Control Panel: 1. Passwords Master Passwords / Sub Password, 2. Agent Identity Code No. 3. Sub Agent Registration. 4. Sub Agent List. 5. Sub Agent wise daily sales. 6. Scheme/Stock availability. The SSA will have to ensure that the application software interface have some minimum common features and

functionalities to ensure a high level of reliability, security, redundancy, scalability and manageability. The Sole Selling Agent will provide the entire feature related with the sale, encashment etc. of tickets as in master server. 8) The Central Computer System installed by agent under the control of the Government i.e office of Director, Punjab State Lotteries at Mohali and operation be done under the strict control and supervision of the Directorate of Punjab State Lotteries, The Central Computer System shall be equipped with all the desired information by maintaining redundancy at the office of Director. 9) The Sole Selling Agent will have to use pre printed and pre numbered stationary for printing of cash receipts at the retail outlets. The same will be provided by the Government however the cost of this will be recovered from the concerned agent.

_____________________________________________________________________________ 10) No information regarding Punjab Lotteries other than the lottery results duly signed by the Governments officer(s) and

advertisements duly approved by the Director, Punjab State lotteries shall be fed/ passed through INTERNET channel. 11) No separate draws shall be conducted for those lotteries sold partly or fully through INTERNET. 12) All expenditure on creation of Central Computer System Infrastructure ,assets, expenditure on men power, management, connection charges, other charges etc. shall be borne by Sole Selling Agent. 13) The Sole Selling Agent will ensure the compliance all rules, laws, regulations and orders and in the event of any violation responsibility will rest on the Sole Selling Agent and he will be liable to compensate the Government in case of any loss / damages suffered by the Government. 14) The permission to sell lottery tickets is subject to the territorial jurisdiction of Punjab and sole Selling Agents has to submit undertaking that they are not marketing any tickets through Internet out side the territorial jurisdiction of Punjab and the territorial jurisdiction of Punjab will not be violated in any event. 15) A detailed contract documents comprising of service level agreement and operating procedures as per the Model Agreement issued by the Ministry of Home Affairs will be executed at the government level. 16) In case there is violation of any of the terms and conditions mentioned above, the permission granted can be taken back by the Government without any notice or compensation of any kind. 17) In case of any loss to the Government due to sale of tickets though Interne the permission will be withdrawn.

_____________________________________________________________________________ 18) The permission being given in provisional and can be withdrawn at any time by the Government without assigning any reason and the SSA will not be entitled to any damages/ loss on creation of infrastructure etc. The use of such discretion by the Government will be binding on the SSA. 19) The Sole Selling Agents shall ensure that receipts/ cash memo as proof of purchase of tickets being generated at the terminals bear the logo of the Punjab Government. 20) As per the scheme sanctioned for each draw, the number of tickets to be sold through Internet for each draw will be intimated to the Director atleast on week in advance. 21) In the event of any loss accrued to the Government due to the actions on the part of the Sole Selling Agent or an interse dispute between the Sole Selling Agent and its sub-Agents /Retailers or any other person in regard to the Sale tickets or any other reason, the Governments shall be at liberty to withdraw this permission, the decision of the Government in this regard will be final and binding on the Sole Selling Agent. 22) The Sole Selling Agents shall not market/ sell or engage in sale of lottery tickets of any other State(s) except Punjab State Lotteries on terminals installed in Punjab for sale of Punjab State Lotteries tickets through website/ internet. Further, the Punjab State Lottery tickets shall not be sold on any terminals installed in Punjab for sale of lottery tickets of any other State(s) Furthermore, the Government will have the absolute right to check or stop any such activity being carried on in violation of above mentioned conditions on such terminals. 23) In case there is violation of any of the terms and condition mentioned above, the Government will have the absolute right to

_____________________________________________________________________________ withdraw this permission and the Sole Selling Agent shall not be entitled for any compensation of any kind. 24) The compliance of above mentioned conditions are a pre condition for the sale of tickets of Punjab State Lotteries on terminals through Internet/Website. 7. (i) The interested parties are requested to send their offers in the enclosed proforma to this Directorate by 3.00 p.m on 20.02.2013. (ii) The offers shall be in two- separate envelopes. Envelope No.1 shall contain information as asked for in Proforma -I along with all relevant documents including earnest money. This will be qualifying bid. It shall be clearly mentioned on the both the envelopes "INVITATION OF BIDS FOR SET OF WEEKLY LOTTERIES, 2013/3 a. Envelope No.2 (in Profoma-1I) shall contain the Financial Bid, indicating rate of lifting of tickets per lac for MRP of Rs 2/- as specified in the Scheme. b. The offers received thereafter or without earnest money shall be considered invalid. Any conditional/incomplete tender shall be rejected. c. The tenders (Qualifying Bid) will be opened on the same day 20.02.2013 at 3.05 p.m in the presence of representatives of the tenderers, who wish to attend. The date and time of opening of the Financial Bids of those tenderers considered eligible after qualifying bid will be decided by the Tender Committee and conveyed to the representatives of the tenderers.
