1 INTRODUCTION
Regenesys UK Limited has been invited to provide a proposal for the installation of renewable energy systems at Lansdowne Village Hall, Calne. Following a site visit it was agreed that the appropriate technologies were a Ground Source Heat Pump (GSHP) for space heating in the building and Solar Photovoltaic (PV) panels for the generation of electricity. This document provides a costed proposal detailing how this may be achieved.

2 REQUIREMENTS
The space heating requirement is to supply a ground source heat pump to heat the building through the existing under floor system which is currently supplied by two gas boilers, i.e. there are two discreet systems. It is intended that both the current under floor systems will be supplied by a single heat pump. This is considered in detail in section 5. The electricity requirement is to design and install a Solar PV system that will contribute towards the electrical consumption of the building and with the proposed introduction of the feed in tariffs should generate some income for the hall. This is covered in more detail in section 6.13 and the size of system is considered in section 6.2.

3 LOCATION OF BUILDING/PROPERTY
The aerial photograph of the property (before the latest extension) is shown below:

4 PLANNING PERMISSION
No Planning Permission is required for the installation of the ground source heat pump. In the case of solar panels if the property/building is in a conservation area, is a listed building, in an Area of Outstanding Natural Beauty (AONB) or National Park planning permission is normally required. The Town and Country Planning (General Permitted Development) (Amendment) (England) Order 2008 was recently passed and came into force in England on the 6 th April 2008. This normally allows homeowners to install solar panels without needing to seek planning permission. Solar panels must not protrude more than 200mm from the roof slope, and stand alone panels must not exceed 4m in height, 9 square metres in area or stand less than 5m from the property boundary. Notwithstanding this it is advisable to contact your Local Planning Authority and Building Control to inform them what you are intending to install.

5 GROUND SOURCE HEAT PUMP SYSTEM


5.1 Heat Pump Overview Heat pumps are amongst the most efficient heating and hot water systems available today. As the diagram below shows they operate by absorbing a large quantity of lowgrade energy from the environment and raise to a level where it can be used to produce hot water and heating.

Step 1: A large quantity of energy absorbed from the environment is transferred to the refrigerant inside the heat pump (evaporator). This causes the temperature of the refrigerant to rise (even at sub-zero temperatures) causing it to change from a liquid to gaseous state. Step 2: The refrigerant is then compressed, using an electrically driven compressor, reducing its volume but causing its temperature to rise significantly. Step 3: A heat exchanger (condenser) then extracts the heat from the refrigerant to heat water for central heating, underfloor heating or domestic hot water. Step 4: After giving up its heat energy the refrigerant turns back to a liquid and after passing through an expansion valve can once again absorb energy from the environment, restarting the cycle. Heat pumps are so efficient because for every 1kW of electricity used to power the compressor, between 3kW and 4kW of heating energy are produced, giving an efficiency of 300-400%.

Heat pumps have two common forms, air source which absorb energy directly from the air, and ground source which absorb energy from the ground. It is also possible to extract energy from water where there is a sufficient and convenient body of water available. As can be seen from the table below both air and ground source heat pumps perform well by comparison with other forms of heating in terms of both cost and reducing CO emissions:

5.2

Peak Heat Load The peak load at Lansdowne Hall is estimated at between 30kW and 35kW based on the plan provided and an annual gas usage of approximately 68,000 kWh per annum. The heat pump proposed (see below) has a peak output of 32kW. We would suggest that one, or even both, gas boilers could be retained as a top up for the heat pump in the coldest weather. They could also then act as a backup in the unlikely event of a problem with the heat pump. If the gas boiler(s) were retained they would be integrated with the heat pump so that the heat pump would normally provide the full heat load but in the coldest weather (the actual temperature would be adjustable) the gas boiler(s) would also be switched on.

5.3

Heat pump ground collectors There is insufficient space available at the hall to install horizontal collectors so the recommended approach would be to drill 6 boreholes to a depth of 100m and install 40mm collector loop in each. The boreholes need to be positioned a minimum of 6m apart which should be no problem in the area identified (on the somewhat out-of-date aerial image) below:

The header pipes from the boreholes would then be led to an external manifold chamber and from there a flow and return pipe would be led to the heat pump itself. There is very limited room available within the hall to site the heat pump itself so it is likely that the heat pump would be sited externally, within an enclosure similar to the picture below, and then insulated heating pipes would be run into the building. The buffer store, ie cylinder, would need to be housed inside the building.

Heat Pump Specification The heat pump we would propose to install is a Kensa 32kW twin compressor model, as highlighted below:

6 SOLAR PV SYSTEM
6.1 Available Roof Area There is a south facing roof available and a large east/west facing roof. Avoiding the shading on the former leaves an available roof area of @ 15m x 6m. Obviously if grant funding could be obtained for a larger system then the east/west roof could also be used but initially we have assumed use of the south facing roof which will produce the maximum efficiency from the panels. 6.2 Solar PV Panels Solar PV collectors are designed to generate electricity, which is normally fed through an inverter and back to the grid in what is known as a grid connected system see diagram below.

Solar PV System Regenesys UK is an authorised installer of Schott products and the Solar PV collectors proposed will be of a similar design to the example shown below.

Schott Solar PV Collector Schott 165W Collectors are proposed. Each collector is rated at 165W (peak). The dimension of each panel is 1620x810mm. Each panel weighs 15.5kg.

The performance of solar PV systems is impossible to predict with certainty due to the variability in the amount of solar radiation (sunlight) from location to location and from year to year. This estimate is based upon the Governments standard assessment procedure for energy rating of buildings (SAP) and is given as guidance only. It should not be considered as a guarantee of performance. Note that the grid connection of PV systems is governed by G83/1 and G59/1 recommendations. Under G83/1 Solar PV systems of up to 16 amps per phase are allowed providing the Distribution Network Operator (DNO) is notified within 28 days of commissioning. Solar PV systems larger than 16 amps per phase require discussions with and permission from the DNO before any installation takes place. The size of system proposed falls within the G83/1 requirements (i.e. less than 16 amps per phase). 6.4 Proposed Array As agreed the array will be two rows of 18 panels mounted in a portrait orientation on the south facing roof. They will need to be positioned so that no shadow is cast from the main building. 6.5 Method of Installation The panels will be fitted using an on roof mounting kit that consists of roof anchors, base rail and fixings.

Cabling There will be a need to run the cables from the panels to the inverter and from the inverter to existing consumer unit.

Inverter The dc output from the panels is converted into a standard supply (240v, 50Hz) using inverter(s), which have a conversion efficiency of approximately 95%. The inverter generates grid quality power with a maximum Total Harmonic Distortion (THD) of less than 4% and is fully protected. Although the inverter is sealed to IP65 standard and is completely weatherproof. It will be installed in the loft together with the OFGEM meter. The specification of the inverters is as follows:

Duration of Installation Normally an installation of this size takes about 3 to 4 days to complete. The main factor is the condition and the construction of the roof and how easily the roof anchors can be installed. If the roof tiles/slates are of good quality and are of a standard size then standard roof anchors can be fitted. Where the roof tiles/slates are in a poor condition or particularly large then specially modified roof anchors are required that take longer to install. Sometimes the true extent of the roof tiles/slates is not apparent until the installation begins. Please note that the health and safety of our installation staff is our highest priority. Installing solar panels involves working at height and therefore any adverse weather represents a risk to our staff. Adverse weather conditions can therefore delay or extend the installation period.

6.10 Completion of Installation Once the installation is complete, tested and commissioned you will receive the relevant test certificates, commissioning certificate, user operating manuals and warranty information.

6.11 SSEG Registration Once the system has been installed Regenesys UK will register the system with your Distribution Network Operator (DNO*). Regenesys UK will complete a Small Scale Embedded Generation (SSEG) G83 commissioning document that details the system and the way it has been implemented, tested etc. This is a requirement for all Solar PV systems that are less than 16 amps per phase. Note however it is your responsibility to sign up with an electricity supplier that gives you the best arrangement with regards to electricity generation from Solar PV. *DNO include EDF Energy, United Utilities, Scottish & Southern etc.

6.12 Current Payback for Electricity Generated The current situation is described below. In some cases the electricity suppliers buy back schemes include the ROCS payments, ie the customer just receives payments from the suppliers who claim the ROCS on their behalf. In some scheme the customer has to claim the ROCS themselves. 6.12.1 Renewable Obligation Certificates (ROCS) The electricity regulator OFGEM manages ROCs. Under this scheme all renewable generators regardless of size are allowed to receive ROCs. Currently one ROC is given for every 1000kWh (1 MWh) of renewable electricity produced. They are worth @3-5p/kWh and are claimed on an annual basis from OFGEM. Two ROCs will be awarded for every 1 MWh of renewable electricity produced. Note that ROCs are rounded up to the nearest MWh from 0.5MWh upwards.

6.12.2 Electricity Export/Buy Back Schemes A number of Energy Companies operate an export/buy back scheme for the renewable electricity produced. An export meter can be installed which calculates the amount of electricity being exported rather than total generated. Exported energy is the extra energy produced by the renewable generator that is exported to the electricity network after the site (i.e. home, commercial property) has met its energy demand. The electricity company will pay for each kWh exported. The electricity company will stipulate if the meter is to be read by the owner or their own meter reader and whether the system owner will be paid annually or bi-annually. Export meters can be purchased from and installed by a local area meter operator. 6.13 Proposed Payback for Electricity Generated The Government is introducing the feed in tariff (probably renamed clean energy cash back) from April 2010. This is a scheme whereby the energy companies will buy the energy (total generation) produced by a solar PV system. The term of the tariff is 25 years. Currently the figure, which has been out for consultation, and should be ratified very shortly is 36.5p for every kWh produced for retro fit systems up to 4kW peak, and 31p for every kWh produced for retro fit systems between 4 and 10kW peak. Your system will qualify for the feed in tariff providing it is installed by an accredited MCS company. In addition to the payment above, which is for all electricity generated by the PV system whether consumed at the hall or fed back to the grid, there will obviously be a saving in your electricity bill based on the electricity you are generating, plus some of your output will be fed into the grid. There will be a second payment from your supplier for the electricity that is fed back but until the confirmed scheme is announced and the electricity suppliers amend their export buy backs schemes we wont know precisely what rates they will be offering.

7 GRANTS
There are two potential sources of grant available which are applicable to both the ground source and solar schemes: 1. The Low Carbon Buildings Programme Phase 2 Funding (up to 50%). This funding has been given an extra 30 million at the last budget and available from 1st July 2009. The programme is open to all products and installer companies registered on the Microgeneration Certification Scheme (MCS). We are MCS accredited (our number is MCS 1086). See http://www.lowcarbonbuildingsphase2.org.uk/page.jsp?id=33 2. The Community Sustainable Energy Programme (CSEP) scheme is potentially a source of grant funding (up to 50%). Please see http://www.communitysustainable.org.uk/ Sustainable Energy Programme (CSEP). Regenesys UK is an accredited designer, supplier and installer of renewable energy systems (solar thermal, solar PV and heat pump systems) under the Microgeneration Certification Scheme (MCS), which allows our customers to apply for grants available through the above schemes. Regenesys UKs certificate number is MCS1086. A grant must be approved before any installation work takes place.

8 WARRANTIES
Regenesys UK Limited is an authorised supplier distributor and installer of Schco Solar PV and Thermal panels. All Schott products have been accredited for use in the United Kingdom. The Schott Solar warranty is 2 years. The SMA inverter warranty is five years. The Kensa Heat Pump warranty is two years. Regenesys UK provides a 12 month warranty on labour.

9 SERVICE AND MAINTENANCE


Solar PV systems are very reliable and often require very little servicing and maintenance, as there are no moving parts in the PV panels. As the panels are normally installed at the same angle as the roof they keep reasonably clean through rainwater running over the PV panel surface. However if required we can offer a maintenance and safety inspection for the installation at a cost of 350 per visit. This could be annual but biennial or triennial would normally be quite sufficient. This covers the inspection of all connectors, cabling, control devices together with an inspection of the panels and the mounting frames. The ground source system should also have a long life and does not require annual servicing as would a gas boiler. But again, if required, we could provide a periodic check to ensure that fluid levels, pressures and operation of all pumps are to spec.

10 GROUND SOURCE COSTS


10.1 Assumptions The following assumptions are made: 1. There is access suitable for drilling rig and ancillary plant and material deliveries. 2. There is a suitable water supply for drilling. 3. Regenesys UK will take all reasonably practical measures to ensure that the ground is disturbed as little as possible and will replace and reinstate all disturbed ground. However this does NOT include landscaping, replacement of plants and shrubs, reconstruction of garden features, paths etc. 4. The building has a 3 phase electrical supply.

12 TERMS & ACCEPTANCE


Regenesys UKs terms and conditions are set out in Appendix 2. This quote is valid for 30 days. Should you wish to accept this proposal please sign below and return a signed copy to us. This proposal including the terms and conditions then becomes the contract. Please note that under our code of conduct we offer a seven working day cooling off period (section 4.6) after acceptance of our proposal quotation. This is to allow you to cancel the contract without penalty should you wish to do so. Once the contract is agreed and signed and the cooling off period has passed Regenesys UK will agree a suitable timetable with you for the installation. Appendix 2 Regenesys UK Limited - Terms and Conditions For Goods And Services
1. Application of Conditions The Supplier shall supply and the Customer shall purchase the Goods and Services in accordance with the quotation proposal, which is subject to these Conditions. The Contract shall be to the exclusion of any other terms and conditions subject to which any such quotation is accepted or purported to be accepted, or any such order is made or purported to be made, by the Customer. 2. Definition and interpretation 2.1 In these Conditions:"Business Day" means any day other than a Saturday, Sunday or bank holiday; "the Customer" means the person who accepts a quotation or offer of the Supplier for the sale of the Goods and supply of the Services, or whose order for the Goods and Services is accepted by the Supplier; Commencement Date means the commencement date for this agreement as set out in the quotation. "the Contract" means the contract for the purchase and sale of the Goods and supply of the Services under these conditions these Conditions means the standard terms and conditions of sale set out in this document and (unless the context otherwise requires) includes any special terms and conditions agreed in writing between the Customer and the Supplier; the Installation Date means the date on which the Goods and Services are to be installed as stipulated in the Customer's order and accepted by the Supplier; the Goods means the goods (including any instalment of the goods or any parts for them) which the Supplier is to supply in accordance with these Conditions month means a calendar month; the Services means the Services to be provided to the Customer as set out in the quotation the Supplier means Regenesys UK Limited, a company registered in England under company registration number 05620446; writing includes any communications effected by telex, facsimile transmission, electronic mail or any comparable means. 2.2 Any reference in these Conditions to a statute or a provision of a statute shall be construed as a reference to that statute or provision as amended, re-enacted or extended at the relevant time. 2.3 The headings in these Conditions are for convenience only and shall not affect their interpretation. 3. Basis of Sale and Service 3.1 The Supplier's employees or agents are not authorised to make any representations concerning the Goods and Services unless confirmed by the Supplier in writing. In entering into the Contract the Customer acknowledges that it does not rely on, and waives any claim for breach of, any such representations that are not so confirmed. 3.2 No variation to these Conditions shall be binding unless agreed in writing between the authorised representatives of the Customer and the Supplier. 3.3 Sales literature, price lists and other documents issued by the Supplier in relation to the Goods and Services are subject to alteration without notice and do not constitute offers to sell the Goods which are capable of acceptance. An order placed by the Customer may not be withdrawn cancelled or altered prior to acceptance by the Supplier and no contract for the sale of the Goods and Services shall be binding on the Supplier unless the Supplier has issued a quotation which is expressed to be an offer to sell the goods and services or has accepted an order placed by the Customer by whichever is the earlier of:3.3.1 the Supplier's written acceptance; 3.3.2 delivery of the Goods; or

3.3.3 the Supplier's invoice. 3.4 Any typographical, clerical or other accidental errors or omissions in any sales literature, quotation, price list, acceptance of offer, invoice or other document or information issued by the Supplier shall be subject to correction without any liability on the part of the Supplier. 4. The Goods 4.1 The Supplier will guarantee the Goods and Services supplied for a period of 12 months from the date of completion of the installation. However the same shall be null and void if the product or services, in the Suppliers opinion has been damaged by, or faults have arisen by accident, misuse, negligence, vandalism or burglary. In the event of a dispute the manufacturer of the goods in question will be final and binding by both parties. 4.2 No order submitted by the Customer shall be deemed to be accepted by the Supplier unless and until confirmed in writing by the Supplier's authorised representative. 4.3 The specification for the Goods shall be those set out in the Supplier's sales documentation unless varied expressly in the Customer's order (if accepted by the Supplier). 4. 4 The Supplier reserves the right to make any changes in the specification of the Goods which are required to conform with any applicable safety or other statutory or regulatory requirements or, where the Goods are to be supplied to the Supplier's specification, which do not materially affect their quality or performance. 4.5 No order which has been accepted by the Supplier may be cancelled by the Customer except with the agreement in writing of the Supplier on the terms that the Customer shall indemnify the Supplier in full against all loss (including loss of profit), costs (including the cost of all labour and materials used), damages, charges and expenses incurred by the Supplier as a result of cancellation. 4.6 All Customers have a 7 working day cooling off period after acceptance of the proposal quotation. During this period the customer may cancel the contract without penalty by contacting Regenesys UK Limited on 01226 747 219 or in writing to the address at the end of these Terms and Conditions. 5. Price 5.1 The price of the Goods and Services shall be the price listed in the quotation current at the date of acceptance of the Customer's order or such other price as may be agreed in writing by the Supplier and the Customer. 5.2 Where the Supplier has quoted a price for the Goods other than in accordance with the Supplier's published price list the price quoted shall be valid for 30 days only or such lesser time as the Supplier may specify. 5.3 The Supplier reserves the right, by giving notice to the Customer at any time before delivery, to increase the price of the Goods and Services to reflect any increase in the cost to the Supplier which is due to any factor beyond the control of the Supplier (such as, without limitation, any foreign exchange fluctuation currency regulation, alteration of duties, significant increase in the costs of labour, materials or other costs of manufacture), any change in delivery dates, quantities or specifications for the Goods and services which are requested by the Customer, or any delay caused by any instructions of the Customer or failure of the Customer to give the Supplier adequate information or instructions. 5.4 Except as otherwise stated under the terms of any quotation or in any price list of the Supplier, and unless otherwise agreed in writing between the Customer and the Supplier, all prices are inclusive of the Supplier's charges for packaging and transport as specified in the quotation. 6. Payment 6.1 All payments required to be made pursuant to this Agreement by either party shall be made within 7 days of the date of the relevant invoice, without any set-off, withholding or deduction except such amount (if any) of tax as that party is required to deduct or withhold by law. 6.2 The time of payment shall be of the essence of these terms and conditions. If the Customer fails to make any payment on the due date in respect of the price or any other sum due under these terms and conditions then the Supplier shall, without prejudice to any right which the Supplier may have pursuant to any statutory provision in force from time to time, have the right to charge the Customer interest on a daily basis at an annual rate equal to the aggregate of 4 per cent and the base rate of the Bank of England from time to time on any sum due and not paid on the due date. Such interest shall be calculated cumulatively on a daily basis and shall run from day to day and accrue after as well as before any judgement.

6.3 All payments shall be made to the supplier as indicated on the form of acceptance or invoice issued by the Supplier. 7. Delivery and Performance 7.1 The installation date is approximate only and time of installation shall not be of the essence unless previously agreed by the Supplier in writing. 7.2 If the Customer fails to take delivery of the Goods or any part of them on the Delivery Date and/or fails to provide any instructions, documents, licences, consents or authorisations required to enable the Goods to be delivered on that date, the Supplier shall be entitled upon given written notice to the Customer to store or arrange for the storage of the Goods and then notwithstanding the provision of Condition 9.1 of these Conditions risk in the Goods shall pass to the Customer, delivery shall be deemed to have taken place and the Customer shall pay to the Supplier all costs and expenses including storage and insurance charges arising from such failure. 7.3 With effect from the Commencement Date the Supplier shall, in consideration of the amount(s) being paid in accordance with the quotation, provide the services expressly identified in the quotation or otherwise agreed under this agreement. 8. Non-Delivery of Goods and Services 8.1 If the Supplier fails to deliver the Goods or Services and any of them on the Installation Date other than for reasons outside the Supplier's reasonable control or the Customer's or its carrier's fault:8.1.1 if the Supplier delivers the Goods and Services at any time thereafter the Supplier shall have no liability in respect of such late delivery; 8.1.2 if the Customer gives written notice to the Supplier within 7 business days after the Delivery Date and the Supplier fails to deliver the Goods and Services within 7 business days after receiving such notice the Customer may cancel the order and the Supplier's liability shall be limited to the excess (if any) of the cost of the Customer (in the cheapest available market) of similar goods to those not delivered over the price of the Goods not delivered. 9. Risk and Property 9.1 Risk of damage to or loss of the Goods shall pass to the Customer at:9.1.1 In the case of goods being installed by the Supplier, the time that the Supplier notifies the Customer that the installation is complete 9.2 Notwithstanding delivery and the passing of risk in the Goods, or any other provision of these Conditions, the property in the Goods shall not pass to the Customer until the Supplier has received in cash or cleared funds payment in full of the price of the Goods and all other goods agreed to be sold by the Supplier to the Customer for which payment is then due. 9.3 The Customer shall not be entitled to pledge or in any way charge by way of security for any indebtedness any of the goods which remain the property of the Supplier, but if the Customer does so all money owing by the Customer to the Supplier shall (without prejudice to any other right or remedy of the Supplier) forthwith become due and payable. 10. Assignment 10.1 The Supplier may assign the Contract or any part of it to any person, firm or company. 10.2 The Customer shall not be entitled to assign the Contract or any part of it without the prior written consent of the Supplier. 11. Defective Goods 11.1 If on installation any of the Goods are defective the supplier shall seek a repair or replacement under the manufacturers warranty.

12. Customers Default 12.1 If the Customer fails to make any payment on the due date then, without prejudice to any other right or remedy available to the Supplier, the Supplier shall be entitled to:12.1.1 cancel the order or suspend any further deliveries of Goods and Services to the Customer; 12.1.2 appropriate any payment made by the Customer to such of the Goods and Services (or the goods and services supplied under any other contract between the Customer and the Supplier) as the Supplier may think fit (notwithstanding any purported appropriation by the Customer); and 12.2 This condition applies if:12.2.1 the Customer fails to perform or observe any of its obligations hereunder or is otherwise in breach of the Contract; or 12.2.2 the Customer becomes subject to an administration order or makes any voluntary arrangement with its creditors (within the meaning of the Insolvency Act 1986) or (being an individual or firm) becomes bankrupt or (being a company) goes into liquidation; or 12.2.3 an encumbrancer takes possession, or a receiver is appointed, of any of the property or assets of the Customer; or 12.2.4 the Customer ceases, or threatens to cease, to carry on business; or 12.2.5 the Supplier reasonably apprehends that any of the events mentioned above is about to occur in relation to the Customer and notifies the Customer accordingly. 13. Liability 13.1 If the Supplier fails to perform the service with care and skill it will carry out remedial action at no extra cost to the Customer. If no remedial action is possible the Supplier will pay for the damage caused. 13.2 The Customer shall indemnify the Supplier against all damages, costs, claims and expenses suffered by the Supplier arising from loss or damage to any equipment (including that of third parties) caused by the Client, or its agent or employees. 13.3 Where the Customer consists of two or more persons such expression throughout shall mean and include such two or more persons and each or any of them. All obligations on the part of such a Customer shall be joint and several obligations of such persons. 13.4 The Supplier will advise to the best of its ability the requirements for planning permission. However both parties accept that any advice so given is not expert and is by way of opinion and experience only. If the Supplier advises the Customer that planning permission may not be required the Customer should seek confirmation from the planning office. In any case liability is solely that of the Customer. 14. Communications 14.1 All communications between the parties about the Contract shall be in writing and delivered by hand or sent by pre-paid first class post or sent by fax or sent by electronic mail: 14.1.1 (in the case of communications to the Supplier) to its registered office or such changed address as shall be notified to the Customer by the Supplier; or 14.1.2 (in the case of the communications to the Customer) to the registered office of the addressee (if it is a company) or (in any other case) to any address of the Customer set out in any document which forms part of the Contract or such other address as shall be notified to the Supplier by the Customer. 14.2 Communications shall be deemed to have been received: 14.2.1 if sent by pre-paid first class post, two Business Days after posting (exclusive of the day of posting); or

14.2.2 if delivered by hand, on the day of delivery; or 14.2.3 if sent by fax or electronic mail on a Business Day prior to 4.00 pm, at the time of transmission and otherwise on the next Business Day. 14.3 Communications addressed to the Supplier shall be marked for the attention of the Managing Director. 15. Force Majeure 15.1 In the event that either party is prevented from fulfilling its obligations under this Agreement by reason of any supervening event beyond its control including but not limited to war, national emergency, flood, earthquake the party shall not be deemed to be in breach of its obligations under this Agreement. The party shall immediately give notice of this to the other party and must take all reasonable steps to resume performance of its obligations. 15.2 Each party shall be liable to pay to the other damages for any breach of this Agreement and all expenses and costs incurred by that party in enforcing its rights under this Agreement. 15.3 If and when the period of such incapacity exceeds 6 months then this Agreement shall automatically terminate unless the parties first agree otherwise in writing. 16. Waiver No waiver by the Supplier of any breach of the Contract by the Customer shall be considered as a waiver of any subsequent breach of the same or any other provision. 17. Severance If any provision of these Conditions is held by any competent authority to be invalid or unenforceable in whole or in part the validity of the other provisions of these Conditions and the remainder of the provision in question shall not be affected thereby. 18. Third Party Rights A person who is not a party to the Contract shall have no rights under the Contract pursuant to the Contracts (Rights of Third Parties) Act 1999. 19. Governing Law and Jurisdiction These terms and conditions shall be governed by the laws of England and Wales and the parties agree to submit to the exclusive jurisdiction of the English and Welsh courts.
