Confidentiality/Work for Hire Agreement

Agreement made by and between Playgrounds & Blackeye Productions Inc, with official records office located at 8th
Floor, 1285 West Broadway, Vancouver, British Columbia V6H 3X8 c/o Thompson & Elliott (the “Company”) and Jayne
Courtney (the “Undersigned”) identified below.

1. Confidentiality: The Undersigned recognizes and acknowledges that the Undersigned will have access to certain confidential
information of Company and of entities affiliated with Company and that such information constitutes valuable, special and
unique property of Company and such other entities. The Undersigned will not, during or after the term of this Agreement,
disclose any of such confidential information to any person or firm, corporation, association or other entity for any reason or
purpose whatsoever.

2. Work For Hire: The Undersigned agrees that all of the services performed, and any creation resulting from those services,
(hereinafter the "Property"), whether directly or indirectly, shall be as a "work-for-hire" by the Undersigned for Company, as that
term is defined under the Copyright, Patent and/or Trademark Laws of either Canada or the United States. As between Company
and the Undersigned, all right, title and interest to the Property, including all elements thereof, whether preliminary or not, will at
all times belong solely and exclusively to Company throughout the world in perpetuity. Similarity, any and all materials, ideas, or
other creative property and the Undersigned's adaptations and arrangements thereof, created or furnished by the Undersigned
hereunder will belong solely and completely to Company for any use it may thereafter see fit and the Undersigned's services shall
be deemed those of an "work for hire" for copyright and patent purposes. Company may file for patent and copyright registration
of the Website in the Canadian and/or United States Copyright Office and in all countries of the world in the name of Company.
The Property shall include without limitation all elements, components, without limitation code, images, designs, created for the
website currently known as “PLAY INDIES” (hereinafter the “Website”) along with the benefit of all warranties and
representations received by the Undersigned from contributing creators or the Property and the results and proceeds of all services
rendered in connection therewith in whatever stage of creation or completion and all rights of every kind or nature, in any format
whether known or hereinafter invented or devised, in and to the Website. To the extend any property created by the Undersigned
would not transfer to Company by virtue of the law applicable to intellectual property rights conveyed herein, the Undersigned
hereby assigns, sells, transfers to Company all rights, titles or interests of every kind or nature in and to the Website and the Rights
related thereto including without limitation, each and every elements thereof and the results and proceeds of the services of all
persons from whom the Undersigned received contribution in connection with the Website. The Undersigned acknowledges and
agrees that an adequate allocation of the compensation received by the Undersigned has been for the rights herein conveyed.
