Background
On August 20, 2013, the New Hampshire Gaming Regulatory Oversight Authority ("Authority") issued a Request for Proposal ("RFP") pursuant to which it intends to retain two Consultants, a Gaming Consultant and a New Hampshire Regulatory Consultant. The general purpose of the RFP is to identify subject matter specialists capable of assisting the Authority in meeting its legal obligations under NH RSA 284A, as amended. Specifically, Chapter 284-A, which became effective on June 10, 2010, charges the Authority with making specific recommendations, as to policy, oversight and regulatory approach, with regard to New Hampshire's currently legal gaming sectors: lottery, charitable gaming, racing and simulcast wagering. It further mandates that the Authority complete a full assessment of the potential for expanded gaming in the form of one or more full-scale casino facilities as well as provide specific recommendations as to the integration of an expanded gaming sector into a robust regulatory environment. In response to the specific requirements articulated in the RFP, WhiteSand Gaming, LLC ("WhiteSand") submits the following qualifications for the Authority's consideration.

About WhiteSand
WhiteSand is a leading global gaming services firm providing gaming and hospitality consulting services to a substantial and diversified client base that includes gaming corporations, regulatory agencies, tribal governments, lotteries, racetracks, and resort hotels. Founded in 2001, the firm is headquartered in Las Vegas and maintains offices in Atlantic City, London, and Macau. Our team consists of experienced professionals having both executive level operational experience with some of the top gaming companies, senior level regulatory experience and extensive consulting experience as practice leaders for several of the Big Four consulting firms. WhiteSand provides consulting services to a wide variety of gaming and hospitality clients globally. Our services support our clients needs in technology, operations, and strategy during start-up and development, expansion, acquisition, down-sizing, and casino pre-opening. Related to this project, WhiteSand has provided similar services to the states of Maryland and New Mexico and the City of San Jose, CA. Recognizing that in the gaming industry most operational decisions have a regulatory compliance component, WhiteSand has formalized its regulatory advisory service offerings. Leading our regulatory advisory services practice is Maureen D. Williamson, Esquire ("Williamson"), whose broad experience as a senior level regulator, attorney and operations consultant in many new or emerging jurisdictions brings instant credibility and diverse experience to the practice. A regulatory subject matter specialist for WhiteSand since 2009, she has been involved in gaming either as a regulator, attorney or operational consultant for more than twenty-five years. A review of her Curriculum Vitae will establish that she is particularly well suited to providing the consulting services contemplated by the RFP. Williamsons areas of expertise include drafting of enabling legislation and operating regulations, design and evaluation of systems of internal control, technical standards for emerging technologies, facility development, feasibility determinations and the drafting and implementation of consulting, development and management agreements. Having been involved in gaming as both a regulator and as an operational consultant, she is known for designing regulatory schemes and developing minimum internal control and technical standards which ensure both the integrity and the profitability of the regulated entity. Williamson is well versed in industry best practices and her regulatory experience is broad. As noted in the enclosed Project Abstracts, through WhiteSand she is currently advising the Office of the City 3

Manager, City of San Jose, California on the sufficiency of the City's approach to regulation of its cardrooms including, but not limited to, advising on proposed Ordinance amendments, revised investigative practices and compliance testing methods, regulatory best practices and the organizational structure and staffing of its Division of Gaming Control. In a particularly relevant recent engagement, following a 2008 Referendum approving up to 15,000 video lottery terminals in five facilities within the State of Maryland, through WhiteSand Gaming she drafted for the Maryland Lottery and Gaming Control Agency VLT minimum internal control standards, technical standards, credit regulations and ancillary operating regulations. She also advised on licensing considerations and agency staffing and development. Williamson has also developed internal controls and consulted on facility design, licensing and/or operational prerequisites for new casino facilities in Maryland, Pennsylvania and New Jersey and has documented dexterity in National Indian Gaming Commission regulatory requirements. Prior to resuming private practice in 2007, Williamson served as the first Deputy Chief Counsel Operations (the position now known as Director of Gaming Operations) for the Pennsylvania Gaming Control Board (PGCB). In that capacity she authored all of Pennsylvanias initial regulations dealing with slot operations and educated and trained the audit, compliance and investigative staffs necessary to support the regulatory approach. Her work included a comprehensive treatment of the minimum technical standards applicable to slot machines and related systems and the design and development of accounting and internal control requirements addressing cashiers cage transactions, the proper recordation of gross revenue, casino floor and cage design, organizational structure, security and surveillance minimum staffing, surveillance system recording format specifications and remote system access. Her work also included development of the methodology by which Pennsylvania initially authorized the commencement of gaming operations, including the establishment of authorized gaming floor square footage and maximum number of gaming devices as well as provisions for tracking future floor modifications and expansions. Williamson coordinated the first three test periods for the PGCB, culminating with the November 2006 opening of Mohegan Sun at Pocono Downs, the December 2006 opening of Philadelphia Park Casino and the January 2007 opening of Harrahs Chester Casino and Racetrack. Before joining the PGCB, Williamson served in audit and regulatory prosecutor positions in New Jersey. From 1980 through 1985, Williamson served as the Manager of the New Jersey Casino Control Commissions Casino Accounting and Operations Unit (Commission). In that capacity she was responsible for the conduct of gross revenue audits as well as the review and approval of operating procedures including those related to accounting and internal controls, gaming equipment and rules of the games. During her tenure with the Commission she was responsible for evaluating and approving operating procedures for nine new gaming properties, authored a substantial number of significant amendments to NJAC 19:45, Accounting and Internal Controls [now NJAC 13:69D] and, as a member of the Commissions senior staff, consulted extensively with emerging gaming jurisdictions who sought input from New Jersey on the development of internal control regulations and operating procedures. From 1998 through 2005 Williamson served as a Deputy Attorney General assigned to the New Jersey Division of Gaming Enforcements Regulatory Prosecutions Bureau (Division). In that capacity she was involved in defining minimum technical standards covering many of the technological advances that came to fruition during that period including gaming voucher and electronic funds transfer systems, automated voucher redemption and jackpot payout systems and the use and taxation of cashable and noncashable promotional credits and coupons. She played a key role in the update and relaxation of New Jerseys credit regulations, has been involved in multi-jurisdictional regulatory efforts to define minimum digital recording standards for surveillance systems and was also heavily involved in reevaluating New 4

Jerseys regulatory limitations on multi-jurisdictional shared service agreements and other span of control issues. Williamson authored New Jerseys initial suspicious activity reporting regulations (SARC), which predated the federal requirements by a number of years, and supervised all SARC investigative efforts and database access requests. She consulted with FinCen on New Jersey compliance issues and worked collaboratively with the industry on the development of software applications to track potentially suspicious activity. Before joining the Division in 1998, Williamson was a partner in the law firm of Maley, Williamson, Hayden and Gmerek, PC and prior to that an associate with Pluese & Lihotz, PC. With both firms her practice was limited to gaming and land use. Her gaming related activities included operational audits, drafting and negotiation of management contracts and lease arrangements, consultation on enabling legislation and regulations, the design of systems of accounting and internal control and general regulatory compliance and oversight. Her gaming clients included operators in Puerto Rico, the Dominican Republic and the Turks and Caicos Islands. Her engagements included more than eight years of direct oversight of a large casino in the Dominican Republic and interaction with regulating authorities in all three Caribbean jurisdictions. Her land use activities included three municipal board solicitorships and practice before planning and zoning boards and related regulating entities. Development clients included a prominent regional hospital, large commercial and residential construction companies and several national retailers. Williamson has thus consulted with, and worked in, jurisdictions far less conventional than her state regulatory experience would suggest. She is conversant in the regulatory approaches of all of the jurisdictions cited in the RFP, many of which follow a general approach to regulation rooted in the New Jersey model over which she exercised so much influence over the years. Based on the totality of her experience she has a profound sense of what the minimum controls really are and how to implement them in a form that is meaningful, cost effective and promotes both the integrity and profitability of the gaming operation. She fully appreciates that while there are operational and regulatory gaming industry best practices to be observed, regulatory schemes are not one size fits all and that what works well for one jurisdiction may not, for example, be palatable for legal, cultural or other considerations in another. She, along with others on the WhiteSand team, would bring fresh perspective to the work that has been done to date by the Authority and in the New Hampshire Legislature. Because all of our team members have extensive senior level operational, technical and/or regulatory experience and a proven track record in designing, adapting and implementing compliant procedures WhiteSand is equipped to offer services on two distinct tracks - emerging and existing jurisdictions and compliance services for developers and operators. Regarding the fiscal and capacity requirements and other licensure considerations cited in the Scope of Work, WhiteSand has years of experience producing market demand and feasibility studies for investors, gaming operators and state agencies. These studies consider macro and micro economic factors, customer demographics, regional trends, future plans, current or proposed litigation, amenities, competition, project size, capacity and many other factors in presenting a comprehensive report. WhiteSand also creates, updates and validates financial projections for casinos and various support operations including hotel, food & beverage, retail, entertainment, golf, spa, and other amenities. These reports are often used in securing financial commitments from public and private investors. WhiteSand has conducted detailed market research in gaming jurisdictions throughout the U.S. and abroad, including Las Vegas, Atlantic City, Biloxi, California, Arizona, Louisiana, Indiana, New York, Washington, Connecticut, Caribbean, South Africa, Europe, and Russia. These reports reflect key measurement criteria such as segmented gaming revenues, competitor strategies, competitive play 5

analysis, physical structure, location, peer analysis, target market, management team and other valuable data items. In regard to technical specifications, WhiteSand has worked with jurisdictions, most recently Maryland, to determine and define technical standards for VLTs and related gaming devices in a manner that is to the financial and competitive advantage of the host jurisdiction by providing opportunity for the introduction of the latest and most popular games and innovative devices. Whether working with an emerging or existing jurisdiction, WhiteSand never loses sight of the fact that each regulating entity is subject to unique requirements and that procedures, methods and regulatory interpretations that are effective in one jurisdiction may not be applicable in another. Our focus is on ensuring that clients understand the options in regulatory approach realistically available to them and how each choice impacts financial and operational integrity as well as the ability of the jurisdiction to attract and maintain investment. Regulatory With multiple gaming markets opening and expanding in the U.S. , state and local governments and regulatory agencies have faced additional challenges and burdens. 6

WhiteSand has assisted several states regulatory bodies with the addition or expansion of gaming operations to their jurisdictional markets. From acting as a liaison to the new operations to developing strategies and regulations for agencies, WhiteSand has successfully assisted states and regulatory agencies in their efforts to expand revenues and create jobs by allowing gaming operations to enter into new markets. Lottery Our team members have significant lottery and gaming experience to complement their consulting skills, providing our clients with a partner to help achieve growth by deploying a team that is intimately familiar with the industry and its operations. WhiteSands system testing protocols are among the most extensive and efficient in the country. From Pick 3 to Lotto to PowerBall and MegaMillions, we have been able to work with lotteries and providers to review and certify individual games in as little as three weeks. Our approach is based on working with the selected provider to get the game up and running and revenues flowing as quickly as possible while protecting the lotterys interest. Our approach is very practical, driven to the success of the lottery. WhiteSand focuses on combining resources, skills, and industry experience, along with a formal methodology and technology skills, to provide our clients with best practices and solutions that are appropriate for their needs. Tribal American Indian Tribal Governments and Enterprises have an incredible opportunity to exercise sovereignty as individual nations and provide for future generations of the Tribe. The ability to succeed at this endeavor depends greatly on the proper structure of the Tribal Organization and management of the various Tribal Enterprises. For years, WhiteSand has partnered with Indian Tribes to assist in efforts to use casino gaming to strengthen Tribal governments, rebuild economies and improve communities. WhiteSand has provided both management and consulting services to a multitude of Tribal Nations. In addition, WhiteSand has assisted with many Tribal Organization reviews in terms of structure, efficiency, and overall strategy. Racing As one of the great sporting traditions throughout history, horse racing finds itself in a period of transition. In many areas of the country, racetracks are facing declining revenues and an inability to generate the purses necessary to fund horsemen. Many jurisdictions are turning to the installation of alternative gaming operations, including slots and tables, to supplement their racing industries and offset the cost of racetrack operations. WhiteSand has worked with racing clients to assist them in successfully implementing gaming operations and integrate them with existing racetracks.

Hospitality The Hospitality Industry, including lodging and food and beverage, is one of the most complex industries in which to enter and operate. From supply and demand, pricing, design and development, to customer service and guest satisfaction, the hospitality industry is subject to a plethora of variables that affect an operations success. In addition to gaming, WhiteSand has worked with many of the worlds largest and best-known hospitality brands including Marriott, Hilton, Intercontinental, and Starwood. Along with these industry leading brands, WhiteSands clients include boutique hotel properties and hotel related food and beverage outlets, both in large resorts and small lodging operations. Article 3.0 Requirements for Submission


Article 3.1 WhiteSand is a New Jersey Limited Liability Company formed in 2001. The project history outlined above, as well as the collective experiences of our principals, associates and subject matter specialist, materially exceeds the RFP's experiential requirements related to consultation with, and in relation to, gaming related government or quasigovernmental agencies. In the following sections we provide Project Abstracts that summarize current or recent engagements comparable to that contemplated by the Authority, including one with the Maryland Lottery and Gaming Control Agency and one with the Office of the City Manager, City of San Jose, California (the 10th largest city in the US in 2012). Article 3.2 WhiteSand is headquartered in Las Vegas and maintains an office in Atlantic City, New Jersey. There are no known impediments to travel by its principals, associates and subject matter specialist to Concord, New Hampshire on an as needed basis. Mr. Scheri is Managing Director of WhiteSand Gaming with almost thirty years of gaming and hospitality experience. In this role, he is responsible for directing casino management and consulting services for the worlds premier gaming companies. Most recently, he was president of Valley Forge Casino Resort with complete pre-opening and operational responsibility. Prior to joining WhiteSand, he was Director of the gaming consulting practice for PricewaterhouseCoopers, LLP providing consulting in such areas as feasibility studies, market demand studies, financial projections, technology solutions, marketing strategy, operations improvement and acquisitions. Prior to joining PwC, Mr. Scheri was the National Director of the Gaming Practice with KPMG Consulting. Mr. Scheri helped create and lead the National Practice, providing technology, strategy and operations consulting services to the worlds largest gaming companies. He has supported the development and opening of many casino resorts throughout the world, providing feasibility studies, market demand studies, merger & acquisition due diligence, design and organizational consulting. In addition, Mr. Scheri has held executive positions at Aztar Resorts, Trump Taj Mahal, Deloitte & Touch, Showboat Atlantic City and Golden Nugget Atlantic City. In his various roles, he has led efforts to manage casino operations, design business solutions, lead merger and acquisition efforts, develop financial, marketing and operating plans, and develop new casino resorts. Project Role Mr. Scheri will be the executive sponsor representing WhiteSand and providing review, comment and insight to the various project requirements. Project Work Mr. Scheri has played a key role in the design, development, and opening of many premier casino properties such as Borgata, Mohegan Sun at Pocono Downs, Wynn Las Vegas, Bellagio, Prairie Meadows Racetrack Casino, Showboat Atlantic City, and Golden Nugget. He has also provided consulting services for many gaming and hospitality clients around the world including Mohegan Sun, Marriott, MGM Mirage, Colony Capital, Morongo Casino, Trump Entertainment Resorts, Caesars World, Agua Caliente, Paris Casino, Harrahs Entertainment, Boyd Gaming, Isle of Capri Casinos, Station Casinos, Hyatt, Six Continents, Foxwoods Resort and Casino, Starwood, and Casinos Austria. Ms. Williamson leads WhiteSand Gaming's Regulatory Advisory Practice Group. She has been involved in gaming either as a regulator, attorney, or operational consultant for more than 25 years. Her areas of expertise include drafting of enabling legislation and operating regulations, design and evaluation of systems of internal control, technical standards for emerging technologies, facility development, consulting, and management agreements. Ms. Williamson has extensive experience in designing and implementing comprehensive gaming regulatory schemes. While with WhiteSand she authored the video lottery terminal MICS and technical standards for the Maryland State Lottery Agency. While directing gaming operations as Deputy Chief Counsel for the Pennsylvania Gaming Control Board (PGCB) she authored much of Pennsylvanias regulatory scheme and coordinated the education and training of the audit, compliance and investigative staffs necessary to support it. Before joining the PGCB, Ms. Williamson was a Deputy Attorney General with the New Jersey Division of Gaming Enforcement. Among her many responsibilities in that capacity, she directed the Divisions rulemaking efforts. Her private practice experience includes gaming consultation in emerging jurisdictions, notably Puerto Rico, the Dominican Republic, and the Turks and Caicos Islands. Project Role Ms. Williamson will support all aspects of the WhiteSand effort. Her primary focus will be options in regulatory schemes and trends and best practices in governance and regulation. Related Work In gaming, most operational decisions have a regulatory component. Ms. Williamson ensures that clients understand the compliance solutions realistically available to them and how each decision impacts the financial and operational integrity of the facility as well as the ability of the jurisdiction to attract and retain investment. This type of analysis is a key component of the study requested by the New Hampshire Lottery. Mr. Mercer is a Director with WhiteSand Gaming and a 36 year I/T veteran, with 30 years of Gaming and Hospitality experience. During his time in the industry, he has managed many substantial gaming-related projects in various operational areas. Operational management included marketing analysis and reporting, budgeting and forecasting, strategic and tactical planning, staffing, slot machine profitability and placement, and decision support for property expansion and capital improvements. Technical and project management roles included solution assessment and acquisition for casino, POS, hotel and CRM packages. In addition, Mr. Mercer has extensive experience as an owners representative for design, coordination and implementation of low voltage and technology infrastructure. Owners representative accomplishments include the building of the Dover Downs hotel, building of a temporary casino at Mohegan Sun at Pocono Downs and the expansion of the casino at Caesars Atlantic City. Mr. Mercer's expertise in IT and gaming, combined with his project management abilities, have allowed him to strategically guide gaming companies through openings and major expansions at more than fifty properties both domestically and internationally. Domestically, he has played a prominent role in the opening of many casinos throughout the country including Borgata, Venetian, Mohegan Sun, Golden Nugget, Morongo, Caesars and Boyd Gaming to name just a few. Internationally, he managed projects in Canada, South America, the Caribbean and Macau, China. His role has ranged from project management of gaming related systems to business process engineering and regulatory compliance. Many of the recent successful casino openings hinged upon Mr. Mercers ability to demonstrate sound accounting and audit compliance of casino revenue to state regulatory agencies. Mr. Basara is WhiteSands Director for Market Solutions. As such he leads the Firms efforts to advance clients capabilities to define, publicize, and infuse their image and message with the public and within the enterprise. To this objective he brings his considerable experience with consumer product, retail, gaming, and other consumer oriented industries. Mr. Basara directs gaming operations management for WhiteSand casino management clients. With WhiteSand, Mr. Basara has managed gaming operations to the growth and operational improvement of resort and casino properties. He served as Executive Director of Gaming and Director of Slots for a major Native American casino and has participated in several projects in support of Tribal administration and management. During his tenure in senior casino resort management Mr. Basara has increased the financial performance and market presence of the resorts involved. Formerly a partner with KPMG, Mr. Basara has participated in market analysis and feasibility for multiple casino projects and jurisdictions. He has extensive experience with state lottery strategy and operations. He has performed financial and operational reviews of multiple casino properties, focused on the effectiveness and efficiency of operations and the improvement of the financial performance of the enterprise. The reviews involved staffing and service level reviews, cost models, operational performance and benchmarking, and customer service improvement. Project Role Mr. Basara will review, develop and provide a gaming perspective to the financial and economic aspects of the study. His work with casino resorts, both commercial and Native American, along with his extensive work with state lotteries will add the realistic perspective to the options available. Related Work Mr. Basara will apply his considerable background in gaming and market analysis to developing both the historical perspective and the opportunities available to the legislature as it examines Floridas options for other gaming operations. Mr. Wood joined WhiteSand Consulting as a former Gaming and Hospitality Industry Chief Information Officer, Process Improvement Expert, and CPA. He has strong crossfunctional experience and exceptional business acumen. As corporate CIO for a major gaming company, Mr. Wood was responsible for the development of standards, procedures, technologies, and systems for the entire organization. In addition to the development of the long-term information technology strategies for the entire enterprise, he had oversight of all business unit MIS operations and personally led the pre-opening teams for properties in Australia and the USA. He most recently supported the opening of Mohegan Suns casino at Pocono Downs in Pennsylvania. Mr. Wood contributed at the C-Level to the strategic direction of a billion dollar Hotel Casino organization as a member of nine-person Executive Management Committee. He has performed project management, design and cross functional facilitations on various projects as well as article writing for various print and web based publications. In addition Mr. Wood is a frequent presenter at conferences and leads the annual project management symposium workshop at the Gaming and Technology Summit. Mr. Wood served as an adjunct professor in Pepperdine Universitys MBA program and an associate professor at California Lutheran University. He has conducted workshops and seminars on a national and international basis for organizations like Penton Learning Systems and the California Society of CPAs. Article 3.5 This proposal is based on a blended hourly rate of $160/hour plus actual expenses and anticipates that WhiteSand will perform all tasks enumerated in the Scope of Work for the Gaming Consultant at that rate. Phase 1: Assess the Current Regulatory Environment. Task B: WhiteSand will interview representatives of the following stakeholders: the Authority, New Hampshire Racing and Charitable Gaming Commission, New Hampshire Lottery Commission, New Hampshire State Police Gaming Unit and New Hampshire Attorney General's Office in order to: (1) Understand current gaming regulatory practices, as applied; 17

(2) Ascertain information about each stakeholder's overall concerns regarding the content of the regulations and current regulatory practices; and (3) Identify deficiencies in the current regulatory scheme and/or opportunities to improve effectiveness. Phase 2: Inform the Authority with Regard to Relevant Gaming Best Practices and Regulatory Options and Alternatives. Task A: For the regulatory deficiencies identified in Phase 1, Task B, WhiteSand will identify remedial regulatory alternatives which are suitable for integration into New Hampshire's overall regulatory scheme given existing budgetary and staffing constraints and other relevant factors. Task B: WhiteSand will present options and alternatives for improving current regulatory practices informally to the Authority, along with details with regard to the regulatory consequences and costs of each, in order to obtain preliminary input from the Authority as to the feasibility and desirability of incorporating each concept into the current regulatory scheme. Phase 3: Report of Recommendations. Task A: WhiteSand will prepare and issue a written Preliminary Report of Recommendations. All proposed amendments and recommendations will reflect the dual goals of integrity and profitability and, where appropriate, will advance consumer protection and responsible gaming. Task B: Whitesand will meet with designated Authority representatives for comment on the Preliminary Report of Recommendations. Task C: Whitesand will edit and revise the Preliminary Report of Recommendations per the comments of Authority representatives and Issue a Final Report of Recommendations. Task D: WhiteSand will be available to present the Final Report of Recommendations as required by the Authority. Task E: WhiteSand will be available as necessary to assist the Authority in implementing recommendations in the Final Report of Recommendations.

Phase 1: Assess the 2013 New Hampshire Legislative Proposals. Task A: WhiteSand will examine the following 2013 New Hampshire Legislative Proposals relating to the authorization of full scale casino gaming and assess the suitability, efficacy, feasibility and cost-effectiveness of each: (1) SB 152, Relative to Video Lottery and Table Games (one gaming location) including: (a) Senate Version: Amended 3/14/13; and (b) Omnibus Version: Amended 5/17/13 by the Minority of the Joint Committee of Finance and Ways and Means. HB 665, Relative to Video Lottery and Table Games (two destination resorts). HB 678, Relative to Games of Chance and Establishing a Gaming Oversight Authority and Video Lottery Gaming.

Task B: WhiteSand will compare each Legislative Proposal against the stipulated comparator states: Maine, Connecticut, Pennsylvania, Delaware, Rhode Island, New Jersey, Massachusetts, Maryland and Nevada, identifying strengths and weaknesses in each Proposal when compared to the best and most relevant components of the regulatory provisions in the comparator states as well as relevant best practices in non-comparator jurisdictions. Said analysis shall include, at a minimum, the following regulatory issues cited in the Scope of Work: (1) (2) (3) (4) (5) Gaming Agency Structure, Authority, and Interagency Provisions. Fiscal and Capacity Requirements; Integrity of Gambling; Licensing or Certification Awards; and Other Licensure Standards.

Phase 2: Report of Recommendations. Task A: WhiteSand will prepare and issue a written Preliminary Report identifying the strengths and weaknesses in each Legislative Proposal. Task B: WhiteSand will meet with designated Authority representatives for comment on the Preliminary Report. 19

Drafted and developed minimum technical standards applicable to slot machines and related systems. Drafted and developed accounting and internal control requirements addressing cashiers cage transactions, the proper recordation of gross revenue, casino floor and cage design, organizational structure, security and surveillance minimum staffing, surveillance system recording format specifications and remote system access. Client: New Jersey Casino Control Commission & Division of Gaming Enforcement Project: Gaming Regulatory Management Abstract: As Manager of the New Jersey Casino Control Commissions Casino Accounting and Operations Unit and later as a Deputy Attorney General assigned to the New Jersey Division of Gaming Enforcements Regulatory Prosecutions Bureau, current WhiteSand staff was: Responsible for the conduct of gross revenue audits as well as the review and approval of operating procedures including those related to accounting and internal controls, gaming equipment and rules of the games. Responsible for evaluating and approving operating procedures for nine new gaming properties, authored a substantial number of significant amendments to NJAC 19:45, Accounting and Internal Controls [now NJAC 13:69D] and, as a member of the Commissions senior staff, consulted extensively with emerging gaming jurisdictions who sought input from New Jersey on the development of internal control regulations and operating procedures Involved in defining minimum technical standards covering many of the technological advances that came to fruition during the applicable period including gaming voucher and electronic funds transfer systems, automated voucher redemption and jackpot payout systems and the use and taxation of cashable and non-cashable promotional credits and coupons. Client: Maryland Lottery and Gaming Control Agency Project: To assist Agency staff in developing: 1. A comprehensive set of regulations and technical standards governing the 15,000 video lottery terminals in five facilities within the State of Maryland authorized in 2009; and Request for Proposals involving: (a) Video Lottery Operators Licenses; (b) Video Lottery Terminals; and (c) A Central Control Computer System.

Abstract: The project was successfully concluded with the issuance and implementation of all three Requests for Proposal and the adoption by the Maryland Lottery Commission on August 23, 2010 of the regulatory scheme developed by WhiteSand, specifically COMAR 14.01.13, Facility Standards, COMAR 14.01.14, Video Lottery Facility Minimum Internal Control Standards and COMAR 14.01.15, Video Lottery Technical Standards. See http://gaming.mdlottery.com/aboutus/rules-and-regulations/ Barriers and complications to the development of a comprehensive regulatory scheme involved the inclusion of a number of unique provisions in the Maryland statute that precluded the incorporation into the regulations of a number of common regulatory controls. These statutory provisions involved acquisition of the video lottery terminals by the Lottery Agency rather than the facility operators and the attendant assumption by the Lottery of maintenance responsibilities for the video lottery terminals, reliance for game selection purposes on an average payout percentage rather than the traditional minimum theoretical payout percentage and the permissibility of outsourcing mandatory operational functions like security. WhiteSand was able to successfully develop effective regulatory controls commensurate with the statutory provisions by developing a consensus approach involving all stakeholders: the facility operators, the video lottery terminal manufacturers and service vendors and the regulating entity to ensure that the operating controls were cost effective, clearly apportioned among the parties and that the necessary segregation of responsibilities was attained. Client: City of San Jose, California, Offices of the City Manager and City Attorney Project: Gaming Consulting and Litigation Support Abstract: Since 2011 WhiteSand has had an ongoing consulting relationship with the City of San Jose, California. Specific engagements have involved: A comprehensive review for the City Manager's Office of San Jose Municipal Code Title 16 and the regulatory policies and procedures promulgated thereunder to assess whether they constitute a meaningful and cost efficient regulatory scheme over the City's cardroom operations. 2. A comprehensive review for the City Manager's Office of the City of San Jose Police Department's Division of Gaming Control's ("DGC") organizational structure to assess the extent to which the DGC possesses the resources and skill sets necessary to implement the regulatory scheme as adopted or amended. The resulting Staffing Report included recommendations on revised organizational structure and civilization of regulatory staff. 3. Consultation and technical support for the City Manager's Office with regard to an: a. Application for an Amendment to a Cardroom Permit seeking physical relocation within the City. This engagement included an assessment of licensing suitability, operational integrity and facility readiness; and b. Application by an existing Cardroom Permit holder to open a remote gaming venue. 4. Litigation Support for the Office of the City Attorney in connection with litigation stemming from the Cardroom Permit Amendment and remote gaming venue applications. Barriers and complications to effective regulation of the City's cardroom operations in general and to the specified projects in particular relate directly to the fact that the City of San Jose and the State of California, through its Bureau of Gambling Control and Gambling Control Commission, exercise concurrent jurisdiction over the City's cardroom operations. None of the involved agencies are optimally staffed or resourced and there is little to no coordination of effort. WhiteSand has been able to facilitate more informed dialogue between all stakeholders and has been consistently able to move the City's DGC toward regulatory solutions, many involving increased reliance on State investigative efforts, that enhance its ability to efficiently and effectively oversee its cardroom operations without negatively impacting their profitability and competitiveness. Project: Perform a feasibility study and assist in the high-level casino design Abstract: This study considered macro and micro economic factors, customer demographics, regional trends, future plans, current or proposed litigation, competition, project size, and many other factors in representing a comprehensive report.
