AGREEMENT FOR OVERSEAS TRAINING This AGREEMENT is made and executed on this. day of 2011 between the KINECO ALTE TRAIN TECHNOLOGIES PRIVATE LIMITED, a company having Registered Office at 60 Pilerne Industrial Estate, Pilerne, Bardez, Goa 403511, India hereinafter referred to as the Employer: AND , resident of hereinafter referred to as the Employee: WHEREAS the Employer has agreed to send the Employee for Special Technical Training in Railway Interiors and Toilet Module Systems at ALTE TRANSPORTATION SL., Barcelona, Spain for a period between 3-4 months (hereinafter referred to as "the Training"). WHEREAS the Employer will provide the to and fro air fare, training fees, full boarding and accommodation, reasonable allowance for food, transport and out of pocket expenses. WHEREAS in consideration of the premise the Employee has agreed to enter into this Agreement with the employer upon the terms and conditions hereinafter appearing:

1. The Employer shall bear the expenditure in respect of the Training and other related expenses. Where training fees are not charged by the training provider by virtue of business arrangements and relationship between the Employer and ALTE TRANSPORTATION SL.,, the training fees shall be defined as the market value of the training provided which the Employer will determine in consultation with the ALTE TRANSPORTATION SL.,. For the sake of clarity the total cost of Training (hereinafter referred to as "the Expenses") is estimated and agreed as Rs. 5,00,000 (Rupees Five Lacs only). 2. Upon successful completion of the Training, the Employee covenants and undertakes to serve the Employer for a period of 2 (Two) years (hereinafter referred to as "the Contract Period"). The Contract Period commences from the date of the resumption of Employee's duties with the Employer after successful completion of the Training. 3. The Employee shall during such period of attending the Training diligently apply himself to the Training and conform to such regulations and disciplines of the Employer as well as of ALTE TRANSPORTATION SL., as may be in force with respect to the same. 4. The Employee further covenants with the Employer: (a) that he will diligently complete the Training within the prescribed time; (b) that he will not during the Training engage in any activity which the Employer considers not to be in the Employee's interest in relation to the Employer; (c) that he will during the Training comply with such instructions as directed by the Employer; (d) that he will not enter into any other agreement for employment with another party for so long as this agreement remains valid. 5. The Employee agrees with the Employer that if the Employee shall resign or leave the service of the Employer within 12 months of the starting of the Contract Period, then in any such case the Employee shall be liable to pay the Employer the total cost of Training i.e. Rs. 5,00,000 (Rupees Five Lacs only). However, if the Employee resigns or leaves the service of the Employer after

completion of 12 months of the starting of the Contract Period, the Employee shall be liable to pay the Employer the cost of Training on pro-rata basis. 6. Any payment which the Employee is liable to pay to the Employer under this Agreement shall be paid within two (2) weeks from the date of written notice by the Employer to the Employee demanding payment. A notice sent to the Employee's last known address by registered post shall be deemed to be sufficient. 7. (a) The Employer has the right to revoke or terminate this Agreement if at any time during the Training the Employee is guilty of any of the following : i. Misconduct; ii. Engaging in political or unauthorized activities resulting in activities that in the discretion of the Employer are inconsistent with the purpose of the Training; iii. Abandons the Training before the completion thereof; iv. Any breach by the Employee of any of the provisions of this Agreement. In such circumstances, the Employee shall cease to have any claim to any benefits of this Agreement and shall be liable to total cost of training i.e. Rs 5,00,000 (Rupees Five Lacs only) to the Employer. 8. It is agreed by and between the parties that the court of law at Goa only will have jurisdiction on all matters and differences, if any arising out of this Agreement. IN WITNESS THEREOF THIS AGREEMENT, Parties have put their hands on this day of Two Thousand Eleven.
