This Guarantee (hereinafter referred to as this guarantee and indemnity) shall be a continuing guarantee to the whole amount outstanding. 3. Should the Debtor become bankrupt or insolvent or being an incorporated company shall be wound up or liquidated, you may prove the bankruptcy or winding up liquidation of the Debtor, for the whole amount outstanding against the Debtor and no money or dividend so received by you shall be treated as received in respect of this guarantee and indemnity or otherwise in relation to the Guarantor until you shall have received from all sources one hundred cents in the Ringgit on the ultimate balance outstanding against the Debtor. 4. This Guarantee and indemnity shall be without prejudice to and shall not be affected by, nor shall the Guarantor be released or exonerated by and the Guarantor expressly given their consent to any securities , negotiable or otherwise if any time hereafter or from time to time hold from the Debtor 5. This guarantee and indemnity shall be binding as a Continuing security on the Guarantor, our executors administrators legal representatives successors and assigns and shall ensure to the benefit of you and your successors. 6. Nothing done or omitted by you in pursuance of any authority or permission contained in this guarantee and indemnity shall diminish, affect or discharge our liabilities hereunder. 7. Though as between the Guarantor and the Debtor, the Guarantor are surety only for the Debtor, yet as between the Guarantor and you the Guarantor shall be deemed to be principal debtors for all the moneys the payment if which is hereby guaranteed and accordingly shall not be discharged nor shall the Guarantor's liability be affected by any fact or circumstances or any act thing or mission or means whatsoever,whereby our liability

would not have been discharged if the Guarantor had been the principal debtors. 8. For the consideration aforesaid and as a separate and independent stipulation:(a) The Guarantor hereby agree all the sums of moneys which may not be recoverable from the Guarantor on the footing of a guarantee whether by reason of any legal limitation disability or incapacity on or of the Debtor or any other fact circumstances,whether known to you or not shall nevertheless be recoverable from the Guarantor on demand as though the Guarantor are the sole and principal debtors (b) The Guarantor hereby irrevocably and unconditionally undertake to indemnify you in full and keep you fully indemnified against all loss damage liabilities cost and expenses whatsoever which you may sustain or incur as a result of or arising from your loans/ advance granted to the debtor. 9. This guarantee and indemnity shall be governed and construed in all respects in accordance with the Laws of Malaysia and the parties hereby submit to the jurisdiction of the courts of Malaysia in all matters connected with the Guarantor's obligations and liabilities under this guarantee and indemnity. 10. The Guarantor do hereby warrant that the Guarantor are not a bankrupt(s) and that no litigation is pending against the Guarantor. In the event of the Guarantor's insolvency ,or commencement of bankruptcy ,attachment distress or any other execution or legal process ,before or after disbursement of the loans/advances ,you have the sole discretion without liability to require a new guarantee be executed. 11. In this guarantee and indemnity ,where the context so admits:a. Debtor includes their heirs, personal representatives ,successors in title and permitted assigns & where there are two or more persons includes in the expression the Debtors their liabilities under this guarantee and indemnity shall be joint and several; b. Creditor includes its successors in title and permitted assigns ; and c. words importing the masculine gender shall be deemed and taken to include the feminine and neuter gendersand the singular to include the plural and vice versa.
