MOTOR VEHICLE SALES AGREEMENT

I, ZAINI SHAARANI@AHMAD ZAINI IC No. 47081-10-85359, address: 403, Block 7, Jalan 4M, Ampang Jaya, 68000Ampang, Selangor (hereinaffer called The Seller) sell, deliver and transfer ownership of a motor cycle described below to DATO PADUKA AZHARI BIN GHAZLAN, I.C No : 640103-10-9857, address: No 8 Lorong Kuda, 5510 Kuala Lumpur (hereinafter called The Purchaser) for an agreed sum of RM46,000.00(Ringgit Forty Six Thousand only) on a term of payment agreed between The Seller and The Purchaser. 1. Description of Motor Cycle: Make : MOTO GUZZI DAYTONA RS Model : DAYTONA RS1000 Year : 1996 Engine No : KL11257 Chassis No : ZGUKLA1KLTM111229 Registration No : WHY 5568 2. Terms Of Payment and Conditions of Sale: a. RM16,000.00 (Ringgit Sixteen Thousand Only) payable by The Purchaser to The Seller upon delivery of the said motor cycle. b. The said motor cycle will be delivered to The Purchaser ex Marang, Terengganu. c. Transportation of the said motor cycle from Marang, Terangganu onwards will be the responsibility and at the expense of The Purchaser d. The balance of RM30,000.00 (Ringgit Thirty Thousand Only) to be paid by The Purchaser to The Seller in three (3) monthly instalments of RM10,000.00 (Ringgit Ten Thousand Only) before the first day of each month. The first payment is due on 30 th April 2010 and the last payment will be at the end of June 2010.

e. Upon The Purchaser having completed his obligations as per articles 2 (a) and 2(d) then only will The Seller transfer the ownership of the said motor cycle and hand over registration documents to The Seller as stated in article 3(C). f. In the event The Purchaser fails to settle the balance of payments as described in para 2(d) The Seller has the right to abort this contract and the sale of the said motor cycle and the right to forfeit the deposit of RM16,000.00 (Ringgit Sixteen Thousand Only). Article 2(a) refers. The motor cycle will be returned to the Seller in its original condition. g. The Seller agrees to refund all other monies subsequently paid by The Purchaser under the instalment scheme to The Purchaser in total.

3. Warranty: a. The Seller warrants that the Seller is the rightful owner of the said motor cycle and has full right to sell and transfer the ownership of the said motor cycle to The Purchaser and The Seller agrees and undertakes to indemnify The Purchaser against ejectment. b. The Seller warrants that the motor cycle is sold free of liens and encumbrances. c. The Seller shall sign such forms and deliver to The Purchaser such documents as may be necessary to enable The Purchaser to register the motor cycle in his name. 1. Other Matters: a. The Purchaser is aware that the said motor cycle is sold without current insurance cover and road tax.

b. The Sellers agrees to let The Buyer use the said motor cycle in the interim, provided The Buyer first buy the insurance cover and pay for the road tax. c. Any accidents or other unforeseen circumstances occurring to the motor cycle while being used and while under the care of The Purchaser while under provision of Article 4 (b) above which may result in any damage to the motor cycle , The Purchaser is responsible for all repairs to the motor cycle and should the motorcycle be returned to The Seller as under Article 2 (f) , the motor cycle will be returned in its original condition.
