MEMORANDUM OF AGREEMENT

In our desire to provide cost-effective medicines to patients, Metro Lipa Medical Center with business address at J.P Laurel Highway, Marawoy, Lipa City, represented by_____________________________ has entered into a Volume Discount Agreement with Britton Group of Companies, with office address located at unit 17B, Strata 2000 Bldg. #9 F. Ortigas Center, Pasig City, Metro Manila represented by Pioquintos T. Diaz, Sales Director. This agreement will cover a period of fifteen (15) months, starting from September 1, 2011 until November 1, 2012. It is agreed that within this period, Metro Lipa Medical Center will purchase a minimum of One Million Five Hundred Thousand Pesos (Php. 1,500,000) worth of Britton products listed below. Within the above mentioned period, Metro Lipa Medical Center agrees to make these listed products always available in the hospital pharmacy.

Metro Lipa Medical Center agrees to purchase abovementioned products on a monthly basis at One Hundred Thousand Pesos, no less, per purchase, only thru Britton and Metro Lipa Medical Center concurs to pay Brittton by issuing four (4) post dated cheques a month at Twenty Five Thousand Pesos (P 25,000.00) each cheque per week, or a total monthly payment of One Hundred Thousand Pesos ( P 100,000.00), payable to Britton, with the following schedules :

September 6, 13, 20, 27, 2011 October 4, 11, 18, 25, 2011 November 8, 15, 22, 29, 2011 December 5, 12, 19, 26, 2011 January 10, 17, 24, 31, 2012 February 7, 14, 21, 28, 2012 March 5, 12, 19, 26, 2012 April 2, 16, 23, 30, 2012 May 6, 13, 20, 27, 2012 June 6, 13, 20, 27, 2012 July 3, 10, 17, 24, 2012 August 7, 14, 21, 28, 2012 September 4, 11, 18, 25, 2012 October 2, 9, 16, 23, 2012 November 6, 13, 20, 27, 2012

Above mentioned cheques should be issued and handed to BRITTON upon effectivity of this agreement. BRITTON, on the other hand, agrees to pay advance cash discount equivalent to 30% rebate on the agreed total purchase of 1,500,000.00 payable in three (3) installments, to with; 25% of 450,000 or P 112, 500 payable upon effectivity of agreement 25% or P 112, 500 payable on the 30th day after effectivity of agreement 50% or P 225,000 payable on the 60th day after effectivity of agreement All cheques representing advance cash discounts will be payable to Metro Lipa Medical Center

The agreed first delivery for initial pharmacy stocking worth P 150,000 will be delivered one week after signing of agreement. The product and quantity to be included for stockings will be determined by the pharmacy. In the event of a Britton price increase during the agreement period, Britton will notify Metro Lipa Medical Center. Both parties will have to agree on what is mutually beneficial to both. It is further agreed that this volume discount agreement applies only to purchases of listed products intended for the use of Metro Lipa Medical Center. Any changes on this agreement shall be express in writing and must be mutually agreed upon by both parties. Any violation of the terms of this contract will render it null and void. As an act of goodwill Britton will sponsor 1 doctor of Metro Lipa Medical Center for a local mid-year convention and another one doctor for a local annual convention within the duration of the agreement period. Metro Lipa Medical Center will have the free hand to choose its representative.
