on directors' remuneration
in Malaysia. Malaysian
Business' latest sUNey of
Malaysia's highest-paid directors shows
that key executives of Bursa Malaysia
listed companies generally earned more
last year than they did in 2010. Close
to half (the survey list contains 621
companies) took home at least RM1 million
and above each.
Despite the increasing public scrutiny
of directors' remuneration, the increased
payout does not surprise many. Increasing
director salaries are a trend internationally,
especially in the developed countries.
The rationale is simple: with the business
environment getting more complex, good
talent is becoming increasingly hard to
keep. Furthermore, top company officials
such as chief executives have a heavier
responsibility to drive growth, especially
in times of uncertainty.
'Remunerations should be appropriate
to attract, retain and motivate directors
to run the company successfully,' says a
veteran expert in the field.

GENEROUS GLCs
Our sUNey shows that government-linked
companies (GLCs) were generally more
generous this time around. This is not
entirely surprising as GLCs are a key part
of corporate Malaysia (see story on GLC
remuneration on page 50) and putting
greater emphasis on leadership talent
is seen as an important element in the
advancement of corporate governance in
these entities.
Furthermore, with more state-owned
entities expected to undergo divestment,
as in the cases of Felda Global Ventures
Bhd and IHH Healthcare Bhd, there will be
greater demand for skilled talent to instil
the entrepreneurial spirit into state-owned
entities. Such skills do come at a price.
Still, exactly how much is an 'appropriate'
compensation is still a matter of debate.
While Shareholders don't want their
companies to payout too much to their
directors, a balance must be struck
between that and using remuneration as
a means to attract and retain talent that
will lead the company to greater heights.

the sUNey list, down from 630 previously.

The reduced sample came about due to


several de-listings in the past year. There
were also a handful of companies that had
yet to file their annual reports at the point
of our survey as they were undertaking
some form of restructuring.
Collectively, the 621 companies paid out
a total of RM2.2 billion to their directors in
2011, up from RM1.97 billion previously.
For the Top 20 paymasters alone, the total

RM17.42 billion, he is said to be eyeing
more casino ventures, in addition to
its new gaming projects in the United
Kingdom, the Philippines, Vietnam and
the United States. Recently, the gaming
giant acquired a US$234 million stake
in Australian casino-operator Echo
Entertainment Group, giving rise to
speculation it may team up with Australian
James Parker, who owns 10% of Echo.
to take over the company.
And reflecting investor optimism on
the group's overseas ventures, Genting
Malaysia's share price has risen some
14% in the past year, though that of parent
Genting has remained plateaued lately.
Second-ranking 101 Corporation Bhd
also gave its highest-ranking director a
much smaller raise as opposed to the
more than 50% it paid out previously.
That person drew a remuneration in the
RM56.75 million-RM56.8 million band,
up only some 7% from 2010's RM53.05
million-RM53.1 million. In 2009, the
plantation giant paid its key director RM25
million-RM30 million.
Once again we can assume that this
payment was made to Tan Sri Lee Shin
Cheng, the group's founding executive
chairman who had built 101 to become one
of the most efficient plantation producers,
with a yield-per-hectare about 50% higher
than its rivals in Malaysia and Indonesia.
Analysts note that the group's
downstream expansion into value-added
products had allowed it to weather the
rising competition from the Indonesian
players better than its Malaysian peers.

GENTING STILL THE LEADER


Genting Bhd once again tops the list,
giving out not only the largest amount to
its entire board, at RM117.7 million, but
also dishing out the highest individual
remuneration amongst the Bursa Malaysia
listed companies.
But high as it was, Genting's raise to
its highest-ranking executive in 2011
was smaller compared to the last several
years. That executive received a payout
in the band of RM 113 million-RM 113.05
million, up only some 5.9% from the
RM106.65 million-RM106.7 million he
drew previously. For 2010, he received a
close to 20% hike from the previous year's
RM87.6 million-RM87.65 million.
Though not expressly disclosed in the
company's annual report, we can safely

assume this remuneration wafl made to


Genting's executive chairman and chief
executive, Tan Sri Lim Kok Thay.
Not unlike previously, the payout could
also have included that of subsidiary
Genting Malaysia Bhd (ranked third on
the list).
Genting has in recent years been
dishing out hefty packages to its board
members. Industry experts reckon the
move was a needed one to incentivise
its key executives to support the group's
expansion into an increasingly competitive
gaming landscape locally and abroad.
While the company's remuneration
disclosures still have room for improvement,
minority shareholders have tended not
to make an issue of this. Perhaps this
is because Genting has consistently
delivered in terms of profitability.

DIRECTORS
aSK Holdings Bhd shoots up to number
four from 2510 position previously, thanks to
its hefty pay increase to its highest-ranking
director. That person received a payout in
the RM22.6 million-RM22.65 million band,
compared with RM4.1 million-RM4.15
million previously.
The company's annual report did not
offer any reason for the huge rise but it
is likely the payout went to former group
managing director and CEO Ong Leong
Huat, who recently retired in compliance
with regulatory requirements.
In line with our survey methodology. we
have listed Datuk Nik Mohamed Din Nik
Yusoff as the top executive for OSK, as
all of OSK's other board members were
non-executive directors.

Research said in a recent report.

appreciation for their services. A veteran
broker, Ong has been instrumental in
transforming OSK from a stockbroker to
a universal broker and subsequently an
investment bank.
OSK has significant operations in
Singapore and other markets such as
Hong Kong, Indonesia and Cambodia.
Currently it is undergoing a merger with
RHB Capital Bhd that will see the enlarged
entity capture the leading position from
CIMB Group Holdings Bhd in the domestic
stockbroking business.
In a similar vein, IJM Corporation Bhd
paid Tan Sri Krishnan Tan RM13.67 million
following his retirement as chief executive
and managing director of the construction
outfit. This is a more than 300% increase
from tile RM3.27 million he took home in
2010, catapulting him to number six from
37 previously.
According to the IJM annual report,
Tan, who has since been re-designated
as executive deputy chairman, received
RM8.4 million in retirement gratuity. lees
and allowances. The money was paid by

executive director.
RAISE FOR EXISTING DIRECTORS
While Genting and 101 Corp gave relatively
modest increases to their reigning top
executives, other heavyweight companies
gave hefty hikes. A case in point is YTL
Corporation Bhd (ranked fifth), which
paid its Ilighest-ranking excutive close to
50% more, moving him to the RM16.15
million-RM16.2 million band from RM8.45
million-RMB.5 million previously.
But like Genting, YTL Corp has indicated
it is ready to put the group's RM14 billion
cash pile to work as it looks to pick up
bargain assets in the prevailing anaemic
global economic conditions.
China-based shoemaker K-Star Sports
Ltd springs to 49 th spot from 439 1"
previously following a generous payout in
the RM3.49 million-RM3.5 million band to
its highest-ranking executive.
In 2010, that director drew a package
in the RM550,001-RM600,Ooo band. For
the record. K-Star was listed on Bursa
Malaysia in 2010.

million previously.
SP Setia Bhd dished out 13% more
- to RM10.08 million - for its president
and chief executive Tan Sri liew Kee
Sin. Last year there was concern among
the investing community that liew might
leave the company following a bid made
by Permodalan Nasional Bhd (PNB) to
control it.
The concern was not without merit
as liew is seen as SP Setia's 'chief
architect' who had built the company into
a market favourite. Following a partnership
arrangement between Liew and PNB, the
former decided to remain at the helm of
SP Setia.
Clearly, the deal liew struck with PNB
was a recognition by the major shareholder
of the importance of its high-performing
CEO to the company. As a human
resource specialist explained it, people like
Liew give companies like SP Setia the 'X'
factor from many angles, from securing
overseas deals to attracting a high rating
from investment analysts.
A sizeable payment was also witnessed
at Bursa Malaysia Bhd. which paid out
RM3.55 million to chief executive Datuk
Tajuddin Atan. This was about 130%
more than the RM1.54 million Da!uk Yusli
Mohamed Yusoff drew as head honco of
the exchange in 2010,

ENCOURAGING DEBUTS
Taking the 11 1t ' spot is newly listed Bumi
Armada Bhd's key director, who drew
remuneration in the RM9.85 million-RM9.9
million band. The offshore oilfield service
provider, which is owned by tycoon
Ananda Krishnan, has one of the best
earnings visibility amongst its listed peers,
with its RM7.6 billion order book capturing
63% of the floating production, storage
and offloading (FPSO) contracts.
Ananda-linked companies are known
to be good paymasters. Maxis Bhd, for
example, comes in at number to, paying
its highest-ranking director a remuneration
package in the RM10.05 million-RM10.1
million band. However, this is slightly lower
than its previous year's RM10.3 million
RM10.35 million.
Eversendai Corporation Bhd captures
the 15th spot with a payout in the RM8.4
million-RM8.45 million band made to its
key director, The structural-steel player,
listed last year, was founded by self-made
entrepreneur Datuk AK Nathan in 1984.
The group was involved in the
construction of some of the world's
iconic landmarks such as the Petronas
Twin Towers in Kuala Lumpur and the BU~
Dubai, which is currently the world's tallest
building. Last year was a milestone for
the group as it succeeded in topping the
RM1 billion revenue mark. Going forward,
it hopes to hit RM2 billion by 2017.

billion worth of projects in the Middle East.
India and Malaysia. Its current order book
stands at RM1.4 billion.
CUTS FOR SOME
Al the other end of the spectrum, there
were corporate heavyweights that reduced
the payouts to their key directors. A case
in point is Berjaya Corporation Bhd, which
paid remuneration in the RM10.35 million
RM1 0.4 million band. This was lower than
the RM11.7 million-RM11.75 million given
in 2010.

From the footnotes that were to be


read with the statement on corporate
governance, we could only deduce that
this sum went to founder Tan Sri Vincent
Tan, who early this year announced his
retirement from an active corporate role,
handing over the reins to his eldesl son
Robin. But on a more positive note,
Berjaya Corp explained how the sum was
derived - a practice other companies may
want to emulate.
Another company that dispensed lower
remuneration to its key director was
CIMB Group Holdings Bhd. which drops
10 rungs to number 14 on the list. The
banking group paid its group MD/CEO
Datuk Seri Nazir Razak RM8.7 million
in 2011, down 10%. No reasons were
given for the smaller package except the
statement that the money was paid by
subsidiary CIMB Investment Bank_
There also <lppeared to be a reduction in
the payout to the highest-ranking director
at Masterskill Education Group Bhd, going
by the total board payout the company
made, amounting to RM6.66 million, as
opposed to RM8.78 million preViously.
But we cannot put a finger on the exact
