ICSID is an autonomous international institution established under the Convention on the Settlem States and Nationals of Other States (the ICSID or the Washington Convention) with over one The Convention sets forth ICSID's mandate, organization and core functions. The primary purpose conciliation and arbitration of international investment disputes.

The ICSID Convention is a multilateral treaty formulated by the Executive Directors of the Intern Development (the World Bank). It was opened for signature on March 18, 1965 and entered into force

The Convention sought to remove major impediments to the free international flows of private invest and the absence of specialized international methods for investment dispute settlement. ICSID has a simple organizational structure consisting of an Administrative Council and a Secretariat.

Administrative Council
The Administrative Council is the governing body of ICSID. It is comprised of one representative of each of the ICSID Contracting States. The Administrative Council convenes annually in conjunction with the joint World Bank/International Monetary Fund annual meetings. All representatives have equal voting powers. The President of the World Bank is ex officio Chairman of the ICSID Administrative Council but has no vote. Principal functions of the Administrative Council include the election of the Secretary-General and the Deputy Secretary-General, the adoption of regulations and rules for the institution and conduct of ICSID proceedings, the adoption of the ICSID budget, and the approval of the annual report on the operation of ICSID.

Secretariat
The Secretariat consists of approximately 50 staff. It is led by the Secretary-General, who is the legal representative of ICSID, the registrar of ICSID proceedings, and the principal officer of the Centre. Currently, Meg Kinnear serves as Secretary-General and she is assisted by Aurelia Antonietti, Javier Castro, Gonzalo Flores, Milanka Kostadinova, Eloise Obadia, and Martina Polasek as team leaders. Principal functions of the Secretariat include providing institutional support for the initiation and conduct of ICSID proceedings; assistance in the constitution of conciliation commissions, arbitral tribunals and ad hoc committees and supporting their operations; and administering the proceedings and finances of each case. The Secretariat also provides support to the Administrative Council and ensures the functioning of ICSID as an international institution and a center for publication of information and scholarship. The Secretariat maintains the ICSID Panels of Conciliators and of Arbitrators to which each Contracting State may designate four persons and the Chairman of the Administrative Council may designate 10 persons. The ICSID Panels provide a source from which the parties to ICSID proceedings may select conciliators and arbitrators. Further, in the event the Chairman of the Administrative Council is called upon to appoint conciliators, arbitrators or ad hoc committee members in ICSID proceedings, his appointees must be drawn from the Panels. The Secretariat's administrative costs are financed out of the World Bank's budget; the costs of ICSID proceedings are borne by the disputing parties.

As a general rule, ICSID proceedings are held at the Centre's headquarters in Washington, D.C. However, parties may agree to hold their proceeding at any other place, subject to certain conditions. The ICSID Convention contains provisions that facilitate advance stipulations for such other venues when the place chosen is the seat of an institution with which the Centre has an arrangement for this purpose. ICSID has to date concluded such arrangements with the:

Permanent Court of Arbitration at The Hague; Regional Arbitration Centres of the Asian-African Legal Consultative Committee at Cairo, at Kuala Lumpur and at Lagos; Australian Commercial Disputes Centre at Sydney; Australian Centre for International Commercial Arbitration at Melbourne; Singapore International Arbitration Centre; Gulf Cooperation Council Commercial Arbitration Centre at Bahrain; German Institution of Arbitration; Maxwell Chambers, Singapore; Hong Kong International Arbitration Centre; Centre for Arbitration and Conciliation at the Chamber of Commerce of Bogota; and China International Economic and Trade Arbitration Commission.

Every year the Secretary-General submits to the Administrative Council for its approval an Annual Report on the operation of the Centre. The Annual Report provides an overview of the activities during the past ICSID fiscal year, including information on developments in the ICSID membership and caseload, designations to the Panels of Conciliators and of Arbitrators, resolutions adopted by the Council, publications, and financial statements on the income and expenditures of the Centre. The ICSID Annual Reports since 1998, in English, French and Spanish, are available electronically.

Procedural rules for the institution and conduct of conciliation and arbitration proceedings under the auspices of ICSID are provided by the:

ICSID Convention, Regulations and Rules; and ICSID Additional Facility Rules.

Fact-finding proceedings may be initiated and conducted in accordance with a set of fact-finding rules available under the ICSID Additional Facility.

The Secretary-General is required by ICSID Administrative and Financial Regulation 22 to make public, information on the registration of all requests for conciliation or arbitration and to indicate in due course the date and method of the termination of each proceeding. The Secretary-General is also required to publish, with the consent of both disputing parties, reports of conciliation commissions or awards rendered by arbitral tribunals in ICSID proceedings. As provided by the ICSID Arbitration Rules, excerpts of the legal reasoning of the Tribunal shall be published by ICSID if such consent is not given. Publishing such information is aimed at furthering the development of international law in relation to investments.
