Agreement of Sub-Sale
AGREEMENT made at .............. this day of .............. between Mr. .............. hereinafter referred to as the Original Purchaser of the one Part and Mr. .............. hereinafter referred to as the Sub-Purchaser of the other part as follows : WHEREAS (1) By an Agreement for sale entered into between Mr. .............. therein referred to as Vendor and hereinafter referred to as the Original Vendor of the One part and the Original Purchaser therein referred to as the Purchaserof the other Part the Original Vendor has agreed to sell to the Original Purchaser the land and premises situate at .............................. and more particularly described in the Schedule thereunder written being the same as described in the Schedule hereunder written for the price of Rs.1,00,000/- and on the terms and conditions therein mentioned. (2) The Sub-Purchaser has offered to purchase the said land and premises and has offered to pay to the Original Purchaser a sum of Rs. 50,000/- over and above the amount of price of Rs. 1,00,000/- payable to the Original Vendor that is to say the sub Purchaser is willing to purchase the said land and premises for an aggregate sum of Rs. 1,50,000/ (3) The Sub Purchaser has taken inspection of the said agreement for sale dated .............. and is satisfied with the terms and conditions thereof. (4) The Parties have agreed to enter into this agreement for the purchase of the said land and premises from the original Purchaser to the sub purchaser at the price of Rs. 1,50,000/- and on the terms and conditions hereinafter appearing. (5) The original Purchaser has paid to the Original Vendor a sum of Rs. 10,000/- as earnest and the balance is payable on the execution of the deed for conveyance. NOW it is agreed by and between the Parties hereto as follows 1. The Original Purchaser as the purchaser under the said agreement hereby agrees to sell by way of sub sale the said land and premises described in the Schedule hereunder written to the Sub Purchaser and the Sub Purchaser agrees to purchase the same at the price and on the terms and conditions hereinafter mentioned. 2. The Sub Purchaser has agreed to pay and shall pay to, the Original Purchaser a sum of Rs 1,50,000/- as the price of the said land and premises out of which the Sub Purchaser has agreed to pay a sum of Rs. 15,000/- as earnest on the execution of this agreement to the Original Purchaser. As to the balance of Rs. 1,35,000/- the sub purchaser shall pay to the Original Vendor direct a sum of Rs. 90,000/- being the balance

of the price payable to the Original Vendor on the execution of the Deed of Conveyance by the Original Vendor and the remaining balance of Rs. 45,000/- will be paid by the Sub Purchaser to the Original Purchaser on the execution of such Deed of Conveyance. The said sum of Rs 15000/- to be paid to the Original Purchaser as earnest will be kept deposited with the origional purchasers Advocate as Stake holder until completion of the sale. 3. The Original Purchaser shall reasonably satisfy the Sub Purchaser or his Advocate that the Original Vendors title to the said property agreed to be sold is marketable and free from all encumbrances and claims. For that purpose the Original Purchaser shall produce or cause the Original Vendor to produce all the title deeds in the possession of the Original Vendor within eight days from the date hereof for the inspection thereof by the Sub Purchasers Advocate. The Original Purchaser shall also produce for inspection to the Sub Purchasers Advocate the requisitions on title made by the Original Purchasers Advocate and the answers given by the Original Vendor or his Advocate thereto and all other correspondence relating thereto as and when required by the Sub Purchaser or his Advocate. 4. The Sub Purchaser will be entitled to the benefit of all the rights of the Original Purchaser under the said agreement for sale and all the terms and conditions contained in the said agreement for sale will be deemed to be the terms and conditions agreed upon between the Original Purchaser and the sub Purchaser as if they were incorporated unto these Presents and were the terms and conditions agreed upon by the Parties or as if the Original Purchaser is the Original Vendor and the Sub Purchaser is the Original Purchaser except those which are contrary to or inconsistent with what is provided herein. 5. The Sale in favour of the Sub Purchaser will be completed within the period mentioned in the said agreement or within such period as may be extended by mutual consent of the Parties . 6. On the completion of the sale the Original Purchaser shall cause the Original Vendor to execute the deed of conveyance in respect of the said property directly in favour of the Sub Purchaser and the Original Purchaser shall execute the same as confirming Party thereto. 7. The Deed of conveyance will be prepared by the Advocate of the Sub Purchaser and will be approved by the Original Purchaser and got approved by the Original Vendor. 8. The Stamp duty payable on the Deed of Conveyance will be paid by the Sub Purchaser alone and so also the Registration charges. Each party hereto will have to pay the fees of his Advocate. 9. On the completion of the sale the Original Purchaser shall cause the Original Vendor to deliver possession of the said property agreed to be sold by handing over vacant possession of such part thereof as will be vacant and by attorning tenants of the property direct to the sub purchaser. 10. The original Purchaser shall carry on all his obligations under the agreement as Purchaser qua the Original Vendor faithfully. 11. If the Sub Purchaser fails to complete the sale within the stipulated period the original purchaser will be entitled to cancel this agreement by giving to the Sub Purchaser fifteen days written notice and on the expira-

tion of the said period the agreement will stand terminated and the original Purchaser will forfeit the earnest money paid to him by the Sub-Purchaser. This is without prejudice to the right of the original purchaser to claim damages from the Sub Purchaser. 12. In the event of the Original Vendor failing to complete the sale as provided in the said agreement for sale and the original Purchaser exer cising any of his rights thereunder the Sub Purchaser will be entitled to the benefits of specific performance or damages as may be granted to the Original Purchaser and the Sub Purchaser will be made a party to any legal proceedings taken by the Original Purchaser against the Original Vendor. Notes : Stamp duty will be the same as on the Agreement of Sale. See the Notes at the foot of the previous Forms.
