Grant of License. This is a license agreement and NOT an agreement for sale. The Product is owned by Holt McDougal or its licensors, and is protected by Un ited States and international copyright laws. Holt McDougal retains all right, title, and interest in and to the Product and all copyright, trademarks, and oth er intellectual property rights therein. Your rights to use this Product are sp ecified in this Agreement, and Holt McDougal retains all rights not expressly gr anted to you in this License Agreement.

* You have permission to install and use the Product solely for educationa l use, subject to the other terms, conditions and restrictions contained in this License Agreement, including the terms and conditions applicable to test materi als ( Test Items ). * You have permission to install the Product and use the Product on more t han one computer, provided that you do not use, copy, download or install any po rtion of the Product on any local or wide area network, or on any other computer networks without the express written permissions of Holt McDougal. * You have permission to store, display, print out, and photocopy the blac kline masters, worksheets, and tests in complete pages for classroom use and sav e the pages as word processing documents in sufficient quantities for such class room use only and not for resale, provided that all copyright notices, trademark s, proprietary legends, and disclaimers contained on the original item are repro duced on the copies. * You have permission to make one "back-up copy" of the Product for archiv al purposes, or copy it onto the hard disk of your computer and retain the origi nal for archival purposes. 2. * You may NOT modify, translate, or create any derivative work based on th e Product, other than as already defined in this License Agreement, or otherwise use the Product in any manner that infringes the copyrights therein. * You may NOT rent, sell, lease, sublicense, distribute, or otherwise perm it any other person or entity to use, access, or otherwise transfer the Product for commercial gain or public access. * You may NOT systematically display, reproduce, supply, broadcast, or dis tribute the Product in any form to anyone. * You may NOT attempt to defeat any technological protections associated w ith the Product. Reverse-engineering, disassembly, decompiling, or otherwise at tempting to discover the source code of the software portion of the Product is s trictly prohibited. * You may NOT remove, obscure, or modify copyright notices, other notices, or disclaimers in the Product or any screen displays.

3. Test Items. Each person or institution using the Product agrees to keep th e Test Items secure and to comply with basic principles of minimum test security . Access to Test Items must be limited to qualified persons with a responsible , professional interest who agree to safeguard their use. 4. Copyright. This Product is copyrighted by Holt McDougal and is protected by United States and international copyright laws and international treaty provisi ons. Your use of this Product is subject to the terms of the "License Agreement ." 5. Replacements. Should any of the media components of the Product become inop erable as a result of physical damage, Holt McDougal will replace the media comp onent at its current manufacturing costs plus the cost of shipping and handling within one year from the date of purchase. For replacement of a media component due to physical damage please call the Holt McDougal Technical Support Center t

o request a return authorization. The damaged item must be returned to the Holt McDougal Technical Support Center along with your written request for a replace ment and a copy of your paid invoice. No replacements will be made for copies o f the Product sold outside of the U.S., except for U.S. Department of Defense Sc hools. 6. LIMITED WARRANTY. HOLT MCDOUGAL REPRESENTS THAT FOR A PERIOD OF 90 DAYS FRO M YOUR RECEIPT OF A COPY OF THE PRODUCT THAT: 1) THE MEDIA ON WHICH THE PRODUCT IS DISTRIBUTED WILL BE FREE FROM DEFECTS IN MATERIALS AND WORKMANSHIP UNDER NOR MAL USE; AND 2) THE PRODUCT WHEN USED IN ACCORDANCE WITH THE WRITTEN INSTRUCTION S WILL SUBSTANTIALLY PERFORM THE FUNCTIONS SPECIFIED IN THE USER'S MANUAL. ANY WRITTEN OR ORAL INFORMATION GIVEN BY A HOLT MCDOUGAL REPRESENTATIVE, DEALER, AGE NT, OR EMPLOYEE WILL IN NO WAY INCREASE THE SCOPE OF THIS WARRANTY. IF THE PROD UCT DOES NOT MEET THE LIMITED WARRANTY, HOLT MCDOUGAL 'S ENTIRE LIABILITY AND YO UR EXCLUSIVE REMEDY WILL BE REPLACEMENT OF THE MEDIA OR A FULL REFUND OF THE PUR CHASE PRICE. THIS LIMITED WARRANTY APPLIES ONLY IF THE PRODUCT OR MEDIA ITEM IN QUESTION IS RETURNED TO HOLT MCDOUGAL ALONG WITH A COPY OF YOUR PAID INVOICE WI THIN 90 DAYS OF THE DATE YOU RECEIVED THE PRODUCT.
