1.1. Mounting Winchmountingmustbesecureandabletowithstandtheappliedloads. Thestabilityofthemountingsystemmustbeapprovedbyaqualifiedperson. Allweldingshouldalsobedonebyaqualifiedperson. Winchmountmustbeflatsoasnottoinducebinding. Theflatnessmustnotexceed1/16inchacrossthemountingsurfaceofthewinchitself. Guards must be placed on all open drives in the case of mechanical winches. Insure that all hydraulic hoses,valvesandfittingsareratedtowinchmanufacturersoperatingpressures. Relief valves should be set to winch manufacturers specifications. Insure that all PTOs and drivelines aresizedappropriatelyforthewinchmanufacturesspeedandtorquespecifications.

1.2. Operator Mustread and understandthe operatingand servicemanual. BoththeSERVICE MANUALand OPERATING AND MAINTENANCE MANUAL are available online at http://www.team twg.com/TulsaWinch/ Mustneverliftormovepeoplewiththiswinch.Thiswinchisnotdesignedorintendedforany usethatinvolvesmovingpeople. Must stay clear of the load at all times. Ground personnel should remain a safe distance from the load and winch cable at least 1 times the length of cable measured from the winch to theload. Muststayclearofthecableatalltimes.Abrokencablecancauseseriousinjuryordeath. Mustavoidshockloads.Shockloadscan impose a strainonthewinchthatcanbemanytimes thedesignrating. Must be aware of the fleet angle of the winch. All loads should only be pulled with the load line perpendicular to the drum shaft, this is to avoid excessive stresses on the winch and will helppreventthecablefrombuildingononesideofthedrumflange. Must wear personnel protective equipment (PPE) if required. Check the local, state and federalregulationsforcompliance. Must insure that the drum clutch is fully engaged before hoisting. A visual inspection of the drumclutchengagementisrequiredbeforeeachwinchingoperation. Must rig all loads secure before winching. Pull the load line taut and inspect the condition of loadforstability. Must inspect the drum brake if equipped. The drum brake is not a load holding device it is design to prevent over spooling of the drum and causing bird nesting of the cable on the drum.Inspectthebrakeforwearoftheliningandtheactuationmethod. Must inspect the load control brake. These winches can be equipped with two (2) forms of dynamic braking. The worm brake is one method and is adjustable for payout load control. Before a load is handled the load should be pulled tight and stopped to check this brake. The second method is a hydraulic lowering control that is not field adjustable. The same method shouldbeusedtocheckthisbrake. 1.3. Operation Allwinchcontrolsmustbewellmarkedforfunctiontoavoidconfusion. InsurethatthePTOisdisengagedwhenthewinchisnotinuse. Allwinchcontrolsmustbelocatedtoprovidetheoperatorwithaclearviewoftheload. Theclutchmustbeinspecteddailyforproperoperation. Thewinchcableshouldbeinspecteddailyforserviceability. Aminimumoffivewrapsoftightlywoundcablemustremainonthedrum.

2. Generalinformation

2.1. IntroductionAndTheoryOfOperation The Tulsa worm gear winch is operated by turning the input of the worm using a hydraulic motor or PTO driven sprocket and chain. The winch utilizes the adjustable, spring applied, multiple disc oil brake that activates only during payout to provide maximum efficiency during payin. The torque is transferredfromthegearboxthroughthedrumshaftwhichiskeyedtoamechanicallyactuatedsliding clutchthat,whenengaged,transfersthetorquetothedrum. 2.2. AssemblyNumberExplanation This manual is for design series 001. In the case of a major design change implementation, a new design series designation number will be issued for the winch. A new manual will also be created for thatspecificdesignseries.

2.3. WinchBreakIn Winches, like any other kind of machinery, require a breakin period to perform well and to maximizetheirlife.ThefollowingguidelinesshouldbeusedinthebreakinofTulsaWinches. Use extreme care when first spooling cable ontothe winch. DO NOT run the winch at high speeds when performing this operation. Make sure that the cable is unrolled in a line (to prevent kinks) and SLOWLYinhaulthewinchtoinstallthecable. DO NOT exceed one half rated load or one half rated line speed for the first thirty minutes of operation. This will insure that the worm and gear have an opportunity to wear in properly. Periodically,checkthegearboxfortemperaturerisesandallowthewinchtocooldownbetweenpulls. Worm gear winches are designed and intended for intermittent duty application only; using them in extremelylongpullsmaygenerateexcessiveheatandshortenthelifeofthewinch.

4. Maintenance Tulsa Winch worm gear driven winches require regular maintenance to ensure safe and reliable operation. Regular oil changes with the correct oil for the ambient temperature conditions and an annualinspectionofthewearcomponentsarestronglyrecommended. The owner is to ensure proper inspection intervals, in compliance with the API RP 2D Section 4, ANSI B30.5, 52.3, or ANSI B30.7, 72.1, and will review winch usage categories on a periodic basis. A qualifiedinspectorshouldperformallmaintenanceandinspections.

4.1. OilMaintenance The oil in the gear section and the brake section should be changed every 1000 hrs or 6 months of normalusage.Ifyourwinchismountedwithadrumbrake,donotfillthebrakewithoil. Tulsa Winch recommends that the oil level in the gearbox be checked and adjusted as part of the preuse inspection. If the oil level drops frequently or oil leakage is detected during an inspection,maintenanceshouldbeperformedtocorrectanyproblems. OilCapacity

Gearbox oil level inspection is achieved by removing the oil level inspection plug and visually inspecting the oil level. Minimum oil level is to the bottom of the threads of the inspection hole.Refertothechartbelowfortherecommendedoiltypeandgradeforyourapplication.

4.1.1. OilLevel

4.2. BrakeIdentificationAndAdjustment Ingeneral,wormbrakesonTulsawinchesshouldbesettoholdtheloadyouarecurrentlyworking with. Excessive brake torque will result in excessive heat generation and brake wear. The best way to insureproperbrake adjustmentistopullthecabletightagainsttheload andstoptoensurethebrake

holds. If it doesnt, tighten the brake slightly and try it again. If the brake doesnt respond to adjustmentthebrakemustbeserviced. If the input to the winch is accessible and a torque wrench can be adapted to it, the brake can be setwithatorquewrench.TheModel80brakeisshippedfromthefactorypresetat185Ft.Lbs. 4.2.1. AdjustableShoeBrake To tighten the brake, remove the two cap screws located in the set of holes in the top and bottom of the brake cover. Loosenthetwocapscrewsintheslottedholesandrotatethe brakeclockwise. Thedirectionofbrakingcanbechangedbyreplacingthecam with the opposite version. Thisisthestandardversionofthemultiplediscoilbrake. This style of brake can be adjusted by turning the hex adjuster counterclockwise to increase brake and clockwise to decrease brake. The direction of braking for all multiple disc brakes can be changed by removing the cam clutch, turning it over, and reinstalling it. For detailed service instructions, contact your Tulsa Winch distributororthefactory. If the input to the winch is accessible and a torque wrenchcanbeadaptedtoit,thebrakecanbesetwitha torque wrench. The RN100W brake is shipped from the factorypresetat185Ft.Lbs.
Some versions of the Model 80 winch are equipped with a nonadjustable multiple disc oil brake. These winches can be identifiedbythewarningonthecover.

4.2.3. NonAdjustableMultipleDiscOilBrake These brakes require no regular adjustment. The direction of braking for all multiple disc brakes can be changed by removing the cam clutch, turning it over, and reinstalling it. For detailed service instructions, contact your Tulsa Winch distributororthefactory.

4.2.4. RUFNEKAdjustableMultipleDiscOilBrake This brake is the Rufnek version of the adjustable oil brake. This is the latest design of the wormdriven winch brakes. This style of brake can be adjusted by turning the hex adjuster counterclockwise to increase brake and clockwise to decrease brake. The direction of braking for all multiple disc brakes can be changed by removing the cam clutch, turning it over, and reinstalling it. For detailed service instructions, contact your Tulsa Winch distributor or the factory. If the input to the winch is accessible and a torque wrench can be adapted to it, the brake can be set with a torque wrench. The RN100W brake is shipped from the factory pre setat185Ft.Lbs.

5. Disassembly 5.1. DrumBrakeDisassembly 1. Loosenthecapscrews(31). 2. Removethecapscrews(88)fromthecover(86). 3. Removethecover(86)fromthegearbox. 4. Removethebrakeshoes(98). 5. Removethenut(97)andwasher(96). 6. Use the two threaded holes in the brake drum (95)andagearpullertoremovethebrakedrum. 7. Inspectpartsasfollows,replaceifnecessary: Inspect the brake shoes (98) for wear. If the shoe linings are worn flush with the rivet heads,theshoesmustbereplaced. Inspectthebrakedrum(95)forseverewear orscoring. Check the inside lower part of the gearbox housing for the presence of oil. Replace the seal(37)ifoilispresent 5.2. AdjustableOilBrakeDisassembly 1. Drain the oil from the brake by removing the drainplug(21). 2. Loosen the spring tension inside the brake by turning the adjusting mechanism (22) clockwise untilitstops.

If replacing the seal (37), first drain the oil from the gearbox then remove the capscrews (94) and brake cover (93).

Extreme care should be taken when removing the cover of the brake housing. The cover compresses the spring which is used to set the brake, thus the cover is spring loaded againstthecoverscrews. Loosenandremovethecapscrews (13)andwashers(14)fromthebrakecover(20).Ifneeded, rotate the adjusting mechanism counterclockwise to allow the spring to apply force to the cover. Remove the adjusting mechanism (22) from the brake cover (20) and inspect the oring (23), replaceitifnecessary. Removethespring(10).Graspthebrakedriver(8)andremovethebrakecomponents. Inspectstatorplates(16),frictiondiscs(17),andretainingring(7)forwearandreplacethemif necessary. Noting the direction that the cam clutch (6) is installed, inspect it for wear. Replace if necessary.

Failuretoreinstalltheclutchinthecorrectorientationwill resultinthebrakeengagingintheoppositedirection. 8. Ifnecessary,removethereactionhousing(2)andreplacetheoilseal(19).

5.3. NonAdjustableBrakeDisassembly 1. Placeacontainerunderneaththebraketocatchtheoilwhenthecoverisremoved. Extreme care should be taken when removing the cover of the brake housing. The cover compresses the spring which is used to set the brake, thus the coverisspringloadedagainstthecoverscrews. 2. Evenly loosen and remove the caps crews (20) and washers (21) from the brake cover (17) to dislodgethecover.

3. Removethespring(14),thengraspthebrakedriver(9)andremovethebrakecomponents. 4. Inspect the stator plates (12), friction discs (13), and retaining ring (11) for wear and replace themifnecessary. 5. Noting the direction that the cam clutch (8) is installed, inspect it for wear. Replace if necessary. Failure to reinstall the clutch in the correct orientation will result in the brake engaging in the oppositedirection. If necessary, remove the reaction housing (3) and replacetheoilseal(16).

5.4. RUFNEKAdjustableOilBrakeDisassembly 1. Removethebottomdrainplug(9)todrainoilfrombrake. 2. Loosenthespringtensioninsidethebrakebyrotatingtheadjustingmechanism(6)clockwise untilitstops. Extremecareshouldbetakenwhenremovingthe brakecover.thecoverisspringloadedagainstthe coverscrews. 3. Evenlyremovethecapscrews(11)andwashers(12)fromthebrakecover(7). 4. Removethespring(13)andretainingring(21),thenremovethebrakedriver(23)alongwith thebrakecomponents(19,20,21,22,23,25,26,27,and28). 5. Inspectpartsasfollows,replaceifnecessary: Inspectthefrictiondiscs(19)forunevenorexcessivewear.Frictiondiscsshouldmeasure nolessthan.055inthick. Inspectthestatorplates(20)forwarpageorexcessivewear. Inspectthespring(13)fordamageordiscoloration. Camclutch(25)shouldbefreeofdebrisandhaveallcamsintact. Ifreplacingthecamclutch(25),takenoteofthe directionitlocksupforreassembly. Checkthecoupler(10)forsignsofpitting,spalling,orexcessivewear.

ClutchAndDrumDisassembly 1. Remove the cotter keys (20) and clevis pins (19) holding the rod assembly (24, 28, 38) in place.Removetherodassembly. 2. Removethearms(18)byremovingthecapscrews(43),nuts(17),andwashers(16)holding thearmsinplace. 3. Loosen the tension on the brake band (5) by loosening the nuts on the rod (29), then remove the line shafts (15) by loosening the set screws in the collars (40) and the set screws(22)inthecontrolarms(21&39). 4. Removethecapscrews(61),nuts(63),andwashers(62)connectingtheendbracket(32)to theframes(64&67). 5. Remove the end bracket (32) and yoke assembly (items 4, 31, 36, 41, 42) or the clutch positionindicatorassembly(100).Removethethrustwasher(6). 6. Removetheslidingclutch(7),keys(79),andtheotherthrustwasher(6). 7. Remove the brake band assembly (5) by removing the cap screws (27), nuts (24), and washers(25)attachingthebrakebandtotheframe. 8. Slidethedrum(14)offoftheoutputshaft(78),usinganoverheadhoist. 9. Inspectpartsasfollows,replacingthemifnecessary:

Inspectthethrustwashers(6)forexcessivewearordamage. Inspectthebushing(12&23)forexcessivewearordamage. Inspectthekeys(79)forexcessivewearordamage. Inspect the drum clutch (8) and sliding clutch (7) for wear. See page 30 this manual for ClutchInspection. Inspect the brake band assembly (5) and verify that the band and lining is at least .225in thick.

GearboxDisassembly 1. Supportingtheendoftheoutputshaft(78)withahoist,removethehousingcover(80)by removingcapscrews(1&43),nuts(17&34),andwashers(16&35). 2. Usethehoisttolifttheoutputshaft(78),bushings(77),keys(76),andgear(assembled items24,25,71,72,73,74,and75)outofthehousing(61). 3. Removethebushing(77)fromtheoutputshaft(78). 4. Removethegear(71)fromthecarriers(74)byremovingthesixteencapscrews(75),nuts (24),andwashers(25),thenpullthecarrier(74)offoftheshaft(78).Finally,removethe spacer(73),carrier(74),andkeys(76). 5. Removethewormassembly(assembleditems58,59,60,and91)fromthehousingby removingeitherthemotor(99)andmotoradapter(93)ortheendcap(59),dependingon typeofdrive.Fromthebrakeend,pushthewormassemblyoutofthehousing(90). 6. Disassemblethewormbyremovingthenut(54)andwasher(55)thenslidingoffthe bearingretainer(59),alongwiththetwosetsofangularbearings(58).Finally,removethe thirdsetofbearings(91). Ifthebrakehasnotbeenremoved,seebrakedisassemblyon pages1013ofthismanual. 7. Inspectpartsasfollows,replacingthemifnecessary: Inspecttheinnercarriers(74)fordamage. Inspectthegear(71)forexcessivewearordamage.Seepage16fordetailedinstructions. Inspectthekeys(76)andbushings(77)fordamage. Inspecttheworm(60)forexcessivewearorsignsofheatcheckingorcracks. Inspectthebearings(58&91)andseals(37&58)forexcessivewearordamage.

GearInspectionInstructions

Check gear wear by removing the cover and visually inspecting the bronze gear. If the gear is worn suchthatthereisnovisiblelandonthethroatofthegearbetweenthegearflanksasshowninpicture abovethegearshouldbereplaced. 6. Assembly 6.1. GearboxAssembly 1. Press the angular bearings (58) into the bearing retainer (59), then slide the bearing retainer andbearingsontotheworm(60)andsecurewithnut(54)andwasher(55).

When installing the two angular bearings, it is imperative that they are installed with the surface textfacingtheoutsideofthehousing. 2. Forwinchesdrivenbyahydraulicmotor: Installthemotoradapter(103)andwormassemblywitheightcapscrews(104),usinggasket (68).Attachthemotor(99)withfourcapscrews(101),usinggasket(102). ForwinchesdrivenbyaPTOsprocketandchain:

Press a new oil seal (48) into the end cap (50). Install the worm assembly into the gearbox (90), using gasket (68). Secure the end cap (50) with eight capscrews (53), using gasket (51). Installthekey(65)intotheworm(60)shaft. Installthekeys(76)intotheoutputshaft(78). Slide the carrier (74) over the keys (76). Install the spacer (73) using two pins (72). Slide the gear (71) and the other carrier (74) onto the shaft and secure with sixteen capscrews (75), nuts(24),andwashers(25). Install the assembled gear onto the shaft (78). Slide the bushings (77) onto both ends of the shaft. Installtheoutputshaftassemblyintothehousing(90). Install both gaskets (81) onto the housing (90). Attach the cover (80) to the housing, using capscrews(1&43),nuts(17&34),washers(16&35),usinggaskets(81).

6.2. DrumBrakeAssembly 1. Press the oil seal (37) into the end cap (93). Install the gasket (92), and attach the end cap (93) to the gearboxwithsixcapscrews(94),usinggasket(92). 2. Install the brake drum (95) and key (89) onto the worm shaft (60). Secure the brake drum with the nut (97) using washer (96). Bend two tabs of the washer(96)overtheflatsofthenut(97). 3. If removed, reattach the cam (85) to the brake cover (86) using two cap screws (31) and washers (87). 4. Install the brake cover (86), cam (85), and brake shoes(98)intothegearbox. 5. Secure the brake cover (86) using eight cap screws (88). 6. Adjust the brake using the procedure on page 8 of thismanual.

6.3. AdjustableOilBrakeAssembly 1. Press the oil seal (19) into the reaction housing (2), then mount the reaction housing to the gearbox with six cap screws(12),usingagasket(18). 2. Install the key (1), coupler (5), and clutch/driverassembly(3,6,7,8),onto thewormshaft(57). 3. Install the retaining ring (11) into the reaction housing (2), then install the statorplates(16)andfrictiondiscs(17) in the correct stack up, as shown below.

4. Install the spring (10) and then press the adjusting mechanism assembly (items 9, 22, 23) into the brake cover (20). 5. Attach the brake cover (20) with eight cap screws (13) and washers (14), usingagasket(15). 6. Fill the gearbox and brake with the proper oil. Refer to the winch maintenancesectionofthismanualfor oiltypeandamounts.

6.4. NonAdjustableOilBrakeAssembly 1. Press the oil seal into the reaction housing (3), then mount the reaction housing to the gearbox with six cap screws(5),usingagasket(2). 2. Install the key (4), coupler (6), and clutch/driver assembly (7, 8, 9, and 10),ontowormshaft(60). 3. Install the retaining ring (11) into the reaction housing (3), then install the statorplates(12)andfrictiondiscs(13)

in the correct stack up, as shown below. 4. Install the spring (14) then press the washer(16)intothebrakecover(17). 5. Secure the brake cover (17) with eight cap screws (20) and washers (21), usingagasket(15). 6. Fill gearbox and brake with proper oil. Refer to winch maintenance section of thismanualforoiltypeandamounts.

6.5. RufnekAdjustableOilBrakeAssembly 1. Press the oil seal (1) into the reaction housing (2). Attach the reaction housing to the gearbox with eight cap screws(16)usinggasket(17). 2. Install the key (15) and coupler (10) onto the worm. Next, install the clutch/driver assembly (Items 21, 22, 23, 25, 26, 27, and 28), onto the coupler(10). 3. With the retaining ring (22) on the clutch driver (23). Install the stator plates (20) and friction discs (19), in thecorrectlayoutasshownbelow. 4. Installthespring(13).

5. Install the adjusting mechanism assembly (items 5, 6, and 8) into the brake cover (7) and attach the brake cover to the gearbox with eight evenly installed cap screws (11) and washers (12). 6. Install the drain plug (9) into the bottomofthebrakecover(7). 7. Fill gearbox and brake with proper oil. Refer to winch maintenance section of thismanualforoiltypeandamounts. 8. Adjust the brake using the procedure onpage9ofthismanual.

6.6. ClutchAndDrumAssembly 1. Install bushings (12) into drum (14). Install the drum (14) onto the output shaft(78). 2. Slide the thrust washer (6) onto the output shaft (78). Install the keys (79) intotheoutputshaft. 3. Install the clutch indicator kit (100) ontotheslidingclutch(7)andslidethe clutchoverthekeys(79).

Install the end bracket (32) and the yoke assembly or clutch position indicator assembly (100) onto the output shaft (78) and mount it to the frame using four capscrews (61), nuts (63),andwashers(62). 5. Installtheendcap(3)andbushing(23) and secure them with four capscrews (1),nuts(34),andwashers(35).

CLUTCHPOSITIONINDICATORADJUSTMENT (FORRUFNEKWINCHESONLY) Make sure that the sliding clutch (7) is fully engaged and that the yoke assembly (100) is not binding on the drum clutch. The lugs of the yoke MUST be centered in the groove with the clutchfullyengagedinorderfortheclutchpositionindicatortobeproperlyadjusted(SeeFIG 1) The switch is a normallyopen electrical switch that is actuated by disengaging the clutch whichclosesthecircuit. With the clutch fully engaged, adjust the switch in until the warning device is activated, then backout1/4turntodeactivatethewarningdevice. Tightenthejamnutagainsttheclutchbrackettosecuretheadjustment. Test the switch by fully engaging, then disengaging, the clutch. The warning device should activatewhiledisengagingtheclutchpivotingnomorethan3.

Effective8/1/2008 SUPERSEDESALLPRIORWARRANTIES Seller warrants that each article (whether Gear Drive Products, Brake Products and/or Winch Products, all of which are covered hereunder) sold under this order shall at the time of shipment (i) conformtoapplicablespecifications,and(ii)be freefromdefectsinmaterialandworkmanshipduring normalandordinaryuseandservice(the"Warranty"). Buyer'sexclusiveremedyandSeller'ssoleobligationunderthisWarrantyshallbe,atSeller'soption,to repair or replace any article or part thereof which has proven to be defective, or to refund the purchase price of such article or part thereof. Buyer acknowledges that Buyer is knowledgeable concerning the articles covered by this Warranty and sold in connection therewith which are being purchased, that Buyer has reviewed this Warranty and that the remedies provided hereunder are adequateandacceptabletoBuyer. This Warranty shall expire one (1) year from the date the article is first shipped by Seller. Notice of claimed breach of this Warranty must be given by Buyer to Seller within the applicable period. Such notice shall include an explanation of the claimed warranty defect and proof of date of purchase of the article or part thereof for which warranty coverage is sought. No allowances shall be made by Seller for any transportation, labor charges, parts, "in and out" costs, adjustments or repairs, or any otherwork,unlesssuchitemsareauthorized inwritingand inadvancebySeller.NorshallSellerhave anyobligationtorepairorreplaceitemswhichbytheirnatureareexpendable. Ifanarticleisclaimedtobedefectiveinmaterialorworkmanship,ornottoconformtotheapplicable specifications, Seller will either examine the article at Buyer's site or issue shipping instructions for return to Seller. This Warranty shall not extend to any articles or parts thereof which have been installed, used, or serviced otherwise than in conformity with Seller's applicable specifications, manuals, bulletins, or instructions, or which shall have been subjected to improper installation, operation, or usage, misapplication, neglect, incorrect installation, overloading, or employment for otherthannormalandordinaryuseandservice. This Warranty shall not apply to any article which has been repaired, altered or disassembled, or assembled by personnel other than those of Seller. This Warranty shall not apply to any article upon which repairs or alterations have been made (unless authorized in writing and in advance by Seller). This Warranty shall not apply to any articles or parts thereof furnished by Seller to Buyer's specificationsand/orfurnishedbyBuyeroracquiredfromothersatBuyer'srequest. SELLER MAKES NO EXPRESS WARRANTIES AND NO IMPLIED WARRANTIES OF ANY KIND, OTHER THAN THE WARRANTY EXPRESSLY SET FORTH ABOVE. SUCH WARRANTY IS EXCLUSIVE AND IS MADE AND ACCEPTEDINLIEUOFANYANDALLOTHERWARRANTIES,EXPRESSORIMPLIED,INCLUDINGWITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Buyer expressly agrees that Seller is not responsible to perform any work or investigation related in any way to torsional vibration issues and is not responsible for the detection or remedy of Natural Frequency Vibration of the mechanical system in which the unit is installed. Buyer acknowledges, understands and agrees that this Warranty does not cover failures of the unit which result in any manner from the operation of the machine or unit at vibration frequencies at or near the natural frequencyvibrationofthemachineinsuchawaythatdamagemayresult.Buyerexpresslyagreesthat Seller is not responsible for failure damage or accelerated wear caused by machine or ambient vibration. Further, Buyer acknowledges and agrees that Buyer is always solely responsible for determinationandfinalapprovaloftheapplicationfactorwhichmaybeusedinSellerscalculations, andthisapplicationfactoris1.0unlessotherwisestatedinSellersquotationspecifications. The remedies for this Warranty shall be only those expressly set forth above, to the exclusion of any and all other remedies of whatsoever kind. The limited remedies set forth above shall be deemed exclusive, even though they may fail their essential purpose. No agreement varying or extending the foregoingWarranty,remedies,exclusions,orlimitationsshallbeeffectiveunlessinawritingsignedby an executive officer of Seller and Buyer. This Warranty is nontransferable. If a party who had purchased articles from Buyer, or from persons in privity with Buyer, brings any action or proceeding against Seller for remedies other than those set forth in this Warranty, Buyer agrees to defend Seller against the claims asserted in such action or proceeding at Buyers expense, including the payment of attorneys fees and costs, and indemnify Seller and hold Seller harmless of, from and against all such claims, actions, proceedings or judgments therein. Buyer also agrees to defend and indemnify Seller of, from and against any loss, cost, damage, claim, debt or expenses, including attorneys fees, resulting from any claims by Buyer or third parties to property or injury to persons resulting from faultyinstallation,repairormodificationofthearticleandmisuseornegligentoperationoruseofthe article, whether or not such damage to property or injury to persons may be caused by defective material, workmanship, or construction. ADVISORY: Winches and hoists are not approved for lifting or handling personnel or persons unless specifically approved in writing from Seller for the specific intendedapplication. Under no circumstances shallSellerbe liable (i) foranydamageorloss toanypropertyother than the warranted article or part thereof, or (ii) for any special, indirect, incidental, or consequential damage orloss,eventhoughsuchexpenses,damages,orlossesmaybeforeseeable. The foregoing limitations on Seller's liability in the event of breach of warranty shall also be the absolute limit of Seller's liability in the event of Seller's negligence in manufacture, installation, or otherwise,withregardtothe articlescoveredbythis Warranty,andatthe expirationofthe Warranty period as above stated, all such liabilities shall terminate. Buyers purchase of any article(s) covered by this Warranty shall constitute acceptance of the terms and conditions hereof and shall be binding upon Buyer and Buyers representatives, heirs and assigns. The laws of the State of Oklahoma shall govern Buyers rights and responsibilities in regard to this Warranty and the transaction(s) subject thereto, and the State of Oklahoma shall be the exclusive forum and jurisdiction for any action or proceedings brought by Buyer in connection herewith or any dispute hereunder. If any of the terms andconditionscontainedwithinthisWarrantyarevoid,theremainingprovisionsthereofareandshall remainvalidandenforceable.
