Security agreement for suppliers

Entered into pursuant to Norwegian Oil and Gas Guidelines for securing supplies and materials in the oil industry

1. Parties to the agreement

The Supplier must appoint a security manager who will have the formal contact with the Principal in security-related matters. The Supplier must also at all times, while packing and sealing take place, appoint a person responsible for securing the shipment. Personnel with security responsibility should stand out as enthusiastic role models in the security work. The Suppliers personnel are subject to a duty of conf identiality in service matters, also after the service relationship ends. The duty of confidentiality must be acknowledged with a signed written declaration of confidentiality. In contracts with hired personnel, the duty of confidentiality must be included as a standard contract stipulation. Access authorisations must be updated at all times. In the event of termination/cessation of the contract, the Supplier must ensure that all authorisations, accesses and proxies cease, and that borrowed material, computer software, handbooks, work descriptions, ID cards, keys and other property/documentation is returned to the Supplier.

2. Objective of the agreement


The security agreement describes measures the Supplier must implement in order to use Norwegian Oil and Gas security seal on carriers to be used in the oil and gas industry on the Norwegian continental shelf and associated land facilities. The Supplier can, on its own initiative, implement further security measures that it deems necessary at any given time. Requirements for baseline security measures described in Norwegian Oil and Gas 091, Appendix 1, must be implemented before a security agreement can be signed.

4. Area security
The area security must ensure that unauthorised persons do not come in contact with the Principals cargo or carrie rs without this being discovered. Areas and premises used by the Supplier for packing and sealing closed carriers, must be well arranged, well-lit and under surveillance by the Suppliers responsible persons for securing the shipment. Carriers that are temporarily or completely sealed, and which must wait for longer periods without surveillance awaiting further packing or transport, must be relocated to a controlled area.< Norwegian Oil and Gas 091 Appendix1> If it is discovered that unauthorised persons have, or could have been in contact with the Principals cargo or carriers, the Supplier must carry out a full manual inspection of the exposed cargo and carriers in consultation with the Principal. For further clarification as regards the Guidelines requirements for sealing, reference is made to the brochure Joint measures for security in the supply chain.

3. Personnel security measures


The Supplier is responsible for its own employees and hired personnel being suited for work for the Principal. The Supplier must be able to verify the identity of the personnel. If there is reasonable doubt regarding the suitability of the person in question, the person in question cannot perform security-related work for the Principal. Before external recruitment takes place, the candidate must have submitted written documentation of education and experience. Written references from former employers, educational institutions and other relevant bodies must be checked within the framework of applicable statutes and regulations, and in accordance with provisions stipulated by the Supplier. Security conversations must be held with new employees and new hired personnel before commencing the work relationship. Own employees and hired personnel on long-term contracts must undergo a security conversation at least every other year. The security conversation should include knowledge of routines and rules as regards security, reporting security breaches and consequences of breaches to security routines. The time and content of the security conversations must be documented.

5. Access to controlled areas


Personnel permanently employed by the Supplier must, at all times, carry visible picture ID cards, issued by their own employer or the Supplier. Registration of visitors in controlled areas must take place using individual registration forms or in a designated computer system. Visitors may not have access to other peoples

visitor data. Registration data must be retained but not disclosed to unauthorised persons for a minimum of three years. Unknown personnel must present valid identification before being granted access to a controlled area. A drivers licence, passport or national ID card are considered valid forms of identification. Personnel employed in known enterprises can identify themselves with the enterprises own picture ID card. Foreign citizens must identify themselves with a passport. Visitors must be accompanied back to the reception/waiting room at the end of the visit. Family members are considered visitors.

8. Security during transport of cargo with vehicles


The Supplier must observe the security requirements for transport indicated in Norwegian Oil and Gas Guidelines 091 and other requirements stipulated in agreements between the parties.

9. Audits
The Principal may carry out audits of the Suppliers compl iance with this agreement. The Supplier must cooperate fully with the Principal and/or its representatives during the audit. The Principal may carry out an audit of any activity or task connected to this agreement. The audit could, e.g. comprise conversations with personnel involved in tasks associated with this agreement, and audits of areas and premises used for packing and storing shipments subject to this agreement. If the Supplier has, according to agreement with the Principal, the right to enter into Norwegian Oil and Gas security agreement with own sub-suppliers; the Supplier must document planned and completed audits, and the results of completed audits vis--vis the Principal.

6. Inspection and sealing


Supplies and materials must be inspected visually before being packed in carriers and sealed. If a visual inspection is not possible, some other suitable inspection must be carried out. Sealing of carriers must only be carried out by the Suppliers responsible persons for securing the shipment, or by the Suppliers security manager. Supplies and material from suppliers WITHOUT security agreements must be inspected before being packed in carriers and sealed with the Norwegian Oil and Gas security seal. Supplies and material from suppliers WITH security agreements that arrive sealed with the Norwegian Oil and Gas security seal can be packed directly in carriers. If continuous surveillance is not possible during packing, the Suppliers responsible person for securing the shipment, or the Suppliers security manager, must lock/cover and seal the relevant carrier with Norwegian Oil and Gas security seal until the packing can resume. Such temporary sealing can only be carried out for shorter periods of time (hours). The guidelines requirements for sealing must be observed, and the seal number must be logged.

10. Termination of agreement


The Principal has the right to terminate this agreement with one months written notice. The Principal has the right to terminate this agreement effective immediately if there has been a serious breach of contract by the Supplier.
