SECTION 1 FORM OF AGREEMENT

THIS AGREEMENT is made in Dubai, UAE on the BETWEEN

XXXXXXX, P.O.Box XXXXXXX, Dubai, U.A.E (hereinafter referred to as the Employer) And FRAYLAND L.L.C., P.O. Box 13750, Dubai, U.A.E (hereinafter referred to as the Contractor) of the other part WHEREAS A. The Employer is the owner of Plot No. XXXXXX in XXXXXXX (hereinafter referred to as the Site), and desires to carry out B+ G+1 villa in the site namely design, execution, completion and maintenance(hereinafter referred to as the Works) at the Site (hereinafter referred to as the Project). The Contractor has submitted its offer for carrying out and completion of the works and subsequently the confirmation of agreement on the final price was issued by the contractor on the 31st May 2012 by letter reference JS076/CV/PD/L12589/12. The Employer is agreeable to appoint the Contractor to perform the Project, on the terms and conditions contained hereunder.

NOW THIS AGREEMENT WITNESSETH as follows: 1. Definitions In this Agreement words and expressions shall have the same meanings as are respectively assigned to them in the Conditions of Contract hereinafter referred to: 2. The Contract The following documents shall be deemed to form and be read and construed as part of the Contract: Section 1. the Form of Agreement, Section 2. Section 3. Section 4. Section 5. Section 6. the Terms and Conditions, the Design Concept Layouts, the Technical Information, the Contract Sum Analysis, the Preliminary Construction Programme.

SECTION 1 FORM OF AGREEMENT The several documents forming the Agreement are to be taken as mutually explanatory of one another, but in case of ambiguities or discrepancies between any two or more of these documents, the above mentioned order of priority shall apply to determine which document contains the definitive terms of the point concerned. 3. The Consultant The term Consultant shall mean the person/firm appointed by the Contractor for the design and supervision of the Works. 4. Contractors Principle Obligations In consideration of the payments to be made by the Employer to the Contractor as hereinafter mentioned, the Contractor hereby covenants with the Employer to carry out and complete the Works and to remedy defects therein in conformity in all respects with the terms, conditions and provisions of the Contract. 5. Employers Principle Obligations The Employer hereby covenants to pay the Contractor, in consideration of the carrying out and completion of the Works and the remedying of defects therein, at the times and the manner prescribed by the Contract: The sum of UAE Dirhams _XXXXXXXXXX_(Design & Build Price) (UAE Dirhams Only);

Which sum is hereinafter called the Contract Price, or such other sum as may become payable under the Agreement. IN WITNESS whereof, the authorized representatives of the parties have hereto caused this Agreement to be executed the day and year first above written.
