.ThisSoftwareislicensedforuseonlyinconjunctionwithIntel componentproducts.UseoftheSoftwareinconjunctionwithnonIntelcomponent productsisnotlicensedhereunder.SubjecttothetermsofthisAgreement, IntelgrantstoYouanonexclusive,nontransferable,worldwide,fullypaidup licenseunderIntelscopyrightsto: a)useandcopySoftwareinternallyforYourowndevelopmentandmaintenance purposes;and b)copyanddistributeSoftware,includingderivativeworksoftheSoftware,to Yourendusers,butonlyunderalicenseagreementwithtermsatleastas restrictiveasthosecontainedinIntel'sFinal,SingleUserLicenseAgreement, attachedasExhibitA;and

c)copyanddistributetheenduserdocumentationwhichmayaccompanythe Software,butonlyinassociationwiththeSoftware. IfYouarenotthefinalmanufacturerorvendorofacomputersystemorsoftware programincorporatingtheSoftware,thenYoumaytransferacopyofthe Software,includingderivativeworksoftheSoftware(andrelatedenduser documentation)toYourrecipientforuseinaccordancewiththetermsofthis Agreement,providedsuchrecipientagreestobefullyboundbythetermshereof. Youshallnototherwiseassign,sublicense,lease,orinanyotherwaytransfer ordiscloseSoftwaretoanythirdparty.Youshallnotmodifyorreverse compile,disassembleorotherwisereverseengineertheSoftware. ExceptasexpresslystatedinthisAgreement,nolicenseorrightisgrantedto Youdirectlyorbyimplication,inducement,estoppelorotherwise.Intelshall havetherighttoinspectorhaveanindependentauditorinspectYourrelevant recordstoverifyYourcompliancewiththetermsandconditionsofthis Agreement. CONFIDENTIALITY.IfYouwishtohaveathirdpartyconsultantorsubcontractor ("Contractor")performworkonYourbehalfwhichinvolvesaccesstooruseof Software,Youshallobtainawrittenconfidentialityagreementfromthe Contractorwhichcontainstermsandobligationswithrespecttoaccesstooruse ofSoftwarenolessrestrictivethanthosesetforthinthisAgreementand excludinganydistributionrights,anduseforanyotherpurpose.Otherwise, YoushallnotdisclosethetermsorexistenceofthisAgreementoruseIntel's nameinanypublications,advertisements,orotherannouncementswithoutIntel's priorwrittenconsent.YoudonothaveanyrightstouseanyInteltrademarks orlogos. OWNERSHIPOFSOFTWAREANDCOPYRIGHTS.TitletoallcopiesoftheSoftware

remainswithInteloritssuppliers.TheSoftwareiscopyrightedandprotected bythelawsoftheUnitedStatesandothercountries,andinternationaltreaty provisions.YoumaynotremoveanycopyrightnoticesfromtheSoftware.Intel maymakechangestotheSoftware,ortoitemsreferencedtherein,atanytime andwithoutnotice,butisnotobligatedtosupportorupdatetheSoftware. Exceptasotherwiseexpresslyprovided,Intelgrantsnoexpressorimpliedright underIntelpatents,copyrights,trademarks,orotherintellectualproperty rights.YoumaytransfertheSoftwareonlyiftherecipientagreestobefully boundbythesetermsandifyouretainnocopiesoftheSoftware. LIMITEDMEDIAWARRANTY.IftheSoftwarehasbeendeliveredbyIntelon physicalmedia,Intelwarrantsthemediatobefreefrommaterialphysical defectsforaperiodofninety(90)daysafterdeliverybyIntel.Ifsucha defectisfound,returnthemediatoIntelforreplacementoralternatedelivery oftheSoftwareasIntelmayselect. EXCLUSIONOFOTHERWARRANTIES.EXCEPTASPROVIDEDABOVE,THESOFTWAREIS PROVIDED"ASIS"WITHOUTANYEXPRESSORIMPLIEDWARRANTYOFANYKIND,INCLUDING WARRANTIESOFMERCHANTABILITY,NONINFRINGEMENT,ORFITNESSFORAPARTICULAR PURPOSE.Inteldoesnotwarrantorassumeresponsibilityfortheaccuracyor completenessofanyinformation,text,graphics,linksorotheritemscontained withintheSoftware. LIMITATIONOFLIABILITY.INNOEVENTSHALLINTELORITSSUPPLIERSBELIABLE FORANYDAMAGESWHATSOEVER(INCLUDING,WITHOUTLIMITATION,LOSTPROFITS, BUSINESSINTERRUPTIONORLOSTINFORMATION)ARISINGOUTOFTHEUSEOFOR INABILITYTOUSETHESOFTWARE,EVENIFINTELHASBEENADVISEDOFTHEPOSSIBILITY OFSUCHDAMAGES.SOMEJURISDICTIONSPROHIBITEXCLUSIONORLIMITATIONOF LIABILITYFORIMPLIEDWARRANTIESORCONSEQUENTIALORINCIDENTALDAMAGES,SOTHE

ABOVELIMITATIONMAYNOTAPPLYTOYOU.YOUMAYALSOHAVEOTHERLEGALRIGHTS THATVARYFROMJURISDICTIONTOJURISDICTION. TERMINATIONOFTHISAGREEMENT.IntelmayterminatethisAgreementatanytime ifyouviolateitsterms.Upontermination,youwillimmediatelydestroythe Softwareorreturnallcopies.
