TECHNICAL COMMENTS / EXCLUSION

1) We have not received SLD; our offer is based on our BOM as per annexure-II.

2) We have offered switchboard with roadworthy packing suitable for Indoor/Covered
storage during transit. However for storage for long duration it is advisable to keep it
under suitable covered shed. Kindly note that the equipment is designed for operation in
indoor conditions.

3) We have offered modern cassette mounted VCB that can be drawn out on a separate
trolley provided with the offered switchgear.

4) We have standardized on epoxy powder coating shade RAL-7035. Please accept same.

5) Auxiliary & Control supply shall be arranged by client.

ANNEXURE-VII
COMMERCIAL TERMS & CONDITIONS
PRICE

The prices for the switchgear are indicated in the table of the Price Schedule. This offer is limited to the supply
of the switchgear according to the technical specification and BOM.

PRICE BASIS

The quoted prices are Ex Works Gr. Noida U.P. basis, net and firm. All taxes and Duties, Freight & Insurance
shall be charged extra as applicable at the time of delivery. Present rate of Excise Duty @ 12.36% & CST@
2% against form C or VAT are 14% is applicable.

VALIDITY

This offer is valid for 1 month from the date of offer.

DELIVERY TIME

The Ex-works delivery shall be 8-10 weeks from the date of drawing approval.

PAYMENT TERMS

Advance 30% of order value with the order, Balance 70% plus all taxes and duties, prior to despatch of
material.

WARRANTY LIABILITY

CS EFACEC warrants that the supplies shall be free from original defect in materials and workmanship for a
period of 18 (Eighteen) months from dispatch, or 12 (Twelve) months from the date of commissioning of
equipment at site-whichever occurs first.

Purchaser shall, within 30 (thirty) days, inform CS EFACEC in writing regarding any original defect found in
the supplies during the warranty period, fully describing those effects, and return such defective supplies for
repair or replacement, if appropriate, without which the warranty granted by CS EFACEC shall cease.

CS EFACEC shall at its own cost repair or replace the defective materials within the adequate period of time
to perform the necessary enquiries, changes, repairs and/or replacements and tests.

The repairs or replacement period shall not in any way be extended beyond the warranty period above
referred to.

Any repairs or replacement performed by the purchaser or by a third party during the period of warranty,
without previous written consent of CS EFACEC, shall immediately and definitively cease the warranty
granted by CS EFACEC.

The warranty granted is exclusively limited to the supplies and does not cover improper and incorrect use or
maintenance, negligence, accidents, abuses, lack of vigilance, incorrect assembly, normal deterioration,
inappropriate environment, external chemical, electrical or electro-chemical influences, unauthorised
operation or modification, disregard for instructions contained in user's manual.

CS EFACEC shall not be responsible for any special, indirect, incidental or consequential damages resulting
from any of its supplies other than the liability stated above.

FREIGHT & TRANSIT INSURANCE

Freight & Transit Insurance shall be arranged by the purchaser.

FORCE MAJEURE

In case of Force Majeure, CS Efacec shall not be liable for loss or damage, failure or delay in performing its
obligations, and CS Efacec may at its sole discretion extend the delivery time without penalty. Force Majeure
may be called in case of, but not limited to, act of God, flood, typhoon, earthquake, tidal wave, landslide, fire,
epidemic, perils of the sea, war (declared or not), civil commotion, blockade, requisition, sabotage, strike,
lockout, accident or breakdown in industrial facilities, or any other circumstances beyond the reasonable
control of CS Efacec.
