MODEL CONSENT AND RELEASE FORM
1. Model (as identified below) hereby irrevoably grants to !"todes#$ its affiliates and liensees$
inl"ding witho"t limitation !"todes# resellers and distrib"tors$ and eah of their res%etive s"essors
and assigns (olletively$ &Autodesk') the non(e)l"sive right to ma#e a"dio$ video$ %hotogra%hi$ or
other reordings of Model and*or artisti or om%"ter renderings$ sim"lations$ or silho"ettes of Model
(olletively$ the &Renderings')$ whih may feat"re or sim"late Model+s name$ voie$ li#eness$ image$
gest"res$ mannerisms$ signat"re$ written or s%o#en words$ biogra%hial information$ or other as%ets of
Model+s %ersona (olletively$ the &Depiction') and to "se the Renderings and ,e%ition (olletively$ the
&Items')$ in onnetion with any or all of !"todes#+s internal or e)ternal advertising$ mar#eting$ %rod"t$
%a#aging$ %romotional$ or sales materials (olletively$ &Materials') and on the terms desribed herein
(olletively$ the &Rights'). -he Rights inl"de b"t are not limited to the rights to advertise$ %romote$
%"blii.e$ re%rod"e$ %erform$ dis%lay$ distrib"te$ transmit$ e)hibit$ ma#e derivative wor#s of$ and
otherwise "se (inl"ding witho"t limitation in the form of diret endorsement) the /tems$ or any %art or
derivative thereof$ alone or as %art of the Materials$ at no harge$ %er%et"ally$ worldwide$ and in all media
and by all means (now #nown or hereafter devised)$ witho"t limitation$ inl"ding %rint %"bliations$ the
internet$ video or a"dio broadasts$ and slideshows.
2. -his Form does not give !"todes# ownershi% of the ,e%ition. 0owever$ to the e)tent Model has any
rights in the Renderings$ Model hereby irrevoably assigns and onveys to !"todes# all right$ title$ and
interest Model may have in and to the Renderings$ inl"ding witho"t limitation all intellet"al %ro%erty
rights relating thereto. Model also hereby irrevoably assigns and onveys to !"todes# all rights
neessary for !"todes# to %"rs"e any legal ation against any third %arty arising o"t of or in onnetion
with any "na"thori.ed "se of the Materials. Model hereby irrevoably waives all ommon law and
stat"tory rights of %"bliity$ %rivay rights$ moral rights$ and all other rights whatsoever$ and releases and
holds harmless !"todes# and its offiers$ diretors$ em%loyees$ and agents from all laims of any nat"re$
#nown or "n#nown$ arising o"t of any of the Materials or the e)erise of any Rights$ inl"ding witho"t
limitation any laims for violation of any rights of %"bliity or %rivay or for inflition of emotional distress.
1%on !"todes#+s re2"est$ Model shall oo%erate with !"todes# and e)e"te any do"ments neessary or
a%%ro%riate to effet"ate$ %erfet$ defend$ or enfore any of the Rights$ inl"ding witho"t limitation
!"todes#+s ownershi% of the Renderings or Materials.
3. Model "nderstands that Model will not reeive additional om%ensation in e)hange for the Rights
and that !"todes# may or may not e)erise any Rights$ in its sole disretion. Model agrees that Model+s
e)l"sive remedy (if any) for any laim arising o"t of e)erise of any Rights (whether s"h laim is based
on breah of ontrat$ tort$ or any other legal theory) shall be limited to an ation at law for damages4
Model shall not be entitled to any in5"ntion or other e2"itable remedy.
6. Model re%resents and warrants that7 (a) Model has the f"ll right$ a%aity$ and a"thority$ inl"ding all
%"bliity and intellet"al %ro%erty rights$ needed to grant the Rights$ and no third %arty+s onsent is
re2"ired4 (b) e)erise of the Rights will not infringe "%on$ violate$ or onflit with any legal or ontrat"al
rights of any third %arty4 and () Model is not a member of any g"ild or "nion or otherwise overed by any
olletive bargaining agreement. Model reogni.es that !"todes# may in"r s"bstantial e)%ense in
e)erising the Rights in reliane on this Form.
8. -his Form shall be governed by California law$ witho"t regard to onflit(of(laws %rini%les. !ll
dis%"tes arising o"t of this Form shall be s"bmitted$ at !"todes#9s o%tion$ to the 1nited :tates ,istrit
Co"rt for the ;orthern ,istrit of California in :an Franiso or to the California :tate Co"rt in Marin
Co"nty. <wner hereby irrevoably onsents to the 5"risdition of these o"rts and waives any ob5etion
thereto for im%ro%er ven"e$ inonvenient for"m$ or any other reason.

=. -his Form onstit"tes the entire agreement with res%et to its s"b5et matter and may be modified
only by written agreement signed by Model and !"todes#. /f any %rovision of this Form$ or any %ortion
thereof$ is deemed invalid or "nenforeable for any reason$ the remainder of this Form shall remain in f"ll
fore and effet and the invalid or "nenforeable %rovision shall be onstr"ed and modified so as to
effet"ate the original intent thereof to the f"llest e)tent %ossible "nder a%%liable law. -his Form binds
Model and Model+s heirs$ e)e"tors$ s"essors$ and assigns.
>. If Model is a resident of Canada, Model confirms that it is Models wish that this Form, as well as
other documents relating hereto, have been and shall be written in the English language only. Si
