Preface

This book has been complied by Ernst & Young India LLP, the Knowledge Partner to
Maharashtra Industrial Development Corporation to assist in identification of investors,
prepare the investment promotion strategy and action plan, as well as provide hand
holding assistance to investors.
The intention is to provide executives a quick overview of the investment climate,
taxation, forms of business organizations, and business and accounting practices in
India. The book provides a detailed insight into the ease of doing business in
Maharashtra.
The complex decision-making process involved in undertaking foreign operations
requires an intimate knowledge of a countrys commercial climate as well as recognition
of the fact that this climate is continuously evolving. Companies doing business in India,
or planning to do so, would be well-advised to obtain current and detailed information

infrast ruct ure, less corrupt ion and a relat ively deregulat ed business environment . In
order t o facilit at e t he invest ors f urt her, t he Doing Business in Maharasht ra-2012 has
been prepared.
The int ent ion is t o provide execut ives a quick overview of t he invest ment climat e,

1.1 Algorithm for the Company Setting
The algorit hm involved in company set t ing, is explained as below:
1. Obt ain t he PANf or t he direct or of t he company. It can be applied online t hrough
t he NSDLor UTI websit e. Also, of fline applicat ion can be made by filling up Form
49A. Aft er filling t he form, at t ach support ing document s and submit t he
document s in Income t ax off ice for allot ment of PAN.
2. Obt ain t he Direct or Ident if icat ion number t hrough DINf orm 1. It is t he first st ep
in company incorporat ion. The user should refer t o t he Minist ry of Corporat e
Af fairs (MCA) websit e for t his applicat ion. On approval of DIN, int imat e your DIN
t o all t he company (ies) (wit hin a period of 30 days f rom t he dat e of approval) in
which you are a Direct or, in f orm DIN-2. Aft er t he Direct or has int imat ed t he DIN
allot t ed t o t he company(ies). The Company(ies) is/are t hen required t o int imat e
t he DINs of it s direct ors t o t he ROC in Form DIN-3 wit hin a period of seven days
of receiving f orm DIN-2.
3. Obt ain digit al signat ures t hrough t he eight cert ificat ion agencies aut horized by
t he CCA t o issue t he Digit al Signat ure Cert if icat es (DSCs).
4. Regist er on t he MCA websit e, if you are new user.
5. Company name approval must be done elect ronically. Apply for t he name of t he
company t o be regist ered by filing Form1A for t he same.
6. Pay t he st amp dut ies f or t he company document s, Art icles of Associat ion,
Memorandum of Associat ion: INR 200 and For m-1 (declarat ion of compliance)
7. Fill f orm 1, Form 18 and Form 32, t o receive t he cert ificat e of incorporat ion.
8. Obt ain t he PANf or t he company. Ref er t o t he st ep 1.

3.1 Algorithm for getting tax approvals
1. Apply for TANonline at t he NSDL-TINwebsit e. Af t erwards, you need t o t ake a
print out of submit t ed f orm and mail it t o income t ax off ice along wit h support ing
document s and phot ographs. The income t ax off ice aft er scrut iny and approval,
allot s a TANnumber and mail t he TANcard at t he address provided by you in
applicat ion f orm. Also, you can apply off line by filling up Form 49B: Applicat ion
for Allot ment of TAN.
2. Apply for prof ession t ax. The applicat ion (Form-I i.e. EMPLOYERS
REGISTRATIONFORM) may be obt ained f rom t he sales t ax off ice or can be
phot ocopied, print ed or can be download from t he websit e of t he depart ment
(www.vat .maharasht ra.gov.in). The applicat ion for regist rat ion should be
submit t ed wit hin 30 days of t he employer becoming liable t o pay t ax.
3. Apply for VAT. For MVAT, regist rat ion can be done online. Af t er filling t he
applicat ion and submit t ing t he form acknowledgment cont aining dat e and
t ime f or at t ending before Regist ering Aut horit y along wit h code/designat ion and
address of Regist ering Aut horit y is generat ed. If t he applicat ion is correct and
complet e in all respect along wit h relevant document s t hen Regist ering
Aut horit y will generat e TINaft er verif icat ion. Regist rat ion cert ificat es shall
be print ed and issued t o t he dealer on t he appoint ed day.
4. Apply for sales t ax. The form can be downloaded f rom websit e and t he filled f orm
along wit h support ing document s can be submit t ed in respect ive office. Aft er
verif icat ion t he regist rat ion cert ificat e is mailed on t he address ment ioned in t he
form.
5. Apply for Cent ral Excise Cert if icat e. Under rule 9 of t he Cent ral Excise (No.2)
Rules, 2001, t he Board has prescribed new Form for Applicat ion (FORM A-1) as
well as Regist rat ion Cert ificat e (FORM RC). The filled form along wit h support ing
document s can be submit t ed in respect ive of fice and aft er verif icat ion t he
regist rat ion cert ificat e is mailed on t he address ment ioned. Moreover, an online
regist rat ion module of cent ral excise is also int r oduced. To t ransact business all
users have t o f irst regist er wit h ACES (Aut omat ion of Cent ral Excise and Service
Tax) applicat ion. This regist rat ion is not a st at ut ory regist rat ion as envisaged in
Cent ral Excise Act but only a regist rat ion wit h t he syst em.
6. Apply for service t ax. The form can be downloaded f rom websit e and t he filled
form along wit h support ing document s can be submit t ed in respect ive of fice.

Moreover, t here is also an online regist rat ion module of Service Tax t hat brings

4.1 Algorithm for environmental Clearance
There are t wo t ypes of cat egories under which environment al clearance is sought , viz.
Cat egory A and Cat egory B. For Cat egory A project s, t he environment al clearance is
only given by t he Minist ry of Environment and Forest s. Appraisal will be done by t he
Cent ral Level Expert Appraisal Commit t ee (EAC) and Clearance will be given by MoEF,
GoI. EIA is mandat ory.
For ot her project s, t he clearance is only sought from t he St at e Level Expert Appraisal
Commit t ee (SEAC).
The Environment al Clearance (EC) process consist of t he following st ages -
Application for EC - t o be made by t he Project Proponent (PP) t o t he concerned
aut horit y wit h FORM 1 (and FORM 1A wit h concept ual plan f or const ruct ion project s
only), Pre-feasibilit y Report (PFR) and Terms of Reference (opt ional) f or conduct ing EIA
St udy.
Screening This is t o be done by SEAC f or Cat egory B project s only, t o f urt her classif y
as Cat egory B1 and B2. EIA will be necessary if classif ied as Cat egory B1.
Scoping - Det erminat ion of Terms of Ref erence (ToR) f or EIA st udy for Cat egory A and
Cat egory B1 project s. To be done by EAC (f or Cat egory A) or SEAC (f or Cat egory B1).
EIA Study - Based on t he ToR, t he project proponent (PP) will prepare draf t EIA &EMP.
Public Consultation - Wit h Draf t EIA and EMP public consult at ion will be organised.
Issues raised will be addressed in f inal EIA &EMP report .
Appraisal - EIA &EMP will be appr aised by EAC (f or Cat egory A ) and SEAC (f or
Cat egory B1). For Cat egory B2, EIA is not required, appraisal will be done by SEAC on
t he basis of FORM 1 and PFR only.
Decision - On t he basis of recommendat ions by EAC / SEAC clearance will be finally
grant ed or reject ed by t he MoEF(f or Cat egory A) / SEIAA (f or Cat egory B).

Cost:
Applicat ion f ee of INR 1000 (t o be submit t ed wit h t he applicat ion f orm)
charges f or preliminary inspect ion visit @ INR 4000/- per man day f or first visit and
INR 3000/- f or subsequent visit s.
Advance annual minimum marking fee (dif ferent for dif ferent product s) (det ails
available on BIS websit e) t o be deposit ed at t he t ime of grant of license (Annual license
fee of Rs.1000/- is also t o be paid at t he t ime of grant of license).
The t est ing charges of t he sample(s) drawn during Preliminary Inspect ion visit shall be
paid by t he applicant . (In case of payment in INR service t ax current ly @12.36%shall be
applicable)
