I, _________________, of legal age, Filipino, married, acting as the authorized representative of RPRP VENTURES MANAGEMENT AND DEVELOPMENT CORPORATION (PRINCIPAL), a corporation duly organized and existing under Philippine laws, with address at Unit 2010 Prestige Tower, F. Ortigas Jr. Road, Ortigas Center, Pasig City do hereby name, constitute and appoint ____________________________ (BROKER) of legal age, Filipino, Married, with residential address at _____________________________________________________, whose specimen signature appears below, as my authorized real estate agent to do the following acts:
1. The PRINCIPAL shall employ the BROKER as his agent to sell the PRINCIPALS real estate property consisting of residential and commercial condominium units of Sofia Tower Condominium, located at 85 Don Roces Avenue, Quezon City, Metro Manila.
2. The BROKER accepts the appointment and shall use his/her best efforts to procure ready, willing and able buyers of the units and present to them the current Sofia Tower pricing and payment scheme information.
3. The BROKER shall assist buyers in filling out of Reservation Agreement and submission of payments.
4. The PRINCIPAL shall pay the BROKER a fee/commission of eight per cent (8%) of the Total Contract Price if the BROKER procures a buyer ready, willing and able to purchase the PROPERTIES upon the terms contained in this Agreement or upon other terms acceptable to the PRINCIPAL either of the following manner:
a. Once the buyer has paid ten percent (10%) of the total contract price, the principal shall pay the broker fifty percent of his total commission; and b. Upon reaching twenty percent (20%) payment of the total contract price, the principal shall pay in full the brokers commission.
5. Nothing in this Agreement provides for the employment by the PRINCIPAL of the BROKER as his exclusive agent for the sale of the PROPERTIES: the PRINCIPAL reserves his right to employ other agents that he may choose to effect such sale;
6. The principal vests to the broker the limited authority of selling condominium and parking units in Sofia Tower Condominium;
7. The broker may procure sub-agents and the broker shall be solely liable to his subagents for any claims arising from the selling activities.
8. The principal reserves the right to claim against any damages that the subagents and agents may incur in violation of this agreement.
9. This Agreement shall commence on ___________________________, and shall terminate, subject to renewal by both parties, after 6 months from the above date.
