2- The Se'ond +art, sha(( at a(( times s/pport @ safe3/ard the *irst +art,?s interest in an, dea(in3
!ith Third +arties$
3- The Se'ond +art, sha(( be not a''ept for their o!n benefit an, trade 'ommission. dis'o/nt or
simi(ar pa,ment in 'onne'tion !ith a'ti4ities p/rs/ant to the Contra't$
:- The Se'ond +art, sha(( not be emp(o,ed b, or be en3a3ed in an, other !or6 for an, other part,
d/rin3 the 'ommitted period in this S/b Cons/(tan', A3reement !itho/t 'onsent of the *irst

- The Se'ond +art, sha(( not ma6e /se of or dis'(ose an, information or materia(s that it has
3ained in the 'o/rse of performin3 the ser4i'e or as res/(t of bein3 emp(o,ed b, the *irst

'(ient$ This pro4ision sha(( bind e4en after termination of this S/b Cons/(tan', A3reement$

The Se'ond +art, 'on4i'ted for 4io(ation of the La! in for'e in the territor, of #ndia
or an, other (a! of the 'o/ntr, or area !here it has performed the ser4i'es$
The Se'ond +art, 4io(ates an, pro4ision mentioned in Arti'(es B abo4e. and had
been fair(, pro4ed to ha4e 4io(ated s/'h pro4ision after 'aref/( in4esti3ation$
The *irst +art, is dissatisfied !ith the ser4i'es of the Se'ond +art,$
2- Coth the +arties ma, terminate this S/b Cons/(tan', A3reement either b, ser4in3 the Other
+art, !ith not (ess than one;month noti'e or b, pa,in3 one;month fees. !itho/t pre5/di'in3
the ri3hts and ob(i3ation of the Other +art, /nder this S/b Cons/(tan', A3reement$
