THIS POWER OF ATTORNEY is made on this...... day of.... 20..
by me SIR HIRENDRA NATH KUNDU, son of Late Girindra Nath Kundu, residing

WHEREAS by an Agreement dated.... executed simultaneously
with the execution of these presents, (hereinafter referred to as .the said
Agreement.) I have agreed to sell, transfer, release, relinquish, assign and
assure unto SRI PRAFULLA KUMAR SINHA, son of Late Panchanan Sinha,
residing at..... (hereinafter referred to as .the Purchaser.), for the
consideration and upon the terms and conditions therein mentioned, ALL
THAT one-fifth undivided share or interest in the property as fully mentioned
and described in the SCHEDULE hereunder written and hereinafter referred
to as .the said property., TOGETHER WITH all my right, title and interest in
the Agreement dated..... entered into with one M/s. DECENT DEVELOPER
PRIVATE LIMITED, a Company incorporated under the Companies Act,
1956 (hereinafter referred to as .the Developer.), in respect of one flat of
750 sq.ft. more or less, of super built-up area and a medium sized car parking
space to be constructed/under construction on the said property, pertaining
to my share in respect of .Owners. allocation. as defined in the said
agreement dated..... (hereinafter referred to as .the Developers. Agreement).
AND WHEREAS it has been agreed between me and the PURCHASER
herein that I shall constitute and appoint a nominee of the Purchaser as my
attorney who will be authorised by me to sell, transfer, release, relinquish,
assign and assure unto the Purchaser all my undivided one-fifth share and
interest in the said property TOGETHER WITH all my right, title and interest
in the Developer.s Agreement dated........... in respect of the said flat and
car parking space together with proportionate share in the common areas
and facilities as fully mentioned therein.
NOW THIS DEED WITNESSES that for the consideration as aforesaid I do
hereby nominate, appoint and constitute Sri........... the
nominee of the Purchaser under the said Agreement dated............ as my
attorney or agent in my name and on my behalf to do inter alia the following
acts, deeds and things:
1. To sign, execute and deliver all deeds, instruments and assurances
which he shall consider necessary under the terms of the said Agreement
dated...... in favour of the said Purchaser or his nominee or assignee
and to enter into and/or agree to such covenants and conditions, as may
be required for fully and effectually conveying the one-fifth undivided share
or interest in the said property as well as my right, title and interest in the
Developer.s Agreement dated.... being the said flat and car-parking
space TOGETHER WITH the proportionate share in the common areas and
facilities pertaining to .Owner.s allocation. as defined therein.
2. To present any such deed or deeds of sale, conveyance, release or
other document or instruments for registration, to admit execution and
receipt of consideration before the sub-Registrar or Registrar having
authority for and to have the said deed, conveyance or release registered
and to do all acts, deeds and things which my said attorney shall consider
necessary for conveying my undivided one-fifth share and interest in the said
property and the said flat and car-parking space to the said Purchaser or
his nominee or assignee as fully and effectually in all respects as I could
do the same myself.
3. And I do hereby agree to ratify and confirm all and whatsoever my
said attorney shall lawfully do or cause to be done in connection with the
sale of the said property under and by virtue of this Power of Attorney which
is hereby declared to be irrevocable as against the Purchaser herein for
valuable consideration.
SCHEDULE OF PROPERTY ABOVE REFERRED TO:
ALL THAT one-fifth undivided share and interest in the piece and parcel
of land measuring 5 (five) Cottahs 2 (two) Chittacks, more or less, in

super built-up area and a medium-sized car parking space to be constructed
thereon and the proportionate share in all the common areas and facilities
pertaining to the said flat.

Power-of-Attorney to sell immovable property and execute
and register deeds of conveyance in favour of purchasers
A POWER-OF-ATTORNEY given on the ...... day of ........... by
me [appointer] of [address, etc.]
WHEREAS I am desirous of authorising [attorney] of [address, etc.] to sell
and dispose of my property situated at ........ and fully described
in the schedule hereto and hereinafter referred to as .the said property.
NOW THIS DEED WITNESSETH that I the said [appointor] appoint the said
[attorney] to be my lawful attorney for me and in my name to perform the
following acts:
1. To sell and dispose of all and singular the said property with its
appurtenances either by private contract or by public auction and either
together or in separate parcels or lots for such price as to him shall seem
reasonable, and subject to such exceptions reservations covenants and
conditions, if any, as he shall think fit.
2. Upon the receipt of the consideration or purchase money for the same
or any part thereof to give a good receipt therefor which receipt shall
exonerate the person paying such money from seeing to the application
thereof or being responsible for the loss or misapplication thereof.
3. To sign, seal and execute as my act and deed deliver and register any
deed or instrument in writing and to do every other thing whatsoever which
may be necessary or proper for carrying any agreement for the purchase
into complete effect and execution in such manner that all my estate right
title and interest in or to the said property with its appurtenances (but subject
to any such exceptions reservations covenants and conditions as aforesaid)
may be effectually and absolutely conveyed and assured unto the purchaser
or respective purchasers thereof or unto such other person or persons and
in such manner and form as he or they shall direct or appoint.
4. The attorney may do all such acts matters and things including the
commencing and prosecuting or defending of any proceedings in connection
with any contract for the sale of the said property or any part thereof
or the rescission of any such contract or the recovery of any deposit or other
money paid thereunder or any matter or thing incidental to the completion
of any such contract.
AND I the said [appointor] hereby declare that all and every the receipts
deeds matters and things which shall be by him my said attorney given made
executed or done for the aforesaid purposes shall be as good valid and
effectual to all intents and purposes whatsoever as if the same had been
signed sealed delivered given or made or done by me in my own proper
person.
AND I hereby undertake at all times to ratify whatsoever my said attorney
shall lawfully do or cause to be done in or concerning the premises by virtue
of this power-of-attorney.
AND I declare this power-of-attorney to be irrevocable.
