 COMMERCIAL TERMS & CONDITIONS

Validity : 30 days from date of quotation.

Price Basis : Ex Works, Bangalore, Unpacked.
Delivery : 4 Weeks from date of technically and commercially clear purchase order.
Packing & : NIL
Forwarding
Freight & Transit : At Actual
Insurance
Octroi /Entry Tax : If Any, To your Account. Road Permit, if applicable, to be issued within 30
days of the order.
Bonus Claus : 5 % bonus amount will be charged if delivered before 7 Days from date of
Delivery.
Payment Terms : 100% against Delivery on COD/DOD .

Late Payment : In case the release of payment is delayed beyond 7 days from the date the
Charges payment was due then an interest @ 8% p.a. will be charged for the no. of
days the payment is delayed.
Excise Duty : NA
Sales Tax : Extra as applicable at the time of dispatch. Presently 2% against Form “C”,
otherwise VAT/CST @12.5% shall be applicable.
Service Tax : Extra, if any, if applicable at the time of invoicing

Contract Review : Each party reserves the right of contract review if any changes are made
to the terms of this offer. Any changes made in the terms, specifications,
design, process requirements while awarding the contract against this
offer needs to be discussed and accepted mutually before becoming
binding on either party.
Force Majeure : This order and the acceptance of any contract/ Contractual liabilities
arising out of this will be subject to Force Majeure Clause. Neither party
should be considered to be in default or in breach of its obligations under
an order/ contract/ agreement arising out of this offer to the extent that
the performance of such obligations is prevented or delayed under
circumstances of Force Majeure, which arises after the date of submission
of this order/ contract/ agreement arising consequent to this.
