Whereas the National Housing Bank had issued Housing Finance Companies
NHB! Directions, 2001 in respect o" matters relating to acceptance o" deposits
#$ housing "inance companies, prudential norms "or income recognition,
accounting standards, asset classi"ication, pro%ision "or #ad and dou#t"ul assets,
capital ade&uac$ and concentration o" credit' in%estments to #e o#ser%ed #$ the
housing "inance companies and matters to #e included in the (uditors )eport #$
the auditors o" such housing "inance companies and matters ancillar$ and
incidental thereto and amended the said Directions "rom time to time*
2. (nd whereas it is considered desira#le to issue consolidated Directions
incorporating the amendments made "rom time to time*
3. Now there"ore, the National Housing Bank ha%ing considered it
necessar$ in the pu#lic interest and #eing satis"ied that "or the purpose o"
ena#ling the National Housing Bank to regulate the housing "inance s$stem o"
the countr$ to its ad%antage, it is necessar$ to gi%e the Directions mentioned
#elow, here#$ in e+ercise o" the powers con"erred, #$ sections ,0, ,0(, ,1 and
33o" the National Housing Bank (ct, 1-./ 0, o" 1-./! and o" all the powers
ena#ling it in this #ehal", and in supercession o" the a"orementioned directions
gi%es the Directions hereina"ter speci"ied*
CHA*T+' I , *'+LI)INA'-
Shor i.e! commencemen an/ app.ica0i.i1 o% he Direcions
$& 1! 1hese Directions shall #e known as the Housing Finance Companies NHB! Directions,
2010* 1he$ shall come into "orce "rom the date o" pu#lication in the 2""icial 3a4ette and an$
re"erence in these Directions to the date o" commencement thereo" shall #e deemed to #e a
re"erence to that date*
2! 5nless otherwise directed #$ the National Housing Bank, these Directions e+cept the
Directions contained in Chapter 67 shall #e applica#le to e%er$ housing "inance compan$
registered under section 2-( o" the National Housing Bank (ct, 1-./ 0, o" 1-./!*
Directions contained in Chapter 67 shall #e applica#le to e%er$ auditor o" a housing "inance
compan$*
De%iniions
2. 1! 6n these Directions, unless the conte+t otherwise re&uires,
(1)8#anking compan$9 means a #anking compan$ as de"ined in :ection 0c! o" the Banking
)egulation (ct, 1-;- 10 o" 1-;-!<
(2)8#reakup %alue9 means the e&uit$ capital and reser%es as reduced #$ intangi#le assets and
re%aluation reser%es, di%ided #$ the num#er o" e&uit$ shares o" the in%estee compan$<

(3) 8carr$ing cost9 means #ook %alue o" the assets and interest accrued thereon #ut not
recei%ed<
(4)8compan$9 means a compan$ as de"ined in :ection ;0 6 aa! o" the )eser%e Bank o" 6ndia
(ct, 1-,; 2 o" 1-,;! #ut does not include a compan$ which is #eing wound up under an$
law "or the time #eing in "orce<
(5) ?control? shall ha%e the same meaning as is assigned to it under clause c! o" su#@
regulation 1! o" regulation 2 o" :ecurities and A+change Board o" 6ndia :u#stantial
(c&uisition o" :hares and 1akeo%ers! )egulations, 1--/<
(6) 8current in%estment9 means an in%estment which is #$ its nature readil$ realisa#le
and is intended to #e held "or not more than one $ear "rom the date on which such in%estment
is made<
(7) 8deposit9 shall ha%e the same meaning as assigned to it in :ection ;0 6 ##! o" the
)eser%e Bank o" 6ndia (ct, 1-,; 2 o" 1-,;!<
(8)8depositor9 means an$ person who has made a deposit with the housing "inance compan$
or a heir, legal representati%e, administrator or assignee o" the depositor<
(9) 8dou#t"ul asset9 means a term loan, or a leased asset, or a hire purchase asset, or an$
other asset, which remains a su#standard asset "or a period e+ceeding two $ears<
=ro%ided that with e""ect "rom Barch ,1, 2000, 8dou#t"ul asset9 shall mean a term loan, or a
leased asset, or a hire purchase asset, or an$ other asset, which remains a su#@standard asset
"or a period e+ceeding twel%e months<
C! 8earning %alue9 means the %alue o" an e&uit$ share computed #$ the a%erage o" pro"its
a"ter ta+ as reduced #$ the pre"erence di%idend and adCusted "or e+tra ordinar$ and non
recurring items, "or the immediatel$ preceding three $ears and "urther di%ided #$ the num#er
o" e&uit$ shares o" the in%estee compan$ and capitalised at the "ollowing rateD@
(1) in case o" predominantl$ manu"acturing compan$, eight percent<
(2) in case o" predominantl$ trading compan$, ten percent< and
(3) in case o" an$ other compan$, including a Housing Finance Compan$, twel%e percent<
NoteD 6" an in%estee compan$ is a loss making compan$, the earning %alue will #e
taken as 4ero<
(11) 8 "air %alue9 means the mean o" the earning %alue and the #reakup %alue<
(12) 8"ree reser%es9 shall include the #alance in the share premium account, capital and
de#enture redemption reser%es and an$ other reser%e shown or pu#lished in the #alance sheet
o" the compan$ and created through an allocation o" pro"its, not #eing 1! a reser%e created
"or repa$ment o" an$ "uture lia#ilit$ or "or depreciation in assets or "or #ad de#t or 2! a
reser%e created #$ re%aluation o" the assets o" the compan$<
(13) 8housing "inance compan$9 means a compan$ incorporated under the Companies
(ct, 1-0> 1 o" 1-0>! which primaril$ transacts or has as one o" its principal o#Cects, the
transacting o" the #usiness o" pro%iding "inance "or housing, whether directl$ or indirectl$<
(14) 8h$#rid de#t9 means capital instrument which possesses certain characteristics o"
e&uit$ as well as o" de#t<
(15) 86nno%ati%e perpetual de#t9 means h$#rid de#t issued in accordance with the terms
and conditions stipulated in the Circular issued #$ National Housing Bank in this regard*
(16) 8lending pu#lic "inancial institution2 means E
(1) a pu#lic "inancial institution speci"ied in or under section ;( o" the Companies (ct,
1-0> 1 o" 1-0>!< or
(2) a :tate Financial Corporation or a :tate 6ndustrial 6n%estment Corporation< or
(3) a scheduled commercial #ank< or
(4) the 3eneral 6nsurance Corporation o" 6ndia esta#lished in pursuance o" the
pro%isions o" section - o" the 3eneral 6nsurance Business Nationalisation! (ct, 1-/2
0/ o" 1-/2!< or
(5) an$ other 6nstitution which the National Housing Bank ma$, #$ noti"ication, speci"$
in this #ehal"<
(17) 8long term in%estment9 means an in%estment other than a current in%estment<
(18) 8loss asset9 means E
(9)an asset which has #een identi"ied as loss asset #$ the housing "inance compan$ or
its internal or e+ternal auditor or #$ the National Housing Bank, to the e+tent it is not
written o"" #$ the housing "inance compan$< and
(35) an asset which is ad%ersel$ a""ected #$ a potential threat o" non
reco%era#ilit$ due to an$ one o" the "ollowing, namel$D@
(1) non@a%aila#ilit$ o" securit$, either primar$ or collateral, in case o" secured loans
and ad%ances<
(2) erosion in %alue o" securit$, either primar$ or collateral, is esta#lished<
(3) insurance claim, i" an$, has #een denied or settled in part<
(4) "raudulent act or omission on the part o" the #orrower<
(5) the de#t #ecoming time #arred under Fimitation (ct, 1->, ,> o" 1->,!<
(6) inchoate or de"ecti%e documentation*
Explanation@ For the remo%al o" dou#t, it is clari"ied that mere right o" the housing
"inance compan$ to "ile suit against the #orrower'guarantor "or reco%er$ o" dues does
not de#ar the National Housing Bank or the auditors to consider the asset or part
thereo" as loss asset due to a"oresaid reasons<
(19) 8net asset %alue9 means the latest declared net asset %alue #$ the concerned mutual
"und in respect o" that particular scheme<
(20) 8net #ook %alue9 means @
(1) in the case o" hire purchase asset, the aggregate o" o%erdue and "uture installments
recei%a#le as reduced #$ the #alance o" the unmatured "inance charges and "urther
reduced #$ the pro%isions made as per paragraph 2;2!i! o" these directions<
ii! in the case o" leased assets, aggregate o" capital portion o" o%erdue lease rentals
accounted as recei%a#le and depreciated #ook %alue o" the lease asset as adCusted #$
the #alance o" lease adCustment account<
(21) 8net owned "und9 means net owned "und as de"ined under section 2-( o" the
National Housing Bank (ct, 1-./ including paid up pre"erence shares which are
compulsoril$ con%erti#le into e&uit$ capital*
(22) 8non@per"orming asset9 re"erred to in these directions as 8N=(9! meansD@
(1) a loan asset, in respect o" which, interest has remained past due "or si+ months<
(2) a term loan other than the one granted to an agriculturist or to a person whose
income is dependent on the har%est o" crops! inclusi%e o" unpaid interest, when the
installment is o%erdue "or more than si+ months or on which interest amount
remained past due "or si+ months<
(3) a #ill o" e+change which remains o%er due "or si+ months<
(4) the interest in respect o" a de#t or the income on a recei%a#le under the head Gother
current assetsH in the nature o" short term loans'ad%ances, which "acilit$ remained
o%er due "or a period o" si+ months<
(5) an$ dues on account o" sale o" assets or ser%ices rendered or reim#ursement o"
e+penses incurred, which remained o%er due "or a period o" si+ months<

dependent on short duration crops, or
(2) "or one crop season #e$ond the due date i" the income o" the #orrower is
dependent on long duration crop*
Explanation
(1) For the purpose o" this su#@clause 8long duration9 crops would #e crops with
crop season longer than one $ear and crops, which are not 8long duration9
crops, would #e treated as 8short duration9 crops*
(2) 1he crop season "or each crop means the period up to har%esting o" the crops
raised, would #e as determined #$ the :tate Fe%el BankersH Committee in each
:tate*
(23)8owned "und9 means paid up capital including pre"erence shares compulsoril$
con%erti#le into e&uit$ shares, "ree reser%es, #alance in share premium account and capital
reser%es representing surplus arising out o" sale proceeds o" asset, e+cluding reser%es created
#$ re%aluation o" asset, as reduced #$ accumulated loss #alance, #ook %alue o" intangi#le
assets and de"erred re%enue e+penditure, i" an$<
(24) 8past due9 means an amount o" income or interest which remains unpaid "or a period
o" thirt$ da$s #e$ond the due date<
(25) 8pu#lic deposit9 means a deposit #ut does not include the "ollowing, namel$D@
(1) an$ amount recei%ed "rom the Central 3o%ernment or a :tate 3o%ernment or an$
amount recei%ed "rom an$ other source and whose repa$ment is guaranteed #$ the
Central 3o%ernment or a :tate 3o%ernment or an$ amount recei%ed "rom a local
authorit$ or an$ pu#lic housing agenc$, or a "oreign 3o%ernment or an$ other "oreign
citi4en, authorit$ or person<
(2) an$ amount recei%ed "rom the National Housing Bank, esta#lished under the
National Housing Bank (ct, 1-./ 0, o" 1-./!, or the 6ndustrial De%elopment Bank o"

Provided that the Director or shareholder, as the case may be, from whom the money is
received furnishes to the housing finance company at the time of giving the money, a
declaration in writing to the effect that the amount is not being given out of funds
acquired by him by borrowing or accepting from others;
Provided further that in the case of joint shareholders of a private limited company,
money received from or in the name of the joint shareholders except the first named
shareholder shall not be eligible to be treated as the receipt of money from the
shareholder of the company;

principal or pa$ment o" interest is percei%ed and which does not disclose an$ pro#lem nor
carr$ more than normal risk attached to the #usiness<

(1) an asset, which has #een classi"ied as non@per"orming asset "or a period not
e+ceeding two $ears<
=ro%ided that with e""ect "rom Barch ,1, 2000, an asset, which has #een classi"ied as
non@per"orming asset "or a period not e+ceeding twel%e months shall #e a su#@
standard asset<
(2) an asset, where the terms o" the agreement regarding interest and'or principal ha%e
#een re@negotiated or rescheduled a"ter release o" an$ instalment o" loan or an inter@
corporate deposit which has #een rolled o%er, until the e+pir$ o" one $ear o"
satis"actor$ per"ormance under the re@negotiated or rescheduled termsD
=ro%ided that where a dela$ in completion o" a proCect is caused on account o"

the National Housing Bank and it is compl$ing with all the prudential norms, pro%ided thatD
(1) a housing "inance compan$ ha%ing o#tained credit rating "or its "i+ed deposits not

interest pa$a#le thereon and the date on which the deposit is repa$a#le*

(1) it shall not withdraw the amount without the consent in writing o" the emplo$ee< and

deposit account unless such amount or an$ part thereo" is lia#le to #e appropriated #$ the
housing "inance compan$ "or the "ailure on the part o" the emplo$ee "or due per"ormance

deposits, deli%er to the o""ice o" the National Housing Bank at New Delhi "or registration, a
statement in lieu o" ad%ertisement containing all the particulars re&uired to #e included in the
ad%ertisement pursuant to the Non@Banking Financial Companies and Biscellaneous Non@
