a. Pursuant to A.R.S. § 38-431.03.A.3. – Discussion or consultation for legal advice
with the attorney or attorneys of the public body and A.R.S. §38-431.03.A.4. –
Discussion or consultation with the attorneys of the public body in order to consider
its position and instruct its attorneys regarding the public body’s position regarding
contracts that are the subject of negotiations, in pending or contemplated litigation or
in settlement discussions conducted in order to avoid or resolve litigation.re: the
establishment, operation, and management of intergovernmental agreements under
A.R.S. §§ 11-952, 11-952.01, and 15-382; conflict-of-interest analysis under Tile 38,
ch. 3, art. 8, as applicable, if at all, to intergovernmental agreements established
under A.R.S. §§ 11-952, 11-952.01, and 15-382; District procurement of goods and
services through intergovernmental agreements established under A.R.S. §§ 11-952,
11-952.01, or 15-382, the School District Procurement Rules, and the Uniform
System of Financial Records; the District’s current intergovernmental agreements
under the foregoing statutes and rules, and the applicability of the foregoing laws
and rules to them, including without limitation self-insurance pools, and risk-
management or liability minimization or avoidance programs; legal means for the
District to access or make use, directly or indirectly, of stimulus funding for solar
power under the American Recovery and Reinvestment Act of 2009 and 26 U.S.C.
§§ 49 & 50; procurement of guaranteed energy cost savings contracts under the
School District Procurement Rules and A.R.S. § 15-213.01 or otherwise as permitted

by law; solar renewable energy credit purchase agreements with Arizona utilities under
applicable law; the extent of authority under the District’s most recent bond authorization
for procurement of solar power; procurement of solar power generating capacity for long-
term stabilization of energy or power costs to the District, the long-term effect thereof, if
any, on maintenance and operations funding and capital funding, and the extent, if any, to
which the District can consider either environmental concerns or long-term availability
and cost of fossil-fuel power generation when taking decisions to transition in whole or in
part to solar power generating capacity and exit from the grid.
