Subcontractor Non compete & interview Agreement

This Agreement is made this on 04th day of December 2009 between Global Systems
LLC Address 9738 Evening Bird Lane, Laurel, MD 20723 hereinafter referred to as
“Subcontractor Interviewing Company”, and whiz-international LLC“Contractor”.

WHEREAS: Subcontractor Interviewing Company is interested in the opportunity to


provide computer-programming consultants to Contractor for placement with Contractor
and/or its client(s);
WHEREAS: Contractor is interested in procuring the services of qualified computer-
programming consultants for placement with it to its clients, vendors and
WHEREAS: Contractor is especially interested in Subcontractor Interviewing
Company’s guarantee of deliverability and rate of computer-programming consultants
prior to presenting Subcontractor’s consultant for an interview.

NOW THEREFORE: Subcontractor Interviewing Company and Contractor agree as


follows:

1. Contractor Interviews: Contractor will arrange for interviews with Contractor


,vendor of contractor or its clients of Subcontractor Interviewing Company’s
computer-programming consultants on an as needed basis. For each such
consultant, Subcontractor Interviewing Company agrees to complete, sign and
return this Agreement.

2. Non-solicitation of Contractor Clients: Subcontractor Interviewing Company


agrees that, in exchange for the opportunity to provide Contractor with qualified
computer programmers, Subcontractor Interviewing Company will not solicit,
attempt to solicit, inquire about, contact or attempt to place consultants, directly
or indirectly, a) with any client company of Contractor and vendor of contractor,
at a site or on a project for which Subcontractor Interviewing Company is
introduced by Contractor, or b) with any client company of Contractor and
vendor of contractor about whom Subcontractor Interviewing Company becomes
aware through its relationship with Contractor, for a period of one (1) year
following the execution of this Agreement or one (1) year from the last date one
of Subcontractor Interviewing Company’s consultants interviews with one of
Contractor’s clients and vendor of contractor whichever is later.

3. Non-solicitation of Subcontractor’s Employees: Contractor agrees that it will not


hire or solicit for hire any of Subcontractor Interviewing Company’s employees
or consultants, who are introduced to Contractor pursuant to this Agreement or of
whom CONTRACTOR becomes aware pursuant to this Agreement, for a period
of one (1) year following execution of this Agreement or one (1) year from the
last date one of Subcontractor Interviewing Company’s consultants interviews
with one of Contractor’s clients, whichever is later.
4. Guarantee of Deliverability and Rate: Subcontractor Interviewing Company
hereby guarantees the following with respect to any computer programming consultant
that it presents to Contractor for an interview:

A. That the consultant is an employee of Subcontractor Interviewing


Company;

B. That the consultant that interviews with Contractor of Contractor’s client


and vendor of contractor is the individual who is presented to Contractor or its client and
vendor as the consultant in any written correspondence including, but not limited to,
resumes, reference letters, etc. and is the individual identified below:

C. That the consultant, if confirmed by Contractor or its client and vendor of


contractor within 48 hours of the interview, will be available to start the assignment
immediately.

D. That the rate charged for this consultant’s services shall not be greater
than the following Guaranteed Rate for this consultant: .

5. Cancellation Fee: The parties hereto hereby agree and acknowledge that
“deliverability” of any consultant assigned by Subcontractor Interviewing Company
under the terms of this agreement (including the guaranteed rate) is an essential
guarantee hereunder and that Contractor will act in reliance upon this guarantee. In the
event Subcontractor Interviewing Company is unable to live up to this guarantee of
deliverability, and its consultant is unable to start on the availability date as set forth
above, then Subcontracting Interviewing Company hereby agrees to pay Contractor, a
cancellation fee equal to $2,000.00. The parties agree that the damages suffered by
Contractor with respect to failure of delivery are real and significant and that the
cancellation fee set forth herein is a reasonable and just compensation to Contractor for
such damages. The parties specifically agree that such fee does NOT constitute a
penalty.
