LIEFERUNGS- UND ZAHLUNGSBEDINGUNGEN Es gelten die Allgemeinen Lieferbedingungen fr Erzeugnisse und Leistungen der Elektroindustrie sowie die Ergnzungsklausel Erweiterter Eigentumsvorbehalt in ihrer jeweils gltigen Fassung, soweit die nachfolgenden Bestimmungen keine abweichende bzw. ergnzende Regelung darstellen: 1. PREISE Die Berechnung erfolgt in EURO zu den am Tage der Lieferung gltigen Listenprei- sen, Nachlssen und Bedingungen. Alle Listen- oder Angebotspreise gelten zuzglich Mehrwertsteuer, ab Werk, ausschlielich Verpackung. Auftrge unter 50,-: ohne jeglichen Nachla. Auftrge unter 25,-: zustzlich 15,- Bearbeitungszuschlag. Bei auergewhnlichen Kostenerhhungen behalten wir uns Preisanpassung auch fr besttigte Auftrge vor. 2. LIEFERUNG, ABRUFAUFTRGE Teillieferungen sind uns gestattet. Bei Sonderanfertigung sind Lieferabweichungen bis 10 % Mehr- oder Mindermengen erlaubt. Bei Austausch von Teilen bzw. Ver- nderung unserer Originalprodukte entfllt unsere Haftung. Gewnschte Express- lieferungen erfolgen grundstzlich unfrei. Die Lieferungen erfolgen auf Gefahr des Empfngers. Eine Rcksendung von Verpackungsmaterial ist ausgeschlossen, wenn die Entsor- gung durch die Beauftragung Dritter unsererseits sichergestellt ist. Abrufauftrge sind verbindliche Auftrge, in denen lediglich Menge und Termin der einzelnen Teillieferungen zum Zeitpunkt der Auftragserteilung noch nicht festgelegt sind. Abrufauftrge mssen innerhalb von 12 Monaten nach Erteilung des Auftra- ges abgenommen werden, wobei der einzelne Abruf eine von EFEN festgelegte Menge nicht unterschreiten darf und rechtzeitig zu erfolgen hat. 3. LIEFERTERMINE, VERZUG Die Lieferfristen beginnen mit dem Tag der schriftlichen Auftragsbesttigung. Der Vollzugseintritt bedarf der ausdrcklichen Mahnung durch den Besteller. Bei Verzug hat der Besteller keinen Anspruch auf Schadenersatz, Vornahme eines Deckungskaufs oder Rcktritt vom Vertrag. Dies gilt nicht soweit in Fllen des Vor- satzes, der groben Fahrlssigkeit oder wegen der Verletzung des Lebens, des Kr- pers oder der Gesundheit zwingend gehaftet wird. Vom Vertrag kann der Besteller im Rahmen der gesetzlichen Bestimmungen nur zurcktreten, wenn die Verzgerung der Lieferung von uns zu vertreten ist. Ist die Nichteinhaltung der Frist auf hhere Gewalt, z. B. Mobilmachung, Krieg, Aufruhr o. . Ereignisse z. B. Streik, Aussperrung zurckzufhren, verlngern sich die Fris- ten angemessen. Soweit noch nicht erfllt ist, sind wir berechtigt, vom Vertrag zurckzutreten. Ansprche auf Schadenersatz, Deckungskauf oder Nachlieferung sind dann ausgeschlossen. 4. SCHUTZRECHTE Auftrge nach uns bergebenen Zeichnungen, Skizzen oder sonstigen Angaben werden in patent-, muster- und markenrechtlicher Hinsicht auf Gefahr des Auftrag- gebers ausgefhrt. Wenn durch die Ausfhrung solcher Bestellungen Eingriffe in fremde Schutzrechte verbt werden, trgt der Auftraggeber jeden uns durch den Eingriff erwachsenen Schaden. 5. REKLAMATIONEN, GEWHRLEISTUNGSANSPRCHE Reklamationen mssen innerhalb von 10 Tagen nach Empfang der Ware erfolgen. Rcksendungen (frei) werden nur mit unserem vorherigen Einverstndnis ange- nommen. Bruchschden gehen zu Lasten des Spediteurs. Kosten der durch den Kunden selbst durchgefhrten Nachbesserungsarbeiten werden grundstzlich nicht anerkannt, es sei denn, sie sind vorher von uns genehmigt worden. Wir leis- ten fr Mngel der Ware zunchst nach unserer Wahl Gewhr durch Nachbesse- rung oder Ersatzlieferung. Sachmngelansprche verjhren in 12 Monaten. 6. ABBILDUNGEN, TECHNISCHE DATEN, MASSE UND MUSTER usw. sind unverbindlich. nderungen bleiben uns vorbehalten. 7. GARANTIE Aussagen und Hinweise zu bestimmten Eigenschaften und/oder zur Eignung der Ware zu einem bestimmten Verwendungszweck sind nur verbindlich, wenn sie ausdrcklich schriftlich als Garantien bezeichnet werden. 8. ZAHLUNGSBEDINGUNGEN Unsere Rechnungen sind 30 Tage nach Rechnungsdatum ohne Abzug oder inner- halb von 14 Tagen nach Rechnungsdatum mit 2%Skonto zahlbar. Bei berschrei- tung der Zahlungsfrist sind wir zur Berechnung von Zinsen in Hhe von 8% ber dem jeweiligen Basiszinssatz der Europischen Zentralbank berechtigt. Skonti werden nicht gewhrt, wenn sich der Besteller mit der Bezahlung frherer Lieferun- gen in Verzug befindet. 9. ERFLLUNGSORT UND GERICHTSSTAND Erfllungsort fr alle Verpflichtungen aus dem Vertragsverhltnis ist der Sitz von EFEN. Der Gerichtsstand fr alle aus dem Vertragsverhltnis sowie ber sein Ent- stehen und seine Wirksamkeit entstehenden Rechtsstreitigkeiten wird durch den Sitz von EFEN bestimmt, nach Wahl von EFEN auch durch den Sitz des Bestellers. 10. UNWIRKSAMKEIT, DATENSCHUTZ Sind oder werden einzelne Bestimmungen dieser Bedingungen unwirksam, so wird dadurch die Wirksamkeit der brigen Bestimmungen nicht berhrt. Wir spei- chern Daten im Rahmen unserer gegenwrtigen Geschftsbeziehungen gem Bundesdatenschutzgesetz. Das Vertragsverhltnis unterliegt dem Recht der Bundesrepublik Deutschland mit Ausnahme des einheitlichen UN-Kaufrechts (CISG). Ausgabe: 12/2007
