Offer Unloading and Erection of PEB at Gadarpur, Rurdurpur
The Offer herein sets out the terms of Everest Industries Limited (E!"#$ for unloading and
erection of Pre-Engineered steel Building/s (PEB#$ to Buyer.
The terms of Unloading and Erection of PEB are set out belo!
%. U&"O%'!&G O( PEB

%.1 The Pre-Engineered steel Building materials "the Product)## for the PEB ill be
delivered by E$B$ to the site
designated by the Buyer.
%.2 It is the res%onsibility of the Buyer to ensure that effective ste%s have been ta&en at
its cost to &ee% the site fully ready for receiving the Products %ertaining to the PEB to be
su%%lied by EIL including in relation to readiness of foundation and related infrastructure for
for installation of PEB' availability of electricity for erection of PEB and all other site s%ecific
re(uirements for achieving smooth and timely unloading and erection activities.
%.* EIL is res%onsible for the design of the anchor bolt diameter' location and %ro)ection
of all anchor bolts for the metal building %ortion of the %ro)ect. EIL ill furnish an anchor bolt
layout draing"s# including bolt diameter' %ro)ection' location' and s%acing of all structural
anchor bolts and the magnitude and direction of column reactions. It is the res%onsibility of
Buyer or it*s consultants' civil contractor to ensure that ade(uate %rovisions are made for
s%ecifying bolt embedment' bearing angles' tie rods and other associated items embedded
in the concrete foundation as ell as the foundation design.
%.4 The end user or its installation contractor is solely res%onsible for the necessary
e(ui%ment and man%oer to unload and stac& the materials at the )ob site. $tac&ing
%rocedures mentioned in Installation + ,aintenance ,anual of EIL ill have to be folloed
by the installation contractor.
%.+ Buyer has the o%tion of %lacing the order for Unloading and Erection "the -Erection
Order.# either on EIL or directly on an inde%endent third %arty builder "certified by EIL# to
carry out the unloading and erection activities. Placing of an Erection Order shall constitute
a binding contract beteen Buyer and EIL or such third %arty builder' as the case may be. If
the Erection Order is %laced on such third %arty builder' the same ill be on a %rinci%al to
%rinci%al basis beteen Buyer and such third %arty builder and EIL ill assume no obligation
or res%onsibility for any acts of the builder.

This Offer is valid for 32 "thirty# days only from the date hereof. The Buyer must %lace the
Erection Order ith EIL or on its certified builder during the validity of this Offer.

If the Offer herein is acce%table and you ish to have the unloading and erection
im%lemented by EIL' you may endorse your agreement belo on the form of Erection Order.
Once so endorsed' all the terms of the Offer herein shall be deemed to be unconditionally
acce%ted by the Buyer and the Erection Order ill constitute a binding contract beteen EIL
and the Buyer.
5lternately' Buyer may %lace their Erection Order se%arately on EIL*s certified builder as %er
attached list as %er above terms and conditions and %rices.
E. GE&ER%" -ER93
This Offer is subject to the following general terms:
(i$ Per1it)
EIL shall not be res%onsible or liable for the obtaining of %ermits to unload' erect or
install any Product at Buyer*s site.
(ii$ (orce 9a:eure
EIL shall not be liable for any loss or damage that may be caused to Buyer for any
delay in erection at Buyer*s site due to circumstances beyond EIL*s control' such
as' but not limited to' ar' riots' civil commotion' revolution' regulations' orders or
acts of government or any government authority or any act of Cod including floods'
fires or delays due to any other circumstance or event beyond EIL*s control.
(iii$ Go6erning "a;
The agreement recorded herein shall be governed by' and enforced in accordance
ith' the las of India.
(i6$ %r5itration
In case of any difference or dis%ute beteen the contracting %arties' the same ill
be attem%ted to be resolved by mutual discussions and agreement. ?oever'
unresolved issues' if any' ill be referred to and settled by arbitration of a sole
arbitrator mutually acce%table to both %arties and such arbitration ill be in

accordance ith the %rovisions of the 5rbitration and Donciliation 5ct' 1<<B or any
statutory modification or re-enactment thereof for the time being in force. The venue
of the arbitration shall be >elhi and the arbitration shall be conducted in the English
language.

(6$ <uri)diction
The Buyer acce%ts that the com%etent Dourt in >elhi shall have e/clusive )urisdiction
in all matters arising out of the agreement recorded herein.
F. ERECTION ORDER ON THIRD PARTY
In the event' Buyer e/ercises the o%tion of %lacing the Erection Order on a third %arty builder
certified by EIL' then Buyer ill be re(uired to %lace the Erection Order directly on such third
%arty builder in the form of Erection Order attached hereith. In that event' all the terms of
Offer herein shall be deemed to be unconditionally acce%ted by the Buyer and the Erection
Order ill constitute a binding contract beteen such third %arty and the Buyer' enforceable
in accordance ith the aforesaid terms.
