MECHANICAL LICENSE

$. Owner warrants and represents that it is the so"e and e%c"si&e proprietor of a &a"id
copyright or "icense in the msica" composition composed by#

(hereinafter referred to as the "'omposition" or "(sica" 'omposition"), and that Owner has the right to
grant the "icense herein contained.
2. Owner grants to Licensee the none%c"si&e right, pri&i"ege and "icense, dring the term of
the copyright of said 'omposition and a"" renewa"s and e%tensions thereof, to se the
'omposition, and to ma!e and)or se arrangements thereof, in the manfactre and sa"e of parts of
instrments ser&ing to reprodce the 'omposition in the *nited +tates.
,. Licensee sha"" pay to Owner roya"ties at the fo""owing rates on a"" copies containing the
abo&e-named msica" 'ompositions manfactred, so"d and paid for in the *nited +tates dring the term of
the 'omposition.s copyright and a"" renewa"s and e%tensions thereof#
(a) /or each phonorecord manfactred, so"d, and paid for, the Licensee sha"" pay
the Owner /012 (3) '24T+.
(b) The term "phonorecord(s)" or "records", as sed herein, means any and a""
methods of mechanica""y reprodcing the msica" 'omposition inc"ding, bt not "imited to, phonograph
records, cassette tapes, digita" adio tape, compact disc and any and a"" methods of reprodcing the
'omposition, now !nown or to "ater come into e%istence.
5. Licensee agrees to render to Owner 6arter"y statements, and payments herefore, of a""
roya"ties payab"e herender, within 53 days after (arch ,$st, 7ne ,0, +eptember ,0, and 8ecember ,$, for
each 6arter for which any sch roya"ties accre prsant to the terms hereof.
3. (a) As to records manfactred in the *nited +tates and so"d by Licensee for e%port
to other contries, roya"ties sha"" be payab"e prsant to this contract, e%cept with respect to records
e%ported to contries which re6ire the payment of copyright roya"ties in connection with the import or
sa"e of sch records, in which e&ent no roya"ties sha"" be payab"e herender.
(b) As to a"" mechanica" de&ices (sch as masters, mothers and stampers) which are
e%ported by Licensee to companies in other contries for se by sch companies for the manfactre and
sa"e of records, a roya"ty of O42 9AL/ the *nited +tates roya"ty rate sha"" be payab"e to the Owner.

;. Owner indemnifies, and sha"" ho"d harm"ess, Licensee from "oss or damage (a) arising ot
of or connected with any c"aim by a third party or parties which is inconsistent with any of Owner.s
warranties in paragraph $ hereof, or (b) by reason of any ad<dication in&a"idating the copyright of the
'omposition.
=. This contract is assignab"e by either party as "ong as the roya"ty rate herein stated is paid
to Owner and sha"" be binding pon the heirs, "ega" representati&es, sccessors and assigns of the parties
hereto.
