BETWEEN OPGC & GRIDCO
A meeting was held between OPGC & Gridco for finalization of PPA for supply of power
by OPGC from Units 1 & 2 of !"#hermal Power $tation %2&21' ()*+
#he Power Purchase Agreement %PPA* e,ecuted between Gridco & OPGC would be
sub-ect to the following.
1* #he PPA will come into force with effect from 1+1+/0+ PPA will be placed before
the 1egulatory Commission 2 $tate Go3ernment as per pro3isions of Orissa
4lectricity 1eforms Act+ 1//0 & the 4lectricity %$upply*Act5 1/67+ 8owe3er5
pending appro3al as abo3e5 bills will be raised by OPGC as per PPA already signed
for payment by Gridco+
2* #he tariff for the year 1//6 91//0 & 1//0 9/: at which already billed by OPGC
will not be reopened irrespecti3e of actual tariff e3aluated as per pro3ision in the
PPA+ 8owe3er penal interest if any5 due to late payment by Gridco shall be
reimbursed by Gridco+

Go3ernment5 the G1BCO is entrusted with the responsibility of e3acuation5 transmission
and distribution of power generated5 to be generated by b"#hermal Power $tation %Unit H
1 & 2*+
AAB )8414A$ in 3iew of the aforesaid license of the $tate Go3ernment5 the G1BCO
is reIuired to recei3e the full Iuantum of electricity %energy* generated and made a3ailable
at the sub"station of #P$ %Unit H 1 & 2* through outgoing 22' ?@ lines emanating from
#P$ and e3acuate and transmit the same through its own transmission and distribution
system5 sub-ect to the stipulation in Clause 2 & ; hereunder+
Aow therefore it is hereby declared and agreed as follows.
1+' #he installed capacity of b"#hermal Power $tation %Unit H 1 & 2* will be 62'
() %2& 21' ()*+ #he total a3ailable capacity will be fully allocated to the
G1BCO and the G1BCO agrees to transmit and utilize the same through its own
system as detailed in $chedule 91 anne,ed hereto+
2+' JOPGC shall not ma=e a3ailable to a third party any part of the capacity of #P$ or
sell to a third party or consume for any purpose other than #P$5 any energy
generated by #P$ during the term of this agreement e,cept with the G1BCOFs
prior written consentK+
2+1 t is hereby declared and agreed that the G1BCO shall recei3e and utilize power
from b"#hermal power station without undue discrimination with the other
sources+
;+' #he points of supply shall be outgoing terminals of 22' ?@ lines $witchgear at !"
#hermal Power $tation feeding power to the G1BCOFs outgoing terminals
beyond the gantry for outgoing 22' ?@ feeders at #P$ for feeding power to the
G1BCOFs 22' ?@ lines+ (etering will be done at the C#2C@# & other metering
instruments for the outgoing feeders+
6+' #wo sets of recording type electronic #ri3ector (eters with half hourly recording time
of the day %#OB* facility of '+2L class accuracy for measurement of ?)85
?@A18 & ?@A8 shall be installed by OPGC on each of the outgoing 22' ?@
feeders of #P$+ One set of such meters shall be designated as (ain (eters and the
other set shall be as Chec= (eters+ 1eadings recorded by the main meters shall be
ta=en for billing purpose sub-ect to the conditions stipulated for purpose of billing+
#he meters shall constitute import and e,port meters+
0+' All the main meters & chec= meters shall be test chec=ed e3ery Iuarter at the cost of
OPGC+ 4ach meter shall be deemed to be wor=ing satisfactorily if the errors are
within the specifications for such (eter of '+2L accuracy class+ #he consumption
registered by the main meters will hold good for the purpose of billing as long as
the error in the main meters is within the permissible limit of error+ f corresponding
chec= meter is beyond the permissible limits5 then the chec= meter shall be
calibrated forth with+ Aot withstanding the abo3e pro3ision5 on representation by
the G1BCO5 the main and chec= meters shall be tested at any other time as well+ f
the test results be within the permissible limits of error the meters should be deemed
to be correct and cost of such testing shall be borne by the G1BCO+
:+' f during the Iuarterly test chec=s5 any of the main meters is found to be beyond
permissible limits of error5 but the corresponding chec= meter is found to be within
permissible limits of error5 then the billing for the month up to the date and time of the
calibration of the main meter shall be as per the chec= meter+ #here will be no re3ision
in the bills for preceding months+ #he main meters shall be calibrated immediately and
billing for the period thereafter until the ne,t monthly meter reading shall be as per the
calibrated main meter+ f during the Iuarterly test chec=s5 both the main meter and the
corresponding chec= meter are found to be beyond the permissible limits of error5 both
sets of meters shall be immediately calibrated and the correction applied to the
consumption registered by the main meter to arri3e at the correct consumption of
energy for billing purposes for the period of the month up to the time of calibration of
the main meters+ !illing for the period thereafter until the ne,t monthly meter readings
shall be as per the calibrated main meter+ f when the monthly meter readings are ta=en5
the difference between the main meter and the chec= meter e,ceeds '+2L5 then both
meters shall be tested+ f the main meter and the chec= meter are both within the
accuracy specifications5 the main meters shall continue to be used+ f one of the meters
is outside accuracy specifications the correct meter shall be used as main meter for the
month+ f both meters are outside the accuracy class of specification5 the meter readings
shall be ad-usted based on the a3erage corrected reading of each of the meters or as
determined by mutual consent between the parties+
<+' #he meters referred to in Clause 0+' abo3e shall be sealed on behalf of both parties and
shall not be interfered with by either party e,cept on the presence of the authorized
representati3e of other party+
7+' #he readings of the meters referred to in Clause 6+' abo3e shall be ta=en -ointly by
accredited representati3es not below the ran= of Assistant 4ngineer of the G1BCO
and the OPGC at 1' A+(+ of the 1

day of each calendar month and readings so ta=en
shall be binding5 final and conclusi3e between the G1BCO and the OPGC as to the
Iuantum of electrical energy supplied to the G1BCO5 sub-ect howe3er to the
stipulations made in Clause 0+' and :+' abo3e+
/+' Eor each calendar month during the term of this Agreement5 the G1BCO shall pay to
OPGC the charges calculated as per formula set"out in $chedule 9 anne,ed hereto+
1'+' Any statutory ta,es5 le3ies5 duties5 cess or any other =ind of imposition whatsoe3er
imposed 2 charged by any Go3ernment %$tate 2Central* and 2 or any other local bodies 2
authorities on generation of electricity including au,iliary consumption and sale
energy5 en3ironmental protection5 water charges etc+ shall be billed by OPGC and will
be paid by the G1BCO+ 8owe3er electricity duty payable on energy drawn by OPGC5
if any5 shall be payable by OPGC and reimbursed by G1BCO+
f OPGC shall ha3e to bear any such le3y or le3ies on account of energy supplied
to the G1BCO before the same is or are paid by the Gridco5 the5 OPGC shall be
entitled by way of reimbursement to reco3er such le3y or le3ies from the
G1BCO+
11+' Billin* & Pa$ment
J!illing shall be done on net e,change basis for each billing period5 at the
interconnection point at 22' ?@ as per $chedule 9 on or before the 0

day of
each month+ OPGC shall present a bill to the G1BCO for fi,ed chargers5 4nergy
charges5 rebate5 surcharge for late payment5 ta,es and duties etc+ from the
beginning of the year to the last day of pre3ious month+ 4ach monthly bill shall be
calculated starting from the beginning of the year to include all the abo3e charges
upto the last day of the pre3ious month deducting the amount recei3ed from the
G1BCO against bills due till the last day of the pre3ious billing period for the
current year+ Arrears5 if any due from pre3ious year shall also be included in the
bill+ #he monthly fi,ed charge billed for a month shall be one twelfth %1212* of
annual fi,ed charge for the corresponding financial year5 calculated on the basis of
normati3e limit of a3ailability %AAC*+ At the end of each financial year5 bills
co3ering ad-ustments for fi,ed charges including incenti3es5 dis"incenti3es5 ta,es
and duties5 fuel cost5 etc+5 shall be furnished by OPGC for payment2ad-ustmentK+
11+1 !ill Amount and Acceptance of !ill.
#he bill shall be deemed to ha3e been accepted in full unless the G1BCO files
ob-ection with the OPGC within thirty days of presentation of the bill5 gi3ing following
particulars.

OPGC shall resol3e the abo3e disputes with the G1BCO as soon as possible
preferably within three months+ 8owe3er5 notwithstanding the resolution of such
disputes the G1BCO shall pay <0L of the bill under protest gi3ing reference to the
ob-ection filed+

Payment shall be made through irre3ocable re3ol3ing letter of Credit %CC* opened
in fa3our of the OPGC on mutually agreed branch %es* of any Aationalized !an=5
within one month from the date of commercial operation of the 1

Unit+ #he CC
shall be established for an amount eIui3alent to one monthFs estimated monthly
bill payable from time to time+ #he amount of CC shall be re3iewed each Iuarter
i+e+ April5 Guly5 October and Ganuary in each financial year+ f the a3erage monthly
billing during the ;%three* months preceding the re3iew is more than the amount of
already established CC5 the CC amount shall be enhanced to the a3erage amount of
monthly billing during the si, months preceding the re3iew+ f the amount of bill is
more than the amount of CC5 OPGC5 will prepare two bills5 one eIual to the
amount of CC and the other for the balance amount+ #he payment of the second
bill shall be claimed directly from the G1BCO+
--&4 Direct Pa$ment Disc#unt & 5urc'ar*e3
#wo point fi3e percent %2+0L* discount will be allowed on payment of the bills
through CC or directly from the G1BCO on the amount paid within <%se3en*
days+ f payment is made after < %se3en* days then one percent %1L* discount will
be allowed if payment is made within thirty %;'* days of presentation of the bills+
A surcharge calculated at the rate of one and half %1+0* percent per month on the
amount of the bill remaining unpaid shall be payable for the actual period of delay
beyond the due date of payment i+e+ thirty %;'* days after presentation of bill+
12+' Arbitration.
Any difference or dispute between the parties in relation to any matter arising out
of or in connection with this agreement5 which cannot be resol3ed in accordance
with pro3isions contained herein5 shall be referred for arbitration as pro3ided
below5 with due regard to the Caw of Arbitration applicable to the dispute in the
$tate of Orissa and the arbitrator%s* shall be persons of and hold proceedings in
Orissa+
12+1 All disputes5 claims arising out of this agreement including interpretation thereof5
shall be determined by Arbitration in accordance with the pro3isions of the law of
arbitration5 as applied in Orissa5 Orissa 8igh Court shall ha3e e,clusi3e
-urisdiction for all legal proceedings+
12+2 $tatutory Arbitration.
Aothing contained in this clause shall apply to the cases or disputes which are
reIuired to be determined through $tatutory arbitration in accordance with the
pro3isions of the Orissa 4lectricity 1eform Act+ 1//0 and ndia 4lectricity Act5
1/1'+
12+; Continuance in case of Arbitration.
Aot"withstanding the e,istence of any dispute or difference referred to arbitration5
the parties hereto shall continue performance of their respecti3e obligations under
this agreement with due diligence+
12+6 Amendment to Agreement.
Aot"withstanding anything contained in this agreement5 any amendment or
modification regarding any clause before or after e,ecution of this agreement can
be made by mutual agreement+ f both parties fail to reach an agreement5 the matter
shall be referred to the $tate Go3ernment whose decision shall be final and
binding+ J#he tariff calculations pertaining to this agreement is based on the
principles and norms stipulated in the notification dated ;'

made by the Go3ernment of ndia in the norms and principles of the said
Aotification from time to time will be applicable to this AgreementK+
1;+' Eorce (a-eure.
Ao party shall be liable for any claim for any loss or damage whatsoe3er arising
out of failure to carry out the terms of this agreement to the e,tent that such a
failure is due to force ma-eure on account of e3ent such as rebellion5 mutiny5 ci3il
commotion5 riot5 stri=e5 loc=out5 forces of nature5 accident or Act of God+ Any
party claiming the benefit of this clause shall satisfy the other party of the
e,istence of such an e3ent+
16+' mplementation of the Agreement.
All discretions to be e,ercised and directions5 appro3als5 consents and notices to be
gi3en and actions to be ta=en under those presents5 unless otherwise e,pressly
pro3ided herein5 shall be e,ercised and gi3en by the signatories to this agreement
or by the authorized representati3e%s* that each party may nominate in his behalf
and notify in writing to the other party+
Aot"withstanding any other nomination5 the General (anager of the !"#hermal
power $tation or Beputy General (anager %Einance* in the OPGC5 Corporate
Office5 shall be authorized to act for and on behalf of the OPGC+
#he Chief 4ngineer5 Commercial5 %Power Purchase & Power $ystem* of the
$uperintending 4ngineer %Power Purchase 91* shall be authorized to act for and on
behalf of the G1BCO+
All notices with regard to default or dispute relating to this agreement shall be in
writing and signed by the signatories to this agreement or by the authorized
representati3e%s* as abo3e+ 4ach such notice shall be needed to ha3e been duly
gi3en or sent by the party concerned5 if the notice is deli3ered against
ac=nowledgement or is sent by registered mail with postage prepaid5 by or to the
signatories or to the authorized representati3e%s* at their respecti3e addresses+
10+' Court of competent Gurisdiction.
All disputes arising out of and relating to sub-ect matter of this agreement shall be
sub-ect to the -urisdiction of Orissa 8igh Court+
1:+' Agreement will be deemed to ha3e come into force with effect from '1+'1+/0 and
will initially remain operati3e for thirty %;'* years from the date of commercial
operation of Unit 2 i+e+ 1+<+/: & could be e,tended beyond that by mutual
agreement+
1:+1 Erom '1+':+/65 till date of commercial operation5 payment will be made on net
e,change of power on monthly basis5 that is billing period shall be the month+ #he
rate payable to OPGC will be as per guidelines issued by Go3ernment of ndia for
such power5 that is only 3ariable cost+ f5 in any month5 drawal by OPGC e,ceeds
their supply to G1BCO5 the e,cess will be paid for as per the emergency power
supply tariff of the G1BCO+
1<+' #his agreement may be mutually e,tended or renewed by another agreement on
such terms and for such further period of time as the parties may agree+ 8owe3er5
the pro3isions of this agreement will continue to apply till this agreement is
formally renewed5 re3ised or e,tended+
JPro3ided further that the terms of this Agreement including the Capital 2 #ariff
structure shall not be amended or re3ised merely by a change of ownership of the
Power $tationK+

#he G1BCO will schedule generation at the b"#hermal Power $tation %2&21'
()+ Units 1 & 2* to operate it as a dispatchable station and will not allow load on
any unit to fall to a le3el below :0L of Contracted capacity at the nterconnection
Point where oil support may be necessary+ f the steady load on any unit is li=ely to
be reduced to such a le3el on account of system conditions5 the G1BCO5 unless
dictated otherwise by system security considerations5 will gi3e clearance to the
Power $tation to shut down such unit%s* and will reschedule generation
accordingly+ 8owe3er5 if on account of low load demand5 below :0L of
Contracted Capacity by G1BCO 5OPGC has to ha3e higher oil consumption than
the norms specified in $chedule 9 of this Agreement5 then G1BCO will pay to
OPGC for the Iuantity of e,cess oil thus consumed5 at actual+ #he Bispatch
nstruction shall ensure that the number of hours of operation with oil support is
not in e,cess of 0'' hours for each unit during a financial year+
#he minimum load of :0L has been assessed from the station parameters+
1+1 Capacity Aotices .
OPGC shall deli3er to G1BCO a capacity Aotice not e,ceeding the rated capacity
of the generating units under operation each day at 1'A+(+ on the day prior to the
rele3ant $chedule Bay containing the following information assuming that the system
3oltage and freIuency are maintained as per +4+ rules+
i* #he date and time that the Capacity Aotice is issued5
ii* #he schedule Bay to which it relates+
iii* Capacity of the #P$ for each $ettlement Period of ;' minutes throughout the
rele3ant $chedule Bay %and where such Beclared+ Capacity changes5 the time
at which any change is e,pected to ta=e effect*+
i3* #he capacity notice would include only the normal operating capacity of the
unit+ O3erloading capability will be a3ailable during emergencies o3er and
abo3e the declared capability sub-ect to technical limitations+
1+2 1e3ised capacity notice.
)hene3er OPGC belie3es that any information it has pro3ided to G1BCO in the
Capacity Aotice no longer accurately reflects its e,pectations5 OPGC shall
promptly deli3er to the G1BCO Control Center a written notice %a J1e3ised
Capacity noticeK* re3ising that information prior to any (onitoring Aotice+ A
re3ised Capacity Aotice shall contain the following information.
%i* #he date and time that the 1e3ised capacity Aotice is issued+
%ii* A reference to the pre3iously pro3ided information that is to be re3ised+
JBeclared CapacityK for any $ettlement Period %;' minutes* shall
mean the amount of electrical capacity5 e,pressed in () at the
nterconnection Point5 which OPGC has most recently declared in
a capacity Aotice or a 1e3ised capacity Aotice for that $ettlement
period5 which OPGC e,pects could be deli3ered to G1BCO if
#P$ was fully loaded+ %#his may be re3iewed after finalization of
operating procedures 2 Grid code for Orissa $tate and 2or 4astern
1egional Grid+
1+; Aormal Operation
a* Eor the purposes of establishing the net electrical capacity of #P$ and the reacti3e
power deli3ered during any $ettlement Period %other than while #P$ or a Unit is
responding to a Bespatch instruction to increase or decrease load*5 such capacity and
reacti3e power shall be based on the a3erage electrical capacity in () and of reacti3e
power in (@A1 during such $ettlement Period+
b* Eor any $ettlement Period5 outside the periods of monitoring5 a J$ingle Period
Capacity EailureK shall ha3e occurred if the electrical capacity of #P$ measured at the
nterconnection Point is less than /0L %/'L during first year of operation* of the net
electrical capacity which G1BCO reIuested OPGC to maintain pursuant to the
currently effecti3e Bespatch nstruction %other than while responding to a Bespatch
nstruction to increase or decrease load*+
c* Eor any consecuti3e $ettlement periods5 outside the periods of monitoring5 a
JEour Period Capacity EailureK shall ha3e occurred if the a3erage o3er the four
periods of the net electrical capacity of #P$ measured at the nterconnection
Point is less than /:L of the net electrical capacity which G1BCO reIuested
OPGC to maintain pursuant to the currently effecti3e Bespatch nstruction to
increase or decrease load+
d* Ao indi3idual $ettlement period shall be included in both a $ingle Period
Capacity Eailure and a Eour Period Capacity Eailure5 nor in more than one Eour
Period Capacity Eailure+
e* G1BCO shall obser3e the #echnical Cimits in issuing Bespatch nstructions
reIuesting #P$ to increase or decrease load+ Eor each settlement period during
which a unit is being loaded or deloaded5 a loading 2 deloading failure shall
ha3e occurred if the a3erage increase 2 decrease achie3ed during such
settlement period is less than /'L of the increase or decrease that would ha3e
been achie3ed if #P$ had followed the despatch instructions+ #he magnitude
of the loading 2 deloading failure shall be eIual to the difference between the
capacity that would ha3e achie3ed following the despatch instruction and the
a3erage capacity achie3ed during such period+

a* f5 when the $tation is despatched below the Capacity notice le3el5 G1BCO may
monitor #P$ or the rele3ant Unit in accordance with and sub-ect to the limits of
this Clause 1+6+
b* !efore monitoring5 G1BCO shall issue a J(onitoring AoticeK to OPGC
identifying the parameters it wishes to monitor+ Ao period of monitoring shall
commence earlier than thirty %;'* minutes after such (onitoring Aotice has been
gi3en+ #he (onitoring Aotice shall+
i* dentify the parameters to be monitored+
ii* $tate the ma,imum period o3er which monitoring will occur for each
parameter+ #he total period of monitoring shall not e,ceed four %6* hours
and

Bate of each Unit submit its desired schedule of $chedule Outage periods to
Gridco for the first full (aintenance Dear after it is commissioned. and %ii* by
the following (arch 1 and each succeeding (arch 1 of each (aintenance Dear
%or by such other date as may be prescribed by regulation or5 if no such date is
so prescribed as the parties may agree* submit to Gridco in writing its desired
schedule of $cheduled Outage periods for the following (aintenance Dear+
OPGC will use its reasonable endea3ors to not set any $cheduled Outage
periods during the (onths of April5 (ay and Gune and will further use its
reasonable endea3ors to set $cheduled Outage periods for times during the
(onth of Guly5 August $eptember and October+
b* !y (ay 1 before each succeeding maintenance Dear %or by such date as may
be prescribed by regulation or it no such date is so prescribed5 as the Parties
may agree* Gridco shall notify OPGC in writing whether the reIuested
schedule of $cheduled Outages for each (aintenance Dear is acceptable+ f
Gridco does not accept any one or more of the reIuested $cheduled Outages5
Gridco shall promptly ad3ise OPGC of a time when Gridco determines any
such unacceptable $cheduled Outage can be rescheduled+ $uch rescheduled
time shall be as close as reasonably practicable to the reIuested time5 shall
comply with the #echnical limits5 shall be consistent with prudent Utility
practices and the manufacturersF recommendations and shall be of eIual
duration as the reIuested period+ f Gridco fails within the allowed period to
ob-ect to any $cheduled Outage of which it recei3es notice or fails within such
period to ad3ise OPGC of a substitute time5 OPGC may adhere to its schedule
of the $cheduled Outage%s* for the times started in such notice+
JPrudent Utility PracticesK shall mean those practices5 methods5 techniIues and
standards5 that are generally accepted in ndia5 and commonly used in electric
engineering and operations to design5 engineer5 construct5 test5 operate and
maintain eIuipment lawfully5 safely5 efficiently and economically as applicable
to power stations of the size5 ser3ice and type of #P$S and that generally
confirm to the manufacturerFs operation and maintenance guidelines+
c* OPGC shall schedule $cheduled Outages only at times determined as aforesaid5
pro3ided howe3er5 that Gridco shall not reIuire OPGC to schedule $cheduled
outages in a manner or time which is outside the #echnical limits5 is
inconsistent with Prudent Utility practices or the manufacturersF
recommendations or that otherwise5 in the reasonable -udgment5 of OPGC5
ris=s damage to #P$5OPGC may reschedule such outage only due to a 3alid
reason and any such date for rescheduling shall be fi,ed by mutual consent+
d* Aotwithstanding the fi,ing of the time for a $cheduled Outage pursuant to
Clause 1+: of $chedule @5 Gridco may upon written notice reIuest to OPGC to
reschedule any schedule outage+ $uch rescheduling will be done by mutual
consultation on a date acceptable to OPGC & Gridco+
e* All scheduling and rescheduling pursuant to clauses %b*5 %c* and %/d* abo3e
shall be done without unfair discrimination between #P$ and all other plants
pro3iding capacity and2or energy to Gridco+
f* Gridco shall use reasonable endea3ors to coordinate its maintenance
programme for the interconnection Eacilities and the #ransmission Eacilities
with the appro3ed $cheduled Outages so as to minimize any disruption to the
operation of #P$+
g* )hen the need arises for a (aintenance Outage5 OPGC shall ad3ise Gridco of
such need5 of a description of wor= reIuired and of the commencement and
estimated duration of such wor= and Gridco shall allow OPGC to schedule
such (aintenance Outage within a period of time reasonable under the
circumstances5 but in any e3ent at such time as would not cause #P$ to e,ceed
the #echnical Cimits or to be operated in a manner which is inconsistent with
prudent Utility Practices+ OPGC may ad3ise Gridco orally of the abo3e
matters and Gridco shall respond orally within twenty"four %26* hours of such
notice+ Gridco and OPGC shall confirm such communication in writing within
se3en %<* days+
2+ Operation
a* Gridco may issue despatch nstructions directing OPGCFs generating plant
operator to 3ary output from #P$ between :0L of the Contracted Capacity
and 1''L of the Beclared Capacity during the first year of commercial
operation of the units+ n addition5 when only one Unit is in operation Gridco
shall ha3e the right to despatch the Unit in operation from :0L of its
Contracted Capacity to 1''L of its Beclared Capacity+
b* Procedures for despatch of #P$ shall be in accordance with despatch
procedures for similar pro-ects on the G1BCO system5 or in accordance with a
duly established Grid Code5 pro3ided5 howe3er5 that the despatch procedures
for #P$ shall be in accordance with Prudent Utility practices+
c* OPGC shall not be reIuired to operated #P$ other than in accordance with
Prudent Utility Practices or the #echnical Cimits as such limits may be
temporarily modified pursuant to a capacity notice or a 1e3ised Capacity

A* #he Parties shall establish a Coordinating Committee comprising si, %:* members5
OPGC and G1BCO shall each appoint three %;* of the si, /:* members+ #he
Coordinating Committee shall be responsible for the coordination of construction
and operation of the nterconnection Eacilities5 #ransmission Eacilities and their
coordination with the G1BCO Grid $ystem+ )ithout limiting the generality of the
foregoing5 the power and duties of such representati3es shall include.
i* #he coordination of the respecti3e programmes of the parties for the construction
and commissioning of the G1BCO #ransmission Eacilities and nterconnection"
Eacilities and #P$5 and agreement where necessary upon the respecti3e
commissioning procedures+
ii* #he discussion of the steps to be ta=en on the occurrence of any e3ent of Eorce
(a-eure5 or the shutdown or reduction in capacity for any other reason of the
nterconnection Eacilities+ #ransmission Eacilities or #P$+
iii* #he coordination of scheduled maintenance programmes+
i3* #he coordination of forecasts or reIuirements from #P$+
3* #he de3elopment of operating procedures+
3i* $afety matters affecting both the Parties and their Contractors+
3iii* Clarification of 4mergency plans de3eloped by G1BCO or reco3ery from a local
or widespread electrical blac=out+
i,* 1e3iew and re3ision of protection schemes and de3icesS and
,* Any other mutually agreed matter affecting the operation of #P$ and the
G1BCO Grid $ystem including re3iew of the operating parameters5 despatch
limits etc+
b* #he Coordinating Committee may agree upon procedures for the holding of
meetings the recording of meetings & the appointment of sub"committees+ #he
chairmanship of the coordinating Committee shall rotate each year between the
Parties5 and the parties agree that the first chairman shall be nominated by
G1BCO+
c* n case of matters not resol3ed by consensus %unanimous agreement of the parties*+
#he coordinating Committee or either party may refer the matter referred to in
Clause %a* to the Chief e,ecuti3es of G1BCO and OPGC for further consideration
and resolution+

4ach Party shall =eep complete and accurate records and other data reIuired by
each of them for purposes of proper administration of this Agreement Among other
records and data reIuired hereby or elsewhere in this agreement5 OPGC shall maintain an
accurate and up to date operating log at #P$ with records of .
a* real and reacti3e power production for each hour and 22' ?@ bus 3oltage at all
times %for this purpose OPGC shall install a strip chart recorder to ma=e a
continuous recording of such parameters on appropriate magnetic media or
eIui3alent as determined by the Operating Committee* suitable for

b* Changes in operating status5 $cheduled Outages5 (aintenance Outages and

c* Any unusual condition found during inspections+
