INDEPENDENTCONTRACTORAGREEMENT

ThisindependentcontractoragreementisbetweenTICKLEGAMINGLLC,aDelware
LimitedLiabilityCompanyandanyofitssubsidiaries,affiliates,orothercorporations
controlleddirectlyorindirectlybyTICKLEGAMINGLLC(theCompany)and
________________________(theContractor).
RECITALS
TheCompanyisinthebusinessofinternetgamingmediaandwantstoengagethe
ContractortoperformpersonalconsultationservicesforcustomersofTICKLEGAMING
LLCinternetproperties.
TheContractorhasperformedthesameorsimilaractivitiesforothers.
Thepartiesthereforeagreeasfollows:
1. ENGAGEMENTSERVICES.
(a) Engagement.TheCompanyretainstheContractortoprovide,andthe
Contractorshallprovide,theservicesdescribedinExhibitA(theServices).
(b) Services.WithoutlimitingthescopeofServicesdescribedinExhibitA,the
Contractorshall:
(i) performtheServicessetforthinExhibitA.However,ifaconflictexists
betweenthisagreementandanyterminExhibitA,thetermsinthis
agreementwillcontrol
(ii) devoteasmuchproductivetime,energy,andabilitytotheperformanceofhis
orherdutiesunderthisagreementasmaybenecessarytoprovidethe
requiredServicesinatimelyandproductivemanner
(iii) performtheServicesinasafe,good,andworkmanlikemannerbyfully
trained,skilled,competent,andexperiencedpersonnelusingatalltimes
adequateequipmentingoodworkingorder
(iv) communicatewiththeCompanyaboutprogresstheContractorhasmadein
performingtheServices
(v) supplyalltools,equipment,andsuppliesrequiredtoperformtheServices,
exceptiftheContractorsworkmustbeperformedonorwiththeCompanys
equipment
(vi) ensurethatallmaterialsandequipmentfurnishedtohisorherpersonnelisof
goodandmerchantablequality,unlessotherwiseagreedbytheCompany

(vii) provideservices(includingtheServices)andendproductsthatare
satisfactoryandacceptabletotheCompanyandfreeofdefectsand
(viii) remove,replace,orcorrectalloranyportionoftheworkorendproducts
founddefectiveorunsuitable,withoutadditionalcostorrisktotheCompany.
(c) LegalCompliance.TheContractorshallperformtheServicesinaccordance
withstandardsprevailingintheCompanysindustry,andinaccordancewith
applicablelaws,rules,orregulations.TheContractorshallobtainallpermitsor
permissionsrequiredtocomplywiththosestandards,laws,rules,orregulations.
(d) CompanysObligations.TheCompanyshallmaketimelypaymentsofamounts
earnedbytheContractorunderthisagreementandnotifytheContractorofany
changestoitsproceduresaffectingtheContractorsobligationsunderthis
agreementatleast30daysbeforeimplementingthosechanges.
2. TERMANDTERMINATION.
(a) Term.Thisagreementwillbecomeeffectiveasdescribedinsection21.Unlessit
isterminatedearlierinaccordancewithsubsection2(b),thisagreementwill
continueuntiltheServiceshavebeensatisfactorilycompletedandtheContractor
hasbeenpaidinfullforsuchServices(theTerm).
(b) Termination.Thisagreementmaybeterminated:
(i) byeitherpartyonprovisionof30dayswrittennoticetotheotherparty,withor
withoutcause
(ii) byeitherpartyforamaterialbreachofanyprovisionofthisagreementbythe
otherparty,iftheotherpartysmaterialbreachisnotcuredwithin30daysof
receiptofwrittennoticeofthebreachor
(iii) bytheCompanyatanytimeandwithoutpriornotice,iftheContractoris
convictedofanycrimeoroffense,failsorrefusestocomplywiththewritten
policiesorreasonabledirectivesoftheCompany,orisguiltyofserious
misconductinconnectionwithperformanceunderthisagreementor
(iv) automatically,onthedeathoftheContractor.
(c) EffectofTermination.Aftertheterminationofthisagreementforanyreason,
theCompanyshallpromptlypaytheContractorforServicesrenderedbeforethe
effectivedateofthetermination.Noothercompensation,ofanynatureortype,
willbepayableaftertheterminationofthisagreement.
3. COMPENSATION.

(a) TermsandConditions.TheCompanyshallpaytheContractorinaccordance
withExhibitA.
(b) NoPaymentsinCertainCircumstances.Nopaymentwillbepayabletothe
Contractorunderanyofthefollowingcircumstances:
(i) ifprohibitedunderapplicablegovernmentlaw,regulation,orpolicy
(ii) iftheContractordidnotdirectlyperformorcompletetheServicesdescribed
inExhibitA
(iii) iftheContractordidnotperformtheServicestothereasonablesatisfactionof
theCompanyor
(iv) iftheServicesperformedoccurredaftertheexpirationorterminationofthe
Term,unlessotherwiseagreedinwriting.
(c) NoOtherCompensation.Thecompensationsetoutabovewillbethe
Contractorssolecompensationunderthisagreement.
(d) Expenses.AnyordinaryandnecessaryexpensesincurredbytheContractoror
hisorherstaffintheperformanceofthisagreementwillbetheContractorssole
responsibility.
(e) Taxes.TheContractorissolelyresponsibleforthepaymentofallincome,social
security,employmentrelated,orothertaxesincurredasaresultofthe
performanceoftheServicesbytheContractorunderthisagreement,andforall
obligations,reports,andtimelynotificationsrelatingtothosetaxes.TheCompany
hasnoobligationtopayorwithholdanysumsforthosetaxes.
(f) OtherBenefits.TheContractorhasnoclaimagainsttheCompanyunderthis
agreementorotherwiseforvacationpay,sickleave,retirementbenefits,social
security,workerscompensation,healthordisabilitybenefits,unemployment
insurancebenefits,oremployeebenefitsofanykind.
4. NATUREOFRELATIONSHIPINVENTIONS.
(a) IndependentContractorStatus.
(i) Therelationshipofthepartiesunderthisagreementisoneofindependent
contractors,andnojointventure,partnership,agency,employeremployee,or
similarrelationshipiscreatedinorbythisagreement.Neitherpartymay
assumeorcreateobligationsontheotherpartysbehalf,andneitherparty
maytakeanyactionthatcreatestheappearanceofsuchauthority.

(ii) TheContractorhasthesolerighttocontrolanddirectthemeans,details,
manner,andmethodbywhichtheServiceswillbeperformed,andtherightto
performtheServicesatanytime,place,orlocation.TheContractororthe
ContractorsstaffshallperformtheServices,andtheCompanyisnot
requiredtohire,supervise,orpayanyassistantstohelptheContractor
performthoseServices.TheContractorshallprovideinsurancecoveragefor
himselforherselfandhisorherstaff.
(b) InventionsRetainedandLicensed.AttachedasExhibitBtothisagreementis
alistofallintellectualpropertythattheContractormadebeforehisorher
agreementwiththeCompany(thePriorInventions)thatbelongtothe
Contractor,thatrelatetotheCompanysproposedbusiness,products,or
researchanddevelopment,andthatarenotassignedtotheCompanyunderthis
agreement.Ifnolistisattached,theContractorrepresentsthattherearenoPrior
Inventions.IfdisclosureofaPriorInventionwouldcausetheContractortoviolate
anexistingconfidentialityagreement,theContractormaynotlistthePrior
InventioninExhibitBbutshallinsteadprovidethenameoftheinvention,alistof
thepartyorpartiestowhichitbelongs,andanexplanationofwhyfulldisclosure
wasnotgiven.AspaceisprovidedinExhibitBforthispurpose.Ifinthecourse
providingservicestotheCompanytheContractorincorporatesintoaCompany
product,process,ormachineaPriorInventionownedbytheContractororin
whichtheContractorhasaninterest,theCompanywillbegrantedandhavea
nonexclusive,royaltyfree,irrevocable,perpetual,worldwidelicensetomake,
havemade,modify,use,andsellthatPriorInventionaspartoforinconnection
withthatproduct,process,ormachine.
(c) CompanyInventions.TheContractorhasnorightorinterestinanyworkor
productresultingfromtheServicestheContractorperformsfortheCompany,or
anyofthedocuments,reports,orothermaterialstheContractorcreatesin
connectionwiththoseServices(collectively,theCompanyInventions),and
hasnorighttoorinterestinanycopyrighttotheCompanyInventions.The
CompanyInventionshavebeenspeciallycommissionedororderedbythe
Companyasworksmadeforhire,asthattermisdefinedintheUnitedStates
CopyrightAct,andtheCompanyisthereforetheauthorandownerofall
copyrightsintheCompanyInventions.
(d) DisclosureofCompanyInventions.TheContractorshallpromptlydisclosein
writingtotheCompanyallCompanyInventionsthattheContractorhasauthored,
made,conceived,orfirstactuallyreducedtopractice,aloneorjointlywithothers.
(e) AssignmentofCompanyInventions.IftheCompanyInventionsoranypartsof
thosearedeemednottohavebeenworksmadeforhire,theContractorhereby
assignstotheCompanyallinteresttheContractormayhaveintheCompany
Inventions,includingallcopyrights,publishingrights,rightstouse,reproduce,and
otherwiseexploittheCompanyInventionsinallformatsormediaandall
channels,whethernowknownorcreatedinthefuture.

(f) PatentandCopyrightRegistrations.TheContractorshallassisttheCompany
oritsdesignee,attheCompanysexpense,tosecuretheCompanysrightsinthe
CompanyInventionsandanycopyrights,patents,maskworkrights,orother
intellectualpropertyrightsrelatingtotheCompanyInventionsinallcountries,
includingbydisclosingtotheCompanyallpertinentinformationanddatawith
respecttothose,bysigningallapplications,specifications,oaths,assignments,
andotherinstrumentsthattheCompanydeemsnecessarytoapplyforandobtain
suchrightsandtoassignandconveytotheCompany,itssuccessors,assigns,
andnomineestheexclusiveinterestintheCompanyInventions,andany
copyrights,patents,maskworkrights,orotherintellectualpropertyrightsrelating
tothose.WhenitisintheContractorspowertodoso,theContractorshallsign
orcausetobesignedtheseinstrumentsorpapersaftertheterminationor
expirationofthisagreement.IftheContractorprovidesassistanceafterthe
terminationorexpirationofthisagreementattheCompanysrequest,the
CompanyshallpaytheContractorareasonablerateforanytimespent.If
becauseoftheContractorsmentalorphysicalincapacityorforanyotherreason
theCompanycannotsecureasignaturetoapplyfororpursueanyapplicationof
anyUnitedStatesorforeignpatentsorcopyrightregistrationscoveringCompany
InventionsororiginalworksofauthorshipassignedtotheCompany,the
ContractorherebyirrevocablydesignatesandappointstheCompanyanditsduly
authorizedofficersandagentsastheContractorsagentsandattorneysinfact,to
actforandonbehalfoftheContractortosignandfileanythoseapplicationsand
todoallotherlawfullypermittedactstofurthertheprosecutionandissuanceof
patentorcopyrightregistrationswiththesamelegalforceandeffectasiftheyhad
beensignedbytheContractor.
5. USEOFTRADEMARKS.
TheContractormayuse,reproduce,anddistributetheCompanysservicemarks,
trademarks,andtradenames(ifany)(collectively,theCompanyMarks)inconnection
withtheperformanceoftheServices.Anygoodwillreceivedfromthisusewillaccrueto
theCompany,whichwillremainthesoleowneroftheCompanyMarks.TheContractor
maynotengageinactivitiesorcommitacts,directlyorindirectly,thatmaycontest,
dispute,orotherwiseimpairtheCompanysinterestintheCompanyMarks.The
ContractormaynotcausediminishmentofvalueoftheCompanyMarksthroughanyact
orrepresentation.TheContractormaynotapplyfor,acquire,orclaimanyinterestinany
CompanyMarks,orothersthatmaybeconfusinglysimilartoanyofthem,through
advertisingorotherwise.Attheexpirationorearlierterminationofthisagreement,the
ContractorwillhavenofurtherrighttousetheCompanyMarks,unlesstheCompany
provideswrittenapprovalforeachsuchuse.
6. CONFIDENTIALINFORMATION.
(a) Confidentiality.DuringtheTerm,theContractormayhaveaccesstoorreceive
certaininformationoforabouttheCompanythattheCompanydesignatesas
confidentialorthat,underthecircumstancessurroundingdisclosure,oughttobe
treatedasconfidentialbytheContractor(ConfidentialInformation).

ConfidentialInformationincludesinformationrelatingtotheCompanyorits
currentorproposedbusiness,financialstatements,budgetsandprojections,
customeridentifyinginformation,potentialandintendedcustomers,employers,
products,computerprograms,specifications,manuals,software,analyses,
strategies,marketingplans,businessplans,andotherconfidentialinformation,
providedorally,inwriting,bydrawings,orbyanyothermedia.TheContractorwill
treattheConfidentialInformationasconfidentialandwillnotdiscloseittoanythird
partyoruseitforanypurposebuttofulfillhisorherobligationsinthisagreement.
Inaddition,theContractorshalluseduecareanddiligencetopreventthe
unauthorizeduseordisclosureofsuchinformation.
(b) Exceptions.Theobligationsandrestrictionsinsubsection(a)donotapplytothat
partoftheConfidentialInformationtheContractordemonstrates:
(i) wasorbecomesgenerallypublicallyavailableotherthanasaresultofa
disclosurebytheContractorinviolationofthisagreement
(ii) wasorbecomesavailabletotheContractoronanonconfidentialbasisbefore
itsdisclosuretotheContractorbytheCompany,butonlyif:
A. thesourceofsuchinformationisnotboundbyaconfidentialityagreement
withtheCompanyorisnototherwiseprohibitedfromtransmittingthe
informationtotheContractorbyacontractual,legal,fiduciary,orother
obligationand
B. theContractorprovidestheCompanywithwrittennoticeofhisorherprior
possessioneither(I)beforetheeffectivedateofthisagreementor(II)ifthe
Contractorlaterbecomesaware(throughdisclosuretotheContractor)of
anyaspectoftheConfidentialInformationastowhichtheContractorhad
priorpossession,promptlyontheContractorsobecomingaware
(iii) isrequestedorlegallycompelled(byoralquestions,interrogatories,requests
forinformationordocuments,subpoena,civilorcriminalinvestigative
demand,orsimilarprocesses),orisrequiredbyaregulatorybody,tobe
disclosed.However,theContractorshall:
A. providetheCompanywithpromptnoticeoftheserequestsor
requirementsbeforemakingadisclosuresothattheCompanymayseek
anappropriateprotectiveorderorotherappropriateremedyand
B. providereasonableassistancetotheCompanyinobtaininganyprotective
order.
IfaprotectiveorderorotherremedyisnotobtainedortheCompanygrantsa
waiverunderthisagreement,theContractormayfurnishthatportion(andonly
thatportion)oftheConfidentialInformationthat,inthewrittenopinionof
counselreasonablyacceptabletotheCompany,theContractorislegally

compelledorotherwiserequiredtodisclose.However,theContractorshall
makereasonableeffortstoobtainreliableassurancethatconfidential
treatmentwillbeaccordedanypartoftheConfidentialInformationdisclosedin
thiswayor
(iv) wasdevelopedbytheContractorindependentlywithoutbreachofthis
agreement.
(c) Remedy.Moneydamagesmaynotbeasufficientremedyforanybreachofthis
sectionbytheContractorand,inadditiontoallotherremedies,theCompanymay
seek(andmaybeentitledto)asaresultofsuchbreach,specificperformance
andinjunctiveorotherequitablereliefasaremedy.
7. REPORTING.
TheContractorshallreporttoMaryTompkinsorsuchotherofficeroremployeeasmay
bedesignatedbytheCompany.
8. OTHERACTIVITIES.
DuringtheTerm,theContractorisfreetoengageinotherindependentcontracting
activities,exceptthattheContractormaynotacceptwork,enterintocontracts,oraccept
obligationsinconsistentorincompatiblewiththeContractorsobligationsorthescopeof
ServicestoberenderedfortheCompanyunderthisagreement.
9. RETURNOFPROPERTY.
Within14daysoftheexpirationorearlierterminationofthisagreement,theContractor
shallreturntotheCompany,retainingnocopiesornotes,allCompanyproducts
samples,models,property,anddocumentsrelatingtotheCompanysbusinessincluding
reports,abstracts,lists,correspondence,information,computerfiles,computerdisks,
andothermaterialsandcopiesofthosematerialsobtainedbytheContractorduringand
inconnectionwithhisorherworkwiththeCompany.Allfiles,records,documents,
blueprints,specifications,information,letters,notes,medialists,originalartworkor
creativework,notebooks,andsimilaritemsrelatingtotheCompanysbusiness,whether
preparedbytheContractororbyothers,remaintheCompanysexclusiveproperty.
10. INDEMNIFICATION.
(a) OfCompanybyContractor.Atalltimesaftertheeffectivedateofthis
agreement,theContractorshallindemnifytheCompanyanditsmembers,
managers,employees,owners,affiliates,subsidiaries,successors,andassigns
(collectively,theCompanyIndemnitees)fromalldamages,liabilities,
expenses,claims,orjudgments(includinginterest,penalties,reasonable
attorneysfees,accountingfees,andexpertwitnessfees)(collectively,the
Claims)thatanyCompanyIndemniteemayincurandthatarisefrom:

(i) theContractorsgrossnegligenceorwillfulmisconductarisingfromthe
Contractorscarryingoutofhisorherobligationsunderthisagreement
(ii) theContractorsbreachofanyofhisorherobligationsorrepresentations
underthisagreementor
(iii) theContractorsbreachofhisorherexpressrepresentationthatheorsheis
anindependentcontractorandincompliancewithallapplicablelawsrelated
toworkasanindependentcontractor.Ifaregulatorybodyorcourtof
competentjurisdictionfindsthattheContractorisnotanindependent
contractororisnotincompliancewithapplicablelawsrelatedtoworkasan
independentcontractor,basedontheContractorsownactions,the
Contractorwillassumefullresponsibilityandliabilityforalltaxes,
assessments,andpenaltiesimposedagainsttheContractorortheCompany
resultingfromthatcontraryinterpretation,includingtaxes,assessments,and
penaltiesthatwouldhavebeendeductedfromtheContractorsearningsifthe
ContractorhadbeenontheCompanyspayrollandemployedasaCompany
employee.
(b) OfContractorbyCompany.Atalltimesaftertheeffectivedateofthis
agreement,theCompanyshallindemnifytheContractoranditsofficers,
members,managers,employees,agents,contractors,sublicensees,affiliates,
subsidiaries,successors,andassigns(collectively,theContractor
Indemnitees)fromallClaimsthattheContractorIndemniteesmayincurarising
from:
(i) theCompanysoperationofitsbusiness
(ii) theCompanysbreachorallegedbreachof,oritsfailureorallegedfailureto
performunder,anyagreementtowhichitisapartyor
(iii) theCompanysbreachofanyofitsobligationsorrepresentationsunderthis
agreement.However,theCompanyisnotobligatedtoindemnifythe
ContractorifanyoftheseClaimsresultfromtheContractorsownactionsor
inactions.
11. FORCEMAJEURE.
Apartywillbenotbeconsideredinbreachoforindefaultbecauseof,andwillnotbe
liabletotheotherpartyfor,anydelayorfailuretoperformitsobligationsunderthis
agreementbyreasonoffire,earthquake,flood,explosion,strike,riot,war,terrorism,or
similareventbeyondthatpartysreasonablecontrol(eachaForceMajeureEvent).
However,ifaForceMajeureEventoccurs,theaffectedpartyshall,assoonas
practicable:
(a) notifytheotherpartyoftheForceMajeureEventanditsimpactonperformance
underthisagreementand

(b) usereasonableeffortstoresolveanyissuesresultingfromtheForceMajeure
Eventandperformitsobligationsunderthisagreement.
12. GOVERNINGLAW.

(a) ChoiceofLaw.ThelawsofthestateofStategovernthisagreement(without
givingeffecttoitsconflictsoflawprinciples).
(b) ChoiceofForum.Bothpartiesconsenttothepersonaljurisdictionofthestate
andfederalcourtsinCounty,State.
(c) AttorneysFees.Ifeitherpartyemploysattorneystoenforceanyrightsarising
outoforrelatingtothisagreement,thelosingpartyshallreimbursetheprevailing
partyforitsreasonableattorneysfees.
13. AMENDMENTS.
Noamendmenttothisagreementwillbeeffectiveunlessitisinwritingandsignedbya
partyoritsauthorizedrepresentative.
14. ASSIGNMENTANDDELEGATION.
(a) NoAssignment.Neitherpartymayassignanyofitsrightsunderthisagreement,
exceptwiththepriorwrittenconsentoftheotherparty,whichconsentshallnotbe
unreasonablywithheld.Allvoluntaryassignmentsofrightsarelimitedbythis
subsection.
(b) NoDelegation.Neitherpartymaydelegateanyperformanceunderthis
agreement,exceptwiththepriorwrittenconsentoftheotherparty,whichconsent
shallnotbeunreasonablywithheld.
(c) EnforceabilityofanAssignmentorDelegation.Ifapurportedassignmentor
purporteddelegationismadeinviolationofthissection14,itisvoid.
15. COUNTERPARTSELECTRONICSIGNATURES.
(a) Counterparts.Thepartiesmayexecutethisagreementinanynumberof
counterparts,eachofwhichisanoriginalbutallofwhichconstituteoneandthe
sameinstrument.
(b) ElectronicSignatures.Thisagreement,agreementsancillarytothisagreement,
andrelateddocumentsenteredintoinconnectionwiththisagreementaresigned
whenapartyssignatureisdeliveredbyfacsimile,email,orotherelectronic
medium.Thesesignaturesmustbetreatedinallrespectsashavingthesame
forceandeffectasoriginalsignatures.

16. SEVERABILITY.
Ifanyoneormoreoftheprovisionscontainedinthisagreementis,foranyreason,held
tobeinvalid,illegal,orunenforceableinanyrespect,thatinvalidity,illegality,or
unenforceabilitywillnotaffectanyotherprovisionsofthisagreement,butthisagreement
willbeconstruedasifthoseinvalid,illegal,orunenforceableprovisionshadneverbeen
containedinit,unlessthedeletionofthoseprovisionswouldresultinsuchamaterial
changesoastocausecompletionofthetransactionscontemplatedbythisagreementto
beunreasonable.
17. NOTICES.
(a) WritingPermittedDeliveryMethods.Eachpartygivingormakinganynotice,
request,demand,orothercommunicationrequiredorpermittedbythis
agreementshallgivethatnoticeinwritinganduseoneofthefollowingtypesof
delivery,eachofwhichisawritingforpurposesofthisagreement:personal
delivery,mail(registeredorcertifiedmail,postageprepaid,returnreceipt
requested),nationallyrecognizedovernightcourier(feesprepaid),facsimile,or
email.
(b) Addresses.Apartyshalladdressnoticesunderthissection17toapartyatthe

(c) Effectiveness.Anoticeiseffectiveonlyifthepartygivingnoticecomplieswith
subsections(a)and(b)andiftherecipientreceivesthenotice.
18. WAIVER.
Nowaiverofabreach,failureofanycondition,oranyrightorremedycontainedinor
grantedbytheprovisionsofthisagreementwillbeeffectiveunlessitisinwritingand
signedbythepartywaivingthebreach,failure,right,orremedy.Nowaiverofanybreach,
failure,right,orremedywillbedeemedawaiverofanyotherbreach,failure,right,or
remedy,whetherornotsimilar,andnowaiverwillconstituteacontinuingwaiver,unless

thewritingsospecifies.
19. ENTIREAGREEMENT.
Thisagreementconstitutesthefinalagreementoftheparties.Itisthecompleteand
exclusiveexpressionofthepartiesagreementaboutthesubjectmatterofthis
agreement.Allpriorandcontemporaneouscommunications,negotiations,and
agreementsbetweenthepartiesrelatingtothesubjectmatterofthisagreementare
expresslymergedintoandsupersededbythisagreement.Theprovisionsofthis
agreementmaynotbeexplained,supplemented,orqualifiedbyevidenceoftradeusage
orapriorcourseofdealings.Neitherpartywasinducedtoenterthisagreementby,and
neitherpartyisrelyingon,anystatement,representation,warranty,oragreementofthe

20. HEADINGS.

21. EFFECTIVENESS.
Thisagreementwillbecomeeffectivewhenallpartieshavesignedit.Thedatethis
agreementissignedbythelastpartytosignit(asindicatedbythedateassociatedwith
thatpartyssignature)willbedeemedthedateofthisagreement.
22. NECESSARYACTSFURTHERASSURANCES.
Eachpartyanditsofficersanddirectorsshalluseallreasonableeffortstotake,orcause
tobetaken,allactionsnecessaryordesirabletoconsummateandmakeeffectivethe
transactionsthisagreementcontemplatesortoevidenceorcarryouttheintentand

EXHIBITA
DUTIES,SPECIFICATIONS,ANDCOMPENSATION
1. DUTIES.
TheContractorshallperformthefollowingservices:performpersonalconsultation
servicesforcustomersofTickleGamingLLCinternetproperties.
2. COMPENSATION.
AsfullcompensationfortheServicesrenderedunderthisagreement,theCompanyshall
paytheContractorthesumof$3perconsultation,increasingasCompanyrevenue
allowsandContractorperformancequalifies,tonomorethan$5perconsultation,tobe
