The Producer wishes to engage the services of the Composer to provide services in composing of
music for the recording of the music for the incorporation of the music in the Film.

It is hereby agreed as follows:

1: The composer shall compose and arrange the music and if requested lyrics for the film in
accordance to the Producers requirements

2: The composer shall perform, and/or conduct, the music with such other musicians as
necessary and shall record music for the incorporation in the films sound recording

3: The composer hereby grants to the Producer throughout the world the right to issue publicity
concerning the composers services and the product of services, including the right to use and
allow others to use the professional names, likeness, photographs, biography of composer and all
musicians featured on recordings.

4. The Composer recognises the Producers unlimited right to edit, alter, add to, take from, adapt
and/or arrange the music and film and regard thereto and the film, hereby irrevocably waives the
benefits of any provision of law known as "moral rights" (including without limitation any rights
under the composer under section 77-85 inc of the Copyright Designs and Patents Act 1988). The
Producer shall not be obliged to use any of the recordings or music in the film.

5. The Composer hereby assigns to the Producer (where by relevant by way of present
assignment of future copyright) absolutely the whole of the composers interest in the copyright of
the film including and without limitation any rental and lending rights and cable re-transmissions
rights) throughout the universe for the full period of copyright, all renewals, revivals, reversions,
extensions and reinstatements in perpetuity.

6. To Record and reproduce music for and/ or in connection with the Production exploitation, sale,
rental, lending, making available to public, promotion and/ or advertising of any and all versions of
the film by all means

7. The Composer will indemnify and hold the company harmless against all claims costs
proceedings, demands, losses, damages and expenses arising out of any breach of any of the
warranties and representations in this agreement.

8. The Production Company shall pay the Composer 50 upon completion of the services to the
Producers satisfaction. The amount will include all costs incurred in connection with the

production and delivery of to the Producer of the recordings in accordance with this agreement
(including without limitation the costs of all materials, studio hire and musicians fees).

9. The Composer hereby grants to the Producer the following rights with regard to the music
composed for the use in the film:

a. The synch license and lending rights and cable transmission rights, in the recordings
throughout the universe for the full period of copyright and all renewals, revivals, reversions,
reinstatements and extensions thereof and therefore in so far possible, in perpetuity; and

b. The right to license grant transfer or assign without having to obtain any further consent from
the Composer all or any of its rights (including without limitation any or all of its right in the
recordings and music) hereunder and the benefit of this agreement to any third party.

c. All other rights whatsoever in the recordings, although the composer retains the rights to the
sound master.

DELIVERABLES

10. The composer will assist with the synching and dubbing of music

11. The composer will assist in the preparation of a music cue sheet for the film

12. The composer will produce the recordings on DAT or such other format that may be required
by Producer

13. If requested, the composer will provide a legible copy of the manuscript score of music to the
Producer

14. The Composer will render his/her services to full extent of his / her creative and artistic skill
and technical ability.

15. Originality - all music and recordings made by the Composer will be wholly original to the
Composer and will not infringe the copyright of any third party(s)

16. The Producer hereby undertakes to provide the Composer with the following
credit whenever possible.

TERMINATION OF AGREEMENT

17. The Producer shall have the right to terminate this agreement if the Composer fails, refuses,
neglects or is incapacitated due to mental or physical illness and is unable to perform any of the
obligations under this agreement.

This agreement shall be exclusively governed by English law. The High Court of Justice in
England shall be the exclusive Court of Jurisdiction.
