MEMORANDUM OF UNDERSTANDING
MEMORANDUM OF UNDERSTANDING FOR WHITE LABEL PRODUCTION SERVICES BETWEEN

(referred to as "Principal") and United Interactive (referred to as Agency)

This Memorandum of Understanding (MOU) between Principal and Agency establishes the broad mutual under-
standing of their organisations. We recognise the autonomy of each organisation and enter this agreement in a
spirit of mutual trust.
Organisations to this MOU are Principal and Agency, respectively, herein after called the organisations or
"parties". This MOU is therefore a statement of mutual intent to which the two organisations are legally bound,
covenant and agree as follows:
A. Each party would like to work together in partnership on White Label Production Services.
B. Each party may engage the services of the other party toward work on the project, and each desires to
provide these services based on the terms and conditions set forth in this Memorandum of Understanding.
C. Both Principal and Agency are committed to building a collaborative relationship by sharing their respec-
tive experiences and expertise. Each organisation agrees to share its respective materials, approaches, and
information proactively and openly in an attempt to develop new materials or approaches, or enhance
existing ones.
D. This Memorandum of Understanding does not preclude each organisation from working independently
with other organisations locally or internationally in similar areas.
E. All information related to the projects will be kept condential and not used for any other purpose than
evaluation of projects, making a budgeting decisions and monitoring the project process.
This Memorandum of Understanding is a mutual statement of commitment among the parties. It serves to keep
record of the commitment of the parties which agree to make every reasonable effort to full the intentions
expressed in any future Project Agreement(s) and Statement of Work(s) as well as in nancial commitments.
Details on the implementation of the Project Agreement(s) and Statement of Work(s) are outlined in separate
documents due to be produced on a mutually agreed project basis.
The Memorandum of Understanding shall come into force on the date of its signature by all parties. The Parties are
aware that the agreement to their participation in Project Agreement(s) and Statement of Work(s) includes their
nancial commitment for the whole period of their mutually agreed projects.

CONFLICT RESOLUTION
The Parties enter into this MOU in a spirit of mutual trust and intend that all unforeseen matters on issues that
arise, as the relationship evolves, will be resolved in a spirit of mutual understanding. In the event that there is a
conict it shall be resolved in a peaceful and amicable manner. All reasonable efforts will be made to settle the
matter through dialog and negotiation and to accommodate the policies and intention of each others respective
organisations.
TERM AND TERMINATION
Principal and Agency may terminate this MOU at any time. This MOU will terminate automatically and without
notice if either party fails to comply with any term or condition of this MOU or any mutually agreed Project Agree-
ment and Statement of Work. Any provision in this MOU which when reasonably read is intended to survive the
termination of this MOU shall survive, including without limitation, any disclaimer of warranties and limitations of
liability.
COMPLIANCE WITH LAW
Agency makes no representation that the Final Deliverables set forth in Project Agreement and Statement of
Work are appropriate for use in the locality of the Principal. Principal acknowledges and agrees that it is Principals
responsibility to ensure that the use of Final Deliverables, as applicable, comply with all relevant local and interna-
tional laws.
ENTIRE AGREEMENT
This Memorandum of Understanding sets forth Agencys entire liability and Principals exclusive remedy with
respect to the White Label Production Services. Principal acknowledges that this MOU is a complete statement of
the agreement between Principal and Agency with respect to the White Label Production Services, and that there
are no other prior or contemporaneous understandings, promises, representations or descriptions with respect to
the White Label Production Services. If any provision of this MOU is invalid or unenforceable under applicable law
it is deemed omitted and the remaining provisions will continue in full force and effect.
