SUPPLEMENTAL SOUNDS, L.L.C.

LICENSING AGREEMENT
By completing the purchase of any Supplemental Sounds sound, sample pack,
loop or sample from supplementalsounds.com or downloading any free samples from
the website, you hereby understand, agree with and accept the terms of the following
User Licensing Agreement:
1.
This User Licensing Agreement (Agreement) is made and entered into by and
between Supplemental Sounds, L.L.C., a Montana limited liability company (hereinafter
referred to as Licensor), and you (hereinafter referred to as Licensee), on the date
you complete a purchase from supplementalsounds.com or download any free samples
from the website.
2.
Licensor is the owner of the sounds, sample packs, loops and samples available
for sale and/or download at supplementalsounds.com or is otherwise authorized to
resell said products.
3.
Licensee desires to license from Licensor the use of said sounds, sample packs,
loops and samples for his or her own use.
4.
Licensor is willing to grant the license to Licensee subject to the terms and
conditions set forth herein.
5.
Licensee understands and agrees that the sounds, sample packs, loops and
samples are licensed, not sold, to Licensee by Licensor and are to be reproduced within
Licensees own original musical compositions only and Licensor expressly reserves any
other rights not granted to Licensee herein. Licensor shall retain ownership of said
products.
6.
Licensee shall not unlawfully copy, duplicate, sell, lend, rent, hire, broadcast,
upload or download to any database, news group, server, computer, file sharing service
or otherwise distribute any of Licensors products. Said products may not be included,
whether unmodified or as part of a derivative work, in any musical library or sample
library product. Such conduct is prohibited by applicable copyright law and strictly
forbidden by Licensor. Any unlicensed usage or conduct will be prosecuted to the
maximum extent allowed by law.
7.
Licensee may use the sounds, sample packs, loops and samples for both
commercial and non-commercial use, however, Licensee shall not use said products in
the creation of any competitive product including, but not limited to sample packs,
sample c.d.s, sample DVDs, virtual instruments, expansion packs, or any other
collection of sound or loop elements in any format whatsoever.

8.
This license shall be non-exclusive and granted for a single-user, Licensee, on a
global basis for the full period of copyright protection.
9.
Licensee agrees to indemnify and hold harmless Licensor and any involved
producer for any direct or indirect consequential loss arising from the use of Licensors
products in whatever form. Further, Licensor cannot be held liable for any infringements
that may arise from the use of said products with the Licensees musical compositions
and productions.
10.
Neither party may assign any of its/their rights or obligations hereunder to any
third party or entity, and this license may not be involuntarily assigned or assigned by
the mere operation of law, without prior written consent of the non-assigning party,
which consent may be given or withheld by such non-assigning party in the sole
exercise of its own discretion.
