RELEASE, WAIVER AND QUITCLAIM

KNOW ALL MEN BY THESE PRESENTS:

I, Maria Carla L. Milar, of legal age, Filipino and with address at

B2L7&8 Villa Barcelona P2, Sindacan, San Fernando City do, by these
presents, acknowledge that I have received from JBW FLOOR CENTER, INC.
(hereinafter referred to as the Company) my regular salaries and benefits I am
entitled to through 16 January 2014 in the amount of Three Thousand One
Hundred Thirteen Pesos and 16/100 Only (Php 3,113.16) in Philippine
currency; that the foregoing payments represent full and final settlement of any
and all claims I may have against the Company arising from or connected with
my previous employment with it and/or the cessation of my said employment.
In consideration of the payment and my receipt of the above amounts
and benefits 1.
I hereby confirm the validity of my resignation from the Company
effective 16 January 2014 from which date employer-employee relationship
between me and this Company ceases.

I acknowledge that the payments mentioned above set forth
payment of all amounts and benefits due me or my heirs from the Company
arising from any agreement, contract or plan or in respect of any matter
incident to or arising from my previous employment with the Company or the
cessation of my employment with it.

I also acknowledge that I am physically fit for work and, therefore,
am not suffering from any disability or work-connected illness.
4.
I hereby unconditionally and absolutely release, remise, and
forever discharge the Company, its affiliates, subsidiaries, parent or holding
companies, their owners, directors, officers, stockholders, agents or employees,
including their assigns, representatives and successors in interest, from any
and all claims or actions of whatsoever nature, including but not limited to
claims for sums of money, or other obligations arising from my resignation from
the Company, or any agreement, contract or plan or from any and all incidents
of my previous employment with the Company or the cessation of my
employment with it.

I declare that I have no cause of action, demand, complaint, case
or grievance whatsoever against the Company, its affiliates, subsidiaries, parent
or holding companies, their owners directors, officers, stockholders, agents and
employees, including their assigns and successors in interest, in respect of any
matter incident to or arising from my resignation from the Company or any
contract, agreement, or plan or my previous employment with the Company or
the cessation of my employment with it. Accordingly, I warrant that I will not
file any action or complaint in any court or administrative body against the
Company or any of the aforementioned entity or persons. I manifest that the
payment to me of the aforementioned sums shall not in any way be taken by
me, my heirs or assigns as a confession or an admission of liability on the part

of the Company or any of the aforementioned entities or persons for all legal
intents and purposes.

I undertake not to divulge to any party, or use in any manner, any
Confidential Information of the Company which I had access to and/or
possession over in the course of my previous employment with the Company. I
agree that the Company is entitled to secure an injunction against me and/or
my violation of this undertaking in addition to securing from me payment of
such actual damages as the Company may have suffered or incurred.
In connection with this, I fully understand that Confidential
Information covers information regarded as such by the Company, including
information relating to past, present or future research, development of
business affairs, and any proprietary products, materials or methodologies of
the Company, its clients, and vendors.
7.
I finally declare that I have read this entire document, and the
release and quitclaim hereby given are made by me willingly and voluntarily
with full knowledge of my rights under the law.
