AGREEMENT OF CORPORATE LEGAL SERVICES

Party B: ORION LAW FIRM
Address: H# 81/11-A, Butt Chowk, Gulistan Colony Lane #3, Rawalpindi Cantt
Party A, for the interests of its business operation in Pakistan, hereby render services of Party B to
be its legal advisor. Under Article of the Provisional Regulations of the Lawyers of Pakistan, Both
parties agree to enter into and to be subject to the following provisions:
1. Party B appoints its attorney, Mr. Muhammad Dilpazir Butt to be the legal advisor, to
provide legal services and to protect the legal rights of Party A.
2. The legal services rendered of Party B to Party A under this agreement are as follows:
2.1 Providing legal advice on questions pertaining to the business operations of Party A;
2.2 Examining the business contracts made between Party A and other parties;
2.3 Examining legal papers made for Party A, including the in-house contracts, agreements, article
of associations.
2.4 Examining the internal regulations for Party A;
2.5 Examining the legal documents related to the employment contract between Party A and its
employees;
2.6 Providing advice on question about law raised on the dispute between Party A and any third
parties;
2.7 Providing Party A update information about law and regulations in relation to Party A's business
operations in Pakistan.

2.8 Answering the questions and explain the details about the update law and regulations in
relation to Party B's business operation in Pakistan.
2.9 Providing opinions from legal prospect on important business activities for Party A;
2.10 Under the request from Party A, submit attorney's letter to any third parties;
2.11 On the authority from Party A, publish attorney's statement or opinion.
3 The legal services exclusive to this agreement and may be rendered by Party B to Party A
are as following:
3.1 Presenting Party A in lawsuit, arbitration, re-hearing of administrative prosecution;
3.2 Providing services on attorney's affidavit of witness for Party A;
3.3 Drafting Legal Opinion or Attorney's Advisory Paper;
3.4 On Party A's request, take part in Party A's business meeting;
3.5 On Party A's request, conduct a corporate training for Party A's staffs on legal topics;
3.6 Any other services in relation to the transfer of company's share interests, property transfer,
corporate merger and acquisitions, etc.
4. Annual Legal Service Fees
4.1 Party A shall pay Party B a legal advisory fee monthly Rs.10,000/- (Ten Thousand only), which
shall be paid in before 5th of every month. Party A will pay basic expenses (which will vary case to
case (lower or high court, legal notices)) to the Party B. Party B will not charge fees for the services
agreed above on this agreement.
4.2. Payment options:
a. Cash; b. Bank Draft; c. Bank Transfer; d. Cheque
4.3 The above fee payment shall not constitute any expenses that Party A shall pay such as
government fees, agent's fees, or the travel cost and travel allowance for Party B's in performing the
duties on behalf of Party A.

5. Changes of Appointed Attorneys

5.1 In case that the current appointed attorney ware not able to continually carry its duty as a legal
adviser for Party A, Party A may consult Party B for discontinuation of the appointment of attorney;

5.2 Party A can have option to withdraw this agreement if the attorney has not perform the services
up to the mark for Party A. Party A shall also entitled to stop of legal advisory fee.
5.3 Party B can lift the services from Party A on unappropriate behaviour or non payment of
monthly dues.
6. Term of this Agreement;
6.1 The term of this agreement is for ONE YEAR (from the 22th day of May 2014 to21th day of May
of 2015), effective immediately after both parties signed this agreement.
6.2 This agreement shall be renewable within 10 days before the expire date, or may be set on a
update agreement for continual render of services of legal advisor of Party B by Party A. Non
renewal would mean the continual of agreement.
7. Standard Version of this Agreement
7.1 This agreement is duplicate to two copies and each of the parties shall keep one copy which
shall be deeming as equal legal effects.
7.2 The agreement was initiated in Rawalpindi with the mutual consent of both the parties.
