ARTICLES OF INCORPORATION

Know all Men By These Presents:

That We, the majority of whom are residents of the Philippines, on this 15 th day of
July 2013, do hereby voluntarily associate ourselves in order to form and establish a
corporation under the laws of the Philippines;

-Witnesseth-

1. That the name of this Corporation shall be La Verdad Christian University;

2. That the purpose for the establishment of this Corporation is as follows:
In order to form, establish and administer a University with a high
standard of education with emphasis on the development of arts, the molding of
the youth in good conduct and science research and for this purpose to open and
maintain a university from elementary to the collegiate level in accordance with
the new and modern methods of teaching.

3. That the main office of the Corporation is located at No. 314 Recto Avenue,
Manila;
4. That the term of the Corporation is fifty (50) years from the date of the
founding of this Corporation;
5. That the names and respective addresses of the Incorporators are the
following:

6. That the number of the directors of the Corporation is five (5), to serve until
their successors or substitutes shall have been elected in accordance with the
by-laws of the Corporation, their names and respective addresses are as
follows:

7. That the capital stock of the Corporation is valued at Ten Million Pesos
(P10,000,000.00) Philippine Currency, divided into five shares with par value
of Two Million (P2,000,000.00) each;
8. That the number and amount of the Capital Stock actually subscribed is Fifty
Percent with five number of shares in the amount of Five Million Pesos
(P5,000,000.00) actually paid up;
9. That Fernando N. Rafael has been elected Treasurer of the Corporation, to
hold office until his successor shall have been elected in accordance with the
existing by-laws and as Treasurer, and he shall have full authority to receive
for and in behalf of the Corporation the amount of subscription from each
member-subscriber.
