CONTRACT OF LEASE

KNOW ALL MEN BY THESE PRESENTS:


This AGREEMENT OF LEASE made and entered into by and between:
The LESSOR: Macopa Gomez, single, of legal age, Filipino, residing at 7 Macopa Street,
Ayala Alabang Village, Muntinlupa City.
-andThe LESSEE: Cool Ninja Inc., a corporation duly organized and existing under and by
virtue of the laws of the Philippines, with its principal place of business at 7th floor, 6750 Ayala
Avenue, Makati City.

WITNESSETH:
WHEREAS, the LESSOR is the owner in fee simple of a certain parcel of land covered
by Torrens Certificate of Title No. 11111 in the City of Muntinlupa.
WHEREAS, the LESSOR offered to lease and the LESSEE agreed to rent the abovementioned property.
NOW THEREFORE, the LESSOR hereby lets and leases unto the LESSEE the abovedescribed property under the following terms and conditions:

1. The yearly rental shall be one hundred and fifty PESOS (P 150) per month for the 1st
to 7th year and one hundred and eighty PESOS (P 180) per month for the remaining
years to be paid by the LESSEE at the office of the LESSOR on or before the 7th day
of January of each year to be paid annually;
2. The term of the lease is fifteen (15) years commencing on January 7, 2001 and
expiring on January 7, 2016;
3. The LESSEE hereby expressly agrees and warrants that the leased premises shall be
used by it expressly for the purpose of their corporation as stated in its Articles of
Incorporation and the said LESSEE is hereby strictly prohibited from using the said
premises for any other purpose or business without prior written consent of the
LESSOR;
4. The major and minor repairs shall be for the account of the LESSOR;

5. Taxes and assessments shall be for the account of the LESSOR, while expenses for
electricity, water and other utilities shall be for the account of the LESSEE;
6. Upon signing of this agreement, the LESSEE by way of deposit unto the LESSOR the
sum of four-hundred and fifty (P 450) as security deposit for the first 3 months;
7. The LESSEE shall have the right of first refusal should the LESSOR decide to sell
the property during the term of the lease;
8. If whole or any part of the leased premises shall be destroyed or damaged by fire,
flood, lightning, typhoon, earthquake, storm, riot or any other unforeseen disabling
cause of acts of God, as to render the leased premises during the term substantially
unfit for use and occupation of the LESSEE, then this lease contract may be
terminated without compensation by the LESSOR or by the LESSEE by notice in
writing to the other;
9. The LESSOR or its authorized agent shall after giving due notice to the LESSEE
shall have the right to enter the premises in the presence of the LESSEE or its
representative at any reasonable hour to examine the same or make repairs therein or
for the operation and maintenance of the building or to exhibit the leased premises to
prospective LESSEE, or for any other lawful purposes which it may deem necessary;
10. The LESSOR holds that the LESSEE be harmless and free from any liabilities arising
from any actions, losses or damages appurtenant and in connection with this contract;
11. That violation of any of the above terms and conditions will produce ipso facto the
rescission of this contract of lease;
12. All court actions from this contact of lease shall be filed only in the Courts of Makati
City to exclusion of all other courts;
13. This lease shall bind and inure to the benefits of the successors and assigns of the
LESSOR and of the permitted successors and assigns of the LESSEE.

IN WITNESS WHEREOF, these presents are signed at the City of Muntinlupa,


Philippines, on this 7th day of January, 2001.
