ANNEX 1
CONDITIONS OF PARTICIPATION IN GEM
1.

Interpretation

In these Conditions unless the context so requires


1.1

the following words and expressions shall bear the meanings set opposite them:Agreement

these Conditions of Participation in GEM, the letter to


which they are attached and the Policy;

Annual Meeting

the meeting convened by GERA each year at a location and


on dates notified by GERA, to which representatives of
National Teams are invited;

Annual Schedule

the schedule referred to in Clause 4;

Annual Team
Responsibilities

the Teams responsibilities and obligations for each year of


its participation in the GEM Report (and related initiatives),
as referred to in Clause 2.2 and as specified in each years
Annual Schedule;

Coordination Fee

the amount payable by the Team to GERA in accordance


with Clause 2.2;

Country

the country in which a National Team is situated and/or in


relation to which a National Team has agreed to collect the
Country Data;

Country Data

data relating to entrepreneurial activity in a Country


collected by the applicable National Team in accordance
with the Standards;

Country Data Set

the harmonised data set created by GERA in accordance


with the Standards on the basis of the Country Data;

Exercise

the annual research exercise, conducted on a calendar year


basis, culminating in the GEM Report(s) and involving all
related activities and initiatives contemplated in this
Agreement;

GEM

means the joint research project launched in 1997 for the


study of global entrepreneurial activity, known as Global
Entrepreneurship Monitor or GEM;

GEM Marks

the marks GEM, GLOBAL ENTREPRENEURSHIP


MONITOR and any logo used from time to time by GERA
to designate GEM or the products and services of GEM or
GERA;

GEM Report(s)

the annual Global Entrepreneurship Monitor Report, and


any other reports combining or based on Country Data Sets
from more than one Country commissioned, produced
and/or published by GERA from time to time;

Intellectual Property

all intellectual property rights including but not limited to


copyright, patents, database rights and rights in trade
marks, designs, know-how (whether registered or
unregistered);

Master Data Set

the final aggregated data set of all Country Data Sets;

National Report

an annual report based solely on the Country Data and/ or


the Country Data Set commissioned, produced and/or
published by a National Team for the year in question;

National Team

any one of the National Teams (including the Team) that is


participating in GEM;

Output Obligations

the obligations of GERA as set out in Clause 3.3 and


undertaken in consideration for the Team Participation
Obligations;

Researcher

an individual researcher or research coordinator working on


GEM in a National Team;

Policy

the Data Sharing and Public Release Policy, a copy of the


current version of which appears in Annex 2 to the letter to
which these Conditions are attached, as amended by GERA
from time to time in consultation with the National Teams;

Processing Obligations

the obligations of GERA as set out in Clause 3.2 and


undertaken in consideration for the Team Participation
Obligations;

Standards

the standards, formats, software, questionnaires and other


policies and procedures, including the Policy as laid down
and updated from time to time by GERA in consultation
with the National Teams, for the sampling, collection,
analysis, harmonisation, release and presentation of data for
the purposes of GEM;

Team Participation
Obligations

the obligations of the Team as set out in Clause 2 and


undertaken in consideration for the Output Obligations and
the Processing Obligations;

Team

the university or equivalent institution having legal


personality which is named as the location of the person to
whom the letter to which these Conditions are attached is
addressed.

1.2

person includes corporation;

1.3

words importing one gender shall (where appropriate) include any other gender and words
importing the singular shall (where appropriate) include the plural and vice versa;

1.4

the headings in this Agreement shall not affect its interpretation or construction;

1,5

references in this Agreement to any statute or statutory provision shall include any statute or
statutory provision which amends, extends, consolidates or replaces the same and shall include
any orders, regulations, instruments or other subordinate legislation made under the relevant
statute.

2.

Team Participation Obligations

2.1

The Team agrees for the duration of this Agreement to co-operate in good faith with GERA
and to abide by the terms of this Agreement. The Team acknowledges that it is one of many
National Teams and therefore agrees to co-operate with other National Teams as required in
order to assist in the work undertaken by GERA in furtherance of this Agreement.

2.2

The Team agrees that, with respect to each Exercise in which it participates, it will pay the
Coordination Fee, supply the Country Data for the Teams Country in accordance with the
Standards and comply with the Annual Team Responsibilities as set out in the Annual
Schedule for the year in question.

3.

GERA Obligations

3.1

GERA agrees for the duration of this Agreement to co-operate in good faith with the Team
and to abide by the terms of this Agreement.

3.2

GERA shall be responsible for convening the Annual Meeting and inviting the Team to send a
representative of the Team to the Annual Meeting.

3.3

In consideration of the Team performing its obligations in accordance with the Annual
Schedule, GERA agrees to:
a)

process data and information, including the Country Data, for the purposes of the
production of the Country Data Sets, Master Data Sets and the GEM Report (and
related initiatives) by undertaking, in each year of participation by the Team, the
processing activities set out in the Annual Schedule for the year in question in
accordance with the Standards.

b)

provide the Team, for each Exercise in which the Team has participated, with the
outputs specified in Annual Schedule for the Exercise in question.

3.4

GERA shall use its reasonable endeavours to provide such assistance to the Team as the Team
may reasonably request in connection with the Team's participation in an Exercise and the
discharge of the Annual Team Responsibilities, provided that such assistance does not exceed
the resources or capacity of GERA to provide it, or prevent GERA from discharging its own
obligations under this Agreement, or more generally.

4.

Annual Schedule

4.1

Prior to 1 March in each year during which this Agreement remains in effect, GERA shall
supply to the Team an annual schedule specifying, in relation to the Exercise occurring during
that calendar year:(a)
(b)
(c)
(d)
(e)
(f)

the Coordination Fee


the Standards
the Annual Team Responsibilities
the Processing Obligations
the Output Obligations
any changes to the Policy.

4.2

The Annual Schedule shall be supplemental to and shall form part of this Agreement for the
year to which it relates. It shall be binding on the parties subject to Clause 4.3 and any
suspension of participation pursuant to Clause 5.3.

4.3

Subject only to Clause 7.4, if any of the contents of the Annual Schedule conflicts with any of
the provisions of this Agreement the provisions of this Agreement shall prevail.

5.

Annual Participation

5.1

The Team shall, subject to Clauses 5.2 and 5.3 below, participate in each Exercise while this
Agreement remains in force in accordance with the Annual Schedule and otherwise upon the
terms of this Agreement.

5.2

It is a condition of this Agreement that the Team must participate in the first Exercise
conducted following execution of this Agreement.

5.3

Subject to Clause 5.2, the Team may, at its option, but subject to the approval of GERA, such
approval not to be unreasonably withheld, elect to suspend its participation in one (but no
more than one) Exercise during each consecutive period of five (5) years after the date of this
Agreement. Written notice of the Team's intention to suspend participation shall be served on
GERA on or before the 31 March in the year in which the suspension is to take effect.

5.4

Where pursuant to Clause 5.3 the Teams participation in an Exercise has been suspended:
(a)

the Team shall not be responsible for discharging the obligations set out in Clause 2.2
and GERA shall not be responsible for discharging the obligations to the Team set
out in Clauses 3.2, 3.3 and 3.4 in relation to that Exercise;

(b)

GERA shall not recruit another team to participate in that Exercise on behalf of the
Country in question;

(c)

it is a condition of continued participation following a suspension that, prior to 30


June in the year of the Exercise in which the Teams participation has been
suspended, the Team must give GERA written notice of its intention to participate in
the following Exercise. Failure to give such notice, or to participate as notified, shall
entitle GERA to recruit another team to participate in that and subsequent Exercises
on behalf of the Country in question.

5.5

For each year in which the Team participates in an Exercise the Team shall produce and send
to GERA a National Report in either hard copy or pdf format within nine (9) months of the
end of that year.

5.6

A failure by the Team to submit its Country Data by the deadline stipulated in the Annual
Schedule shall cause that Country Data to be excluded from the Master Data Set and the GEM
Report for the Exercise in question.

5.7

The Team shall send at least one (1) representative of the Team to each Annual Meeting.

5.8

If the Team withdraws from GEM it will do everything in its ability to find a suitable and
acceptable replacement team.

6.

Coordination Fee

6.1

The Team shall pay on time to GERA the full amount set out in the applicable Annual
Schedule for each Exercise in which it wishes to participate.

6.2

Payment of the Coordination Fee for participation in an Exercise must be received by GERA
no later than the deadline stipulated in the Annual Schedule for each Exercise.

7.

Intellectual Property

7.1

Subject to the succeeding provisions of this Clause 7, the Intellectual Property in the Country
Data, Country Data Sets and National Reports supplied or produced by the Team shall, as
between the parties to this Agreement, belong to the Team absolutely. To the extent that any
Intellectual Property in the Country Data, Country Data Sets and National Reports supplied or
produced by the Team does not belong to the Team, the Team shall obtain such assignments,

licences, consents or permissions as are required to enable the parties and National Teams to
exercise their respective rights and fulfil their respective obligations under this Agreement
without encumbrance or liability to make further payment, and for the purposes of the
Contracts (Rights of Third Parties) Act 1999, the foregoing obligations are entered into for the
benefit of National Teams..
7.2

Subject to Clause 7.1, the Intellectual Property in the Standards, Master Data Sets and the
GEM Reports shall, as between the parties to this Agreement, vest in GERA absolutely. To
the extent that any Intellectual Property in the Standards, Master Data Sets and GEM Reports
does not belong to GERA, GERA shall seek such assignments, licences, consents or
permissions as are required to enable the parties and National Teams to exercise their
respective rights and fulfil their respective obligations under this Agreement without
encumbrance or liability to make further payment.

7.3

Each of the parties shall at the request of the other provide such reasonable assistance and
execute such documents as may be required to confirm the provisions of Clauses 7.1 and 7.2.

7.4

The Team hereby grants to GERA a perpetual, irrevocable and worldwide licence in all media,
subject to and in accordance with the Policy:
(a)

to convert the Teams Country Data into the Country Data Sets;

(b)

to retain copies of the Teams Country Data and Country Data Sets for archival
purposes;

(c)

to publish the Master Data Sets and GEM Reports;

(d)

following receipt of the Team's National Report pursuant to Clause 5.5, to publish the
same on GERA's website and provide copies to third parties upon request; and

(e)

to distribute the Teams Country Data and Country Data Sets.

Notwithstanding the provisions of Clause 4.3, if there is any conflict between the provisions
of this Clause 7.4 and the terms of the Policy, the terms of the Policy shall prevail.
7.5

The Team shall be entitled to make such use of its Country Data, Country Data Sets, and
National Reports as it wishes provided that the Team complies with the provisions of the
Policy.

7.6

The Team hereby grants to other National Teams a licence, subject to and in accordance with
the Policy, to use the Teams Country Data and Country Data Sets for its own non-commercial
academic and research purposes, provided that:

7.7

(a)

the Team is acknowledged as the source; and

(b)

such licence does not extend to the distribution of the Teams Country Data and
Country Data Sets to third parties.

Pursuant to the rights granted by the other National Teams under their agreements with GERA
the Team is entitled to use the Country Data and Country Data Sets of other National Teams
for its own non-commercial academic and research purposes, subject to and in accordance
with the Policy, provided that:
(a)

any National Team whose Country Data and Country Data Sets is used is
acknowledged as the source; and

(b)
such licence does not extend to the distribution of any National Teams Country Data
and Country Data Sets to third parties.

7.8

In consideration of the Team paying the Coordination Fee and complying with the terms of
this Agreement, GERA hereby grants to the Team a licence to make such use of the Master
Data Sets and GEM Reports as is permitted by the Policy, provided that no commercial use of
the Master Data Sets and GEM Reports may be made by the Team without the prior written
consent of GERA. For the purposes of this Clause 7.8 commercial use shall be deemed to
exclude use for the sole purpose of securing funding from external sponsors.

8.

Trade Marks

8.1

The GEM Marks are the property of and may be registered in the name of GERA. They may
only be used by the Team:
(a)

by permission of GERA;

(b)

on or in connection with authorised GEM activities and/or National Reports


conducted or produced by the Team under the terms of this Agreement;

(c)

in accordance with the Global Entrepreneurship Monitor Logo Reproduction


Guidelines or such other instructions as to format, content and colour as may be
issued from time to time by GERA.

8.2

The Team shall not adopt or use any trade mark or symbol, emblem, logo, or designation
which includes or is confusingly similar to or is a simulation or colourable imitation of the
GEM Marks or which is materially detrimental to the goodwill or reputation of GEM or
GERA.

8.3

The Team shall not apply for or obtain registration of any trade or service mark in any country
which is the same as or in any way confusingly similar to the GEM Marks or do anything
which might reasonably be expected to undermine the validity of any of the GEM Marks as a
registered trade mark (if applicable).

8.4

The following disclaimer must be printed at the front of any National Report and other
publications bearing any of the GEM Marks:
Whilst this work is based on data collected by the GEM consortium, responsibility for analysis
and interpretation of those data is the sole responsibility of the authors.

9.

Confidentiality

9.1

Subject to Clause 9.2 each party shall treat (and shall procure that its employees and other
agents treat) as confidential any information it receives relating to the other and shall not
disclose such information to any other party except as contemplated in this Agreement.

9.2

Information relating to a party that:


(a)

has been received by the other prior to the date hereof;

(b)

is in the public domain through no fault of the other;

(c)

is required to be disclosed to the other's professional advisers in the normal course of


business; or

(d)

is required to be disclosed by law

shall not, for the purpose for which it has been disclosed, be treated as subject to a condition of
confidentiality.

10.

Warranties

10.1

Both parties warrant that they have power to enter into this Agreement and are able to fulfil
their obligations under it.

10.2

Without limiting the generality of Clause 10.1 each of the parties hereby warrants that it shall
obtain such assignments, licences, consents or permissions as are required to fulfil that partys
obligations under Clause 7 (Intellectual Property).

11.

Termination and Breach

11.1

This Agreement shall commence on the date hereof and continue until terminated by either
party serving notice on the other, such termination to take effect:(a)

in the event that notice is served on or before 30 June, at the end of the then current
calendar year; or

(b)

in the event that notice is served after 30 June, at the end of the next calendar year.

11.2

Notwithstanding termination in accordance with Clause 11.1 the parties' accrued rights and
obligations shall survive until discharged and the provisions contained in Clause 7 (Intellectual
Property) and Clause 8 (Confidentiality) shall continue to bind the parties.

11.3

Either party may serve notice on the other terminating this Agreement if:
(a)

the other is in material breach of this Agreement or, in the case of a material breach
capable of remedy, a reasonable period has elapsed following receipt of written
notification of the remediable breach;

(b)

the other has a receiver or administrator appointed in respect of its assets, petitions for
voluntary liquidation or makes any arrangement with its creditors; or

(c)

the ownership of the other is altered to a degree that has a material impact upon that
party being able to discharge its obligations set out in this Agreement

and termination shall take effect on the date such notice is received.
11.4

This Agreement shall terminate this Agreement forthwith if the Team:


(a)

fails to participate in the first Exercise conducted following execution of this


Agreement;

(b)

fails to serve notice as required by sub-Clause 5.3 (c) (to participate in the Exercise
following suspension)

11.5

GERA reserves the right to terminate this Agreement by service of written notice upon the
Team for persistent failures or a material failure to meet the Standards.

12.

Notices

12.1

Any notice or other document to be given or submitted in accordance with this Agreement
shall be delivered or sent by airmail or facsimile transmission to the other party's address set
out above or to such other address, facsimile number or for the attention of such other party as
may be notified from time to time.

12.2

Any such notice, invoice or other document shall be deemed to have been served, if delivered
at the time of delivery, if posted at the expiration of seven calendar days after the envelope
containing the same shall have been put in the post, or if sent by facsimile transmission after

the expiry of 12 hours after the same shall have been dispatched, and in proving such service it
shall be sufficient to prove that delivery was made or that the envelope containing such notice,
invoice or other document was properly addressed and posted as a prepaid airmail letter or that
the facsimile transmission was properly addressed and despatched as the case may be.
13.

General

13.1

This Agreement and the subsequent Annual Schedules represent the entire agreement between
the parties. Neither this Clause nor any other provision of this Agreement shall serve to
exclude liability for fraudulent misrepresentation.

13.2

In the event that any of the provisions of this Agreement are determined to be invalid,
unlawful or unenforceable to any extent, such term, condition or provision will be severed
from the remaining provisions which will continue to be valid to the fullest extent permitted
by the law.

13.3

Failure or neglect by either party to enforce at any time any of the provisions of this
Agreement shall not be construed as or deemed to be a waiver of that party's rights hereunder
nor in any way affect the validity of the whole or any part of this Agreement and shall not
prejudice that party's rights to take subsequent action.

13.4

Neither party shall be responsible to the other for any delay in the performance or any nonperformance of any of its obligations in this Agreement (except any obligation to make
payment for services delivered or costs incurred) due to causes outside the reasonable control
of the defaulting party.

13.5

This Agreement shall not be assigned by either party without the prior written agreement of
the other.

13.6

No variation of this Agreement shall be valid unless made in writing by the parties, save for
changes to the Policy which may be amended by re-issue pursuant to Clause 4.1.

13.7

Each of the parties undertakes to take all such further action as shall be reasonably required to
give effect to the purpose of this Agreement.

13.8

Save where expressly stated in this Agreement, a person who is not a party to this Agreement
has no right under the Contracts (Rights of Third Parties) Act 1999 (the Act) to enforce any
term herein save that this Clause does not affect any right or remedy of a third party which
exists or is available apart from the Act.

14.

Governing Law and Jurisdiction


This Agreement shall be governed by the law of England and Wales and subject to the
exclusive jurisdiction of the English Courts.

ANNEX 2
DATA SHARING AND PUBLIC RELEASE POLICY
The following policy is based on the discussion and consensus that developed at the GEM 2002
Coordination meeting (London Business School; 10-12 Jan 2002). For purposes of the discussion, several
types of data files are discussed:

Individual Country Adult Population Survey Data. (n = respondent, each country)


Consolidated Adult Population Survey Data for all Countries. (n = respondent, all countries)
Individual Country Expert Questionnaire Data (n = respondent, each country)
Consolidated Country Expert Questionnaire Data (n = respondent, all countries)
Individual Country Expert Face to Face Interview Summaries (n = respondent, each country)
Consolidated Country Expert Face-to-Face Interview Summaries. (n = respondent, all countries)
GEM Master Data File (n = country, all countries)

The policy for data sharing is illustrated in Table 1. Time is measured in terms of months before and after
the annual Global Press Conference, usually in January of the following year. Major elements of this
policy are:
1.

National GEM Teams will have access to GEM data for the years in which they have paid their
fees.

2.

All country specific data is restricted to the individual country team, coordination team, and
special topic teams prior to the global press release event.

3.

Master data files, where the country is the unit of analysis and the individual respondent and
expert data is summarized for each country, are provide to all National Teams as soon as they are
prepared, prior to the public release of the Global Report.

4.

The country specific data related to the adult population surveys, expert questionnaires, or expert
face to face interviews are to be provided only to the respective National Teams, GEM
coordination, and any special topic teams for 12 months following the press conference. Two or
more individual countries may, at any time agree to share this data for their own purposes.

5.

One year after this global press conference, the consolidated data files (all respondents for all
countries) are to made available to all GEM National Teams.

6.

Three years or 37 months after the global press release, all data files are to be placed in the
public domain, beginning with the public side of the GEM website.

Who has access?


7.

Access is restricted to listed members of GEM National Teams, those affiliated with the
Coordination Team, and others that may be engaged as technical consultants.

9.

GEM National Teams are allowed to share any and all of their country specific data with anyone
of their choosingcolleagues, sponsors, etc.

10.

If colleagues and others not formally associated with a given GEM National Team become
involved in analysis, interpretation, and preparation of papers or presentations involving data
from other GEM countries before the public release of that data, a GEM National Team member
must be involved as a named co-author.

ANNEX 3
DATA QUALITY STANDARDS
Version 1.1 adopted on 13/02/2012
GEM prides itself on the integrity and quality of its research and its data. The quality of the data, and
the methods used to collect data, are essential to the continuing reputation of GEM and its outputs.
Each National Team participating in an annual data collection cycle must submit its survey proposal to
the GEM Data Team appointed by Global Entrepreneurship Research Association (GERA), providing
every requested detail about the survey they intend to administer and data collection methodology they
intend to use. This proposal must use the current year's Request for Proposal forms. Only after the
information that has been supplied by the survey vendor and the National Team has been reviewed by
the GEM Data Team, and all outstanding issues addressed, is the team given permission to begin data
collection. In the interests of upholding GEM data quality, GERA reserves the right to (i) withhold
approval of a teams proposal and (ii) exclude a teams data from that years Master Data Set and GEM
Report if they are not deemed to adequately comply with the Standards. The decision of GERA is
final.
When reviewing a National Team's proposal the GEM Data Team will conduct two reviews:
1.

The Adult Population Survey (APS) review examines the appropriateness of the sampling
frame, the specifics of the sample design, the proposed sample size, the possible use of sample
strata, the processes employed to ensure that the respondent is randomly selected, the timing
on the survey administration (day of the week and time of day), the call back procedure if a
potential respondent is not present at the time of the first interview, and the steps that will be
taken by the survey vendor to ensure that the sample is representative of the population of the
country. The content and placement of any additional APS questions as well as the verbal
introduction of the survey to a potential respondent are reviewed.

2.

The National Experts Survey (NES) review verifies that the team has selected a minimum of 4
experts for each of the 9 entrepreneurial framework conditions i.e. a minimum of 36 expert
interviews.

The review process for each National Team proposal also includes examination of the data quality
reports for previous years for that country, to see if there were any areas of improvement identified in
previous reviews that should be addressed in the current year.
Adult Population Survey (APS) requirements
1) Submission of all required documents including
Completed GEM APS Survey Report
A Survey Vendor Proposal, which is a formal description of the proposed methodology
composed by the teams survey vendor.
Translated APS Questionnaire for those teams who will administer the APS in a language
other than English and Spanish. Teams are encouraged to do the translations in cooperation
with their vendor and to use back-translation by third parties to establish whether the

Any additional team-added APS questions, which must be approved by the GEM Data
Team for content and placement before being included in the teams questionnaire.
2) Sample Requirements
A representative national sample of at least two thousand (2,000) adults:

The preferred age range for the target population for the GEM APS is 18 to 99. If this is not
possible, then an age range of 18 to 64 may be used.

All geographic regions of the country, including urban and rural areas. For each
respondent, geographic details of the city/region in which they reside are noted.
Those considered OUT of the labor force (homemakers, retirees, students) are to be
included. Only those people visiting the country, in restraining institutions (prisons, mental

institutions), in group quarters or the military are to be excluded from the sample design.
2) Case Or Respondent Identification Number
A unique identification of fewer than 10 digits must be given to each respondent.
3) Socio-Demographic Items
The National Teams need to ensure that for each respondent the following information is provided:

Respondent gender

Respondent exact age, in years

Educational Attainment

Annual income of the entire household including the respondent

Household size, including the respondent

Main region of country where the respondent resides

City where the respondent resides.


4) Open-Ended Responses
Teams must record the multiple potential open-ended questions in the APS as fully and accurately as
possible and both the English and native-language responses are to be provided in the submitted SPSS
data file.
5) Call-backs
If the survey administrator cannot reach an individual who has been targeted for the APS questionnaire,
they must call-back (5 times, if by phone) or revisit (3 times, if face-to-face) in an attempt to interview
this person.
6) Timing Of Work
The APS must be administered at different times during the day so that respondents are sampled during
and after the work hours. The survey cannot be conducted entirely during holiday periods or some
other time of year that may bias the types of respondents available for sampling.
7) Submission of APS Data
All fieldwork is to be completed and the final SPSS data set together with all documentation including
the completed Strata Definition and Fieldwork Report are provided to the GEM Data Team at
data@gemconsortium.org by the deadline specified in the Annual Schedule.
8) Issues
Teams must respond to all issues identified in the APS data review process.
National Experts Survey (NES) requirements
1) Submission of all required documents including
Completed GEM NES Survey Report, listing the 36 experts the team intends to interview and
background information for each expert, justifying their selection for the respective
entrepreneurial framework condition
Translated NES Questionnaire for those teams who will administer the NES in a language
other than English and Spanish
2) Sample Requirements
A minimum of 4 experts for each of the 9 entrepreneurial framework conditions (i.e. a minimum of 36
interviews):
Financial support for entrepreneurs
Governmental policies
Governmental programs
Entrepreneurial education and training
R&D transfer
Commercial and professional infrastructure
Internal market openness
Physical infrastructure
Social and cultural norms

3) Response Rate
Expert interviews with more than 25% of the responses missing cannot be accepted.
4) Submission of NES Data
All fieldwork is to be completed and the final SPSS data set together with all documentation including
the final list of experts are provided to the GEM Data Team at data@gemconsortium.org by the
deadline specified in the Annual Schedule.
5) Issues
Teams must respond to all issues identified in the NES data review process.
