SEARCH, SELECTION and PLACEMENT SERVICES

between
TPPH - CRM, Inc. (Teleperformance) and _______________
I. TERMS
This agreement shall be effective December 5, 2014 to April 1, 2015. Should
either party wish to terminate the contract earlier than stipulated, the requesting
party should inform the other party through written notice of intent to terminate 60
days prior to the effective date of termination.
Either party may terminate this agreement by written notice in the event of:
1. The other ceasing to conduct is regular trade or change of its regular trade
2. The other being unable to pay its debts as they fall due
3. The other committing any material breach of this agreement or of another
confidentiality of proprietary document and such breach remains uncured for more
than 30 days from the non-breaching partys written notice
4. Change in material conditions of the non-terminating party which are detrimental
to the interest of the terminating party
II. SCOPE OF WORK
TPPH - CRM, Inc. will engage the services of ___________________ . The services
shall include, but not be limited to, sourcing, researching, screening, preliminary
and in-depth interview, testing and evaluation of agents.
Vendor Accreditation
New Vendors will be evaluated for a period of three (3) months. Vendor must be
able to comply with all the requirements before they can be considered as a partner
of TPPH - CRM, Inc.
1. Vendor must meet and submit the minimum requirements of the vendor
accreditation form
2. Vendor must be able to provide at least 10 hires per month or a total of 30 hires
for 3 months
3. Vendor must undergo calibration sessions with TPPH - CRM, Inc.
4. Vendor was able to meet their committed number of hires during the trial period
If the vendor did not meet the requirements stated above, Vendor may, at the sole
option of TPPH - CRM, Inc., undergo another trial period after two (2) months.
Recruitment Process
Hiring Profile

TPPH - CRM, Inc. will provide the following information prior to vendors
endorsement of candidates:
1. Profile of the agents per account
2. Monthly hiring ramp based on account profile and location
3. Conduct calibration sessions with the Recruitment team and recruitment process
every 6 months
Pre-endorsement Procedure
Vendor should provide its own initial screening stage and/or align with the initial
interview process of TPPH - CRM, Inc. It is assumed that the vendor has already
completed the initial stage from their end by having the candidates undergo:
1. Initial Interview
2. Test Administration (Language and Grammar Proficiency, Typing, and Internet
Navigation Tests)
3. Background investigation - standard background check information needed
(complete name, complete address, court cases, education, employment
background most recent which includes salary, tenure, reason for leaving
employer, clearance from last employer and performance feedback)
Endorsement Procedure
Vendor must provide an endorsement slip to their candidates prior to endorsement
date. Candidate must be able to present the slip and confirm that they were
endorsed by the vendor at the time of such candidates application with TPPH CRM, Inc.
Endorse Anywhere
Vendor may endorse to any of our TPPH - CRM, Inc. or its affiliates sites provided
they closely coordinate with TPPH - CRM, Inc. for ramp requirements.
Performance Metrics
Vendors must maintain the minimum over-all hit rate of 15%. Vendors must undergo
a regular quarterly performance review and should they not meet the performance
metrics indicated above, at the option of TPPH - CRM, Inc., (i) they will be placed on
an improvement plan for a period of 1-3 months, or (ii) TPPH - CRM, Inc. may
terminate this agreement for breach.
Post-endorsement Procedure
Vendor should assist the completion of the pre-employment requirements of the
hired candidates including but not limited to physical and medical examinations,
NBI clearance, TIN and SSS #.
Feedback System

As a feedback mechanism, TPPH - CRM, Inc. will provide information on the


following:
1. Send
2. Send

status of endorsed candidates per week


list of hires per week
list of billed candidates that needs to be replaced per week
quarterly performance rating for review and evaluation

III. PAYMENTS
Placement Fees
TPPH - CRM, Inc. shall pay the Vendor the following placement fees for CSR and
TSR candidates who were able to complete 7 days of employment with TPPH CRM, Inc.
TPPH - CRM, Inc. shall pay the Vendor the following placement fees for
Multilingual representatives who were hired and passed the Product Specific
Training of TPPH - CRM, Inc.
Agent Requirements
CSR and TSR (Level 1 & 2 Representatives) Php 20,000.00 per hired candidate
Multilingual Representatives - 12% of monthly basic x 12 + Language Premium x 12
Special Premium
Periodically, TPPH - CRM, Inc. will offer special premium on top of the agreed
placement fee for CSR and TSR hires with communicated guidelines.
Amounts are exclusive of VAT and subject to corresponding withholding taxes
Limitations and Exceptions
TPPH - CRM, Inc. will not be responsible for payment of placement fees under the
following conditions: (a) if an individual is hired through TPPH - CRM, Inc.'s own
sources (i.e., sources TPPH - CRM, Inc. has access to separate from any information
provided by vendor); (b) if a candidate is endorsed by vendor but was not solicited
by TPPH - CRM, Inc.; or (c) if the vendor endorsing a candidate does not have a
currently valid vendor agreement in place with TPPH - CRM, Inc. and a copy of the
TPPH - CRM, Inc.s written confirmation of the hiring of the candidate.
Mode of Payment
Agent Requirements
The fees (100%) are payable upon written confirmation by TPPH - CRM, Inc. that the
candidate has been hired by TPPH - CRM, Inc. and/or its affiliate and who were able
to complete 7 days of employment with TPPH - CRM, Inc. for CSR and TSR
candidates and Product Specific Training for Multilingual Representatives.

Terms of Payment
Agent Requirements
Payment shall be made within 30 days from the date of receipt of the complete and
accurate invoice. Invoice/billing statement shall be subject to validation and
certification by the Recruitment Sourcing Team of TPPH - CRM, Inc.
Every Monday TPPH - CRM, Inc. POC for business partners will send a list of hired
agent level candidates for the previous week
Every Thursday Accredited vendor submits to TPPH - CRM, Inc. POC for business
partners the SOA to be endorsed to Accounting the Request for Payment
Accredited vendor to follow up release of check payment with:

Invoice Dispute
The parties shall in good faith and take all reasonable endeavors to resolve any
disputes regarding the services rendered pursuant to this agreement.
Off set or Warranty
Work Guarantee Period
If within Three (3) months from placement of the candidate, the candidate is unable
to work, or is terminated for any reason, or voluntarily resigns, vendor will be
obligated to replace the said candidate free of charge and/or vendor authorizes
TPPH - CRM, Inc. to deduct from or off set the amount due to be paid by the
vendor.
TPPH - CRM, Inc. must inform the vendor 1 month (30 calendar days) within the
candidates termination date for this to be eligible for the offset. Replacement of
candidate should be within 1 month (30 calendar days) from the date of advice from
TPPH - CRM, Inc.
This would be a continuous replacement until the placement of the candidate will
reach the work guarantee period of 3 months from date of hire.
If vendor will not be able to replace due to any reason, vendor will credit TPPH CRM, Inc. account with 100% of the fee charged.
The warranty applies only if payment of the placement fees has been made.
Vendor Warranty

Vendor represents and warrants that vendor and its vendor-supplied candidates
have the authority and right to perform the services required under this agreement
in accordance with all laws and without violation of any obligations to others; and
that vendor and its vendor-supplied candidates have the legal right to disclose to
TPPH - CRM, Inc. all information transmitted to TPPH - CRM, Inc. hereunder.
IV. CONFIDENTIALITY
Non-disclosure
Vendor shall hold in strictest confidence all information provided herein, which shall
all be considered as the confidential information of TPPH - CRM, Inc., and prevent
disclosure of such confidential information.
Non-use
Vendor shall not make any use or copies of the confidential information except as
approved in written form by TPPH - CRM, Inc.
Use of TPPH - CRM, Inc.s logo or official name for marketing purposes should be
cleared with TPPH - CRM, Inc. prior to release.
V. APPLICANT OWNERSHIP OF VENDOR
Endorsement of an applicant by the Vendor shall be valid for 2 months from the
date of first interview with the Recruitment Team of TPPH - CRM, Inc. Candidate
must be able to present a valid endorsement slip from the Vendor to TPPH - CRM,
Inc.s Front desk officer at the application date of such candidate. This applies to
both first time and reapplications.
If two or more vendor submits the same applicant, TPPH - CRM, Inc. shall inform
the vendor when sending the Endorsement updates every Monday. The vendor that
is stated on the endorsement slip and/or declared by the candidate will be the basis
on who has ownership over the candidate.
VI. NOT QUALIFIED APPLICANT OF TPPH - CRM, INC.
Applicants who do not pass the examinations and interviews of TPPH - CRM, Inc.
can be endorsed by the vendor after 2 months from the last examination and/or
interview. Previous TPPH - CRM, Inc. or its affiliates employees will automatically
be tagged as rehires and will not be considered as valid endorsements.
VII. TPPH - CRM, Inc. EMPLOYEE PROTECTION
Contractor shall not proactively solicit any TPPH - CRM, Inc. employees for job
opportunities either with the vendor or other clients of the vendor.
NON-SOLICITATION

For the duration of this agreement, and within eighteen (18) months after its
expiration, Vendor agrees that it shall neither call nor solicit, either for its company
or any other person, firm, corporation or other entity, any of the employees of
TPPH - CRM, Inc. or of its affiliates.
VIII. GIFT-GIVING PROHIBITION
TPPH - CRM, Inc. aims to build and maintain solid relationships with suppliers
based on integrity in words and actions, and never rely on personal inducements,
benefits, gifts or favors. The acceptance of any gift (of substantial value), monies,
rebates, loans, commissions, services, favors, tickets to sporting events or
remuneration of any kind by any of our employees, employee family members or
any third party on behalf of TPPH - CRM, Inc. employees is prohibited. Gifts are
deemed unnecessary to enhance mutually profitable relationships with the
Company.
IX. ETHICS PROVISIONS
TPPH - CRM, Inc. implements its Policy against Fraud and Conflict of Interest
to ensure that the company, its affiliates, and their respective employees and its
authorized representatives maintain integrity and professionalism in all business
engagements for and on behalf of the TPPH - CRM, Inc.
Integrity and professionalism are two of the foundational corporate values at TPPH
- CRM, Inc. Both employees and suppliers are expected to have the highest level of
business ethics as they work with one another. Excellence in product development,
marketing, engineering, manufacturing, and all supporting functions must be the
source of the competitive advantages in Cost, Environmental Responsibility,
Technology, Responsiveness, Assurance of Supply, and Quality (CETRAQ).

Each of the parties represents and warrants that the undersigned individuals who
execute this agreement have full legal authority to execute this agreement and
thereby bind the parties to full performance as of the effective date.
X. GENERAL PROVISIONS
Indemnification. Vendor shall defend, indemnify and hold harmless TPPH - CRM,
Inc., its affiliates, and its agents, representative, officers and directors from and
against any loss, liabilities, claims, or damages in connection with or arising out of
our breach of this agreement or vendors fault or gross negligence.

Assignment. Vendor's rights and obligations pursuant to this agreement are


personal to vendor and may not be assigned or transferred to any other person,
firm, corporation or other entity without the prior written consent of TPPH - CRM,
Inc.
Governing Law. This Agreement, and all disputes hereunder shall be governed by
and construed and enforced in accordance with the laws of the Philippines and
submitted before the proper courts of the City of Makati.
