interactionwithZagatsInstagrampagsandincreasefollowers.Judgeswillchooseeachdayswinner.

3.BindingAgreement:
InordertoentertheContest,youmustagreetothetermsandconditionsofthe
contest(the"OfficialRules"orRules).TheseRuleswillformalegallybindingagreementbetweenZagat
andyouwithrespecttothisContest,pleasereadthemcarefully.YoumaynotsubmitanEntrytothe
ContestandyouwillnotbeeligiblefortheprizesdescribedintheseRulesunlessyouagreetotheseRules.
YouagreethatsubmissionofanEntryintheContestconstitutesyouragreementtotheseRules.

ofZagatInc.,itsaffiliates,andanyrepresentativesoragenciesofZagatorotherpersonsprofessionally
connectedwiththeContestarenoteligibletoparticipate.ThisContestisvoidwhereprohibited.

5.ContestPeriod:
TheContestbeginsat12:00:01A.M.PacificTime(PT)onFebruary23,2015andends
on11:59:59P.M.PacificTime(PT)onFebruary28,2015.Entrieswillbeacceptedfrom12:00:01A.M.
PacificTime(PT)onFebruary23,2015andendsat11:59:59P.M.PacificTime(PT)onFebruary28,2015.
UsersareresponsiblefordeterminingtheEntrytimesintheirlocaltimezone.

6.HowToEnter:
ContestantsmustsubmitatleastonephotoviaInstagrambetween12:00:01AMPacific
Time(PT)onFebruary23,2015and11:59:59PMPacificTime(PT)onFebruary28,2015tobe
consideredforoneofthefiveprizes.WinningphotoswillbechosenonMarch1,2015byapanelofjudges
fromZagat.Toqualifyforconsiderationforprizes,contestantsmustInstagramaphotoincludingthe
hashtag#ZagatLovesCoffeeandagreetotheOfficialRulesoftheContest.

7.Conduct:
ByenteringtheContest,youagreetocomplywithandbeboundbytheseOfficialRules,which
willalsobepostedontheWebsite.FailuretocomplywiththeseRulesmayresultindisqualificationfrom
theContest.Youfurtheragreetocomplywithandbeboundbythedecisionsofthejudges,whicharefinal
andbindinginallrespects.ZagatreservestherightinitssolediscretiontodisqualifyanyEntrantitfindsto
be:(1)tamperingorattemptingtotamperwiththeEntryprocess,publicvotinground,ortheoperationof
theContest(2)violatingtheOfficialRules(3)violatingthetermsofservice,conditionsofuseorgeneral
rulesorguidelinesofanyZagatpropertyorserviceor(4)actinginanunsportsmanlikeordisruptive
manner,orwiththeintenttoannoy,abuse,threatenorharassanyotherperson.Anyfalseinformation
providedwithinthecontextoftheContestbyanyEntrantconcerningidentity,postaladdress,ownershipof
rightornoncompliancewiththeRulesmayresultintheimmediateeliminationofanEntrantfromthe
Contest.ZagatfurtherreservestherighttodisqualifyanyEntrythatitbelievesinitssoleandunfettered

8.JudgingandSelectionofWinners:
JudgingwillbedonebyapanelofZagatemployeesorpartners
broughtinforspecificallyjudgingwinnersofthecontest.Photoswillbejudgedontheappealofthefood,
restaurantlocation,oranyotherphotographedelement.Winnerswillbeselectedthebusinessday
followingtheclosureofthecontestaspertherulesregardingtimeofsubmission.

PotentialwinnerswillbenotifiedoftheirwinningstatusviaInstagramthedayaftercontestcloses.Except
whereprohibitedbylaw,eachpotentialwinnermayberequiredtosignandreturnaDeclarationofEligibility
andLiabilityandPublicityReleaseandprovideanyadditionalinformationthatmayberequiredbySponsor.
Ifrequired,potentialwinnersmustreturnallsuchrequireddocumentswithinseven(7)

daysfollowing
attemptednotificationorsuchpotentialwinnerwillbedeemedtohaveforfeitedtheprizeandanother
potentialwinnerwillbeselectedbasedonthejudgingcriteriadescribedherein.Allnotification

9.Prizes:
Atthecompletionofthecontest,fivewinnerswillreceivea$100giftcard.Prizesdonotincludegratuity.If
thetotalcostisgreaterthanthatamount,winner(s)arefinanciallyresponsibleforanyadditionalcharges
andZagatisnotliable.Ifthetotalcostislessthanthatamountwinner(s)willNOTreceiveanyadditional
fundsordifferencebetweentheactualamountandthatamount.Totalapproximatevalueupto$100USD
perprize.

OddsofwinninganyprizedependsonthenumberofeligibleEntriesreceivedduringtheContestPeriod
andtheskilloftheEntrants.Theprizeswillbeawardedwithinapproximatelysix(6)weeksofreceiptby
Googleoffinalprizeacceptancedocuments.Notransfer,substitutionorcashequivalentforprizesis

EXTENTPERMITTEDBYLAW,YOUAGREETOHOLDZAGAT,ITSRESPECTIVEDIRECTORS,
OFFICERS,EMPLOYEESANDASSIGNSHARMLESSFORANYINJURYORDAMAGECAUSEDOR
CLAIMEDTOBECAUSEDBYPARTICIPATIONINTHECONTESTAND/ORUSEORACCEPTANCEOF
ANYPRIZEWON.
