This SECURITY SERVICE AGREEMENT, made and entered into this [] day of April,
2015 in [], Philippines, by and between:
CAVITE BIOFUELS PRODUCERS, INC a corporation duly
organized and existing under the Philippine Law with
address located at Cavite Biofuels Ecozone, Sitio Lobo
Lobo Brgy Caluangan Magallanes, Cavite represented by
its President, Mr. Job Adrian Ambrosio,(hereinafter
referred to as CBPI);
And
MATEO M. ATIENZA, proprietor of ASSAS SECURITY
AND INVESTIGATION AGENCY with office located at
Medina, Magallanes, Cavite, (hereinafter referred to as the
AGENCY)
WITNESSETH:
WHEREAS, the AGENCY, being duly licensed and qualified to render security
services, has offered to guard and protect the premises, properties and
employees/personnel of CBPI located at Cavite Biofuels Ecozone, Sitio Lobo Lobo
Brgy Caluangan Magallanes Cavite;
WHEREAS, CBPI being in need of such specialized services has agreed to
avail of the services of the AGENCY subject to the terms and conditions hereinafter
specified.
NOW, THEREFORE, the Parties hereto agree and do hereby mutually bind
themselves as follows:
1. AREA OF RESPONSIBILITY
1.1 The AGENCY shall provide security services of the CBPI premises
and its offices, properties (either owned or held in trust for third persons)
located at Cavite Biofuels Ecozone, Sitio Lobo Lobo Brgy Caluangan
Magallanes Cavite, more specifically hereinafter referred to as the Area of
Responsibility (AOR).
1.2 Special requirements of the area of responsibility, aside from those
stipulated in the Terms of Reference (TOR), must first be mutually agreed
upon by the Parties in writing.

3. GUARD FORCE
The AGENCY shall deploy (Number in Words and Figures) security
guards in the AOR to cover 24-hour security seven (7) days a week, under
eight (8) hours and twelve (12) hour duty shifts as specified in the schedule
of deployment hereto attached as Annex (); provided, that CBPI reserves the
right to amend said schedule of deployment whenever deemed necessary;
provided further that the number of contracted guards may be increased or
decreased any time upon the written instruction of BCDA.
Should the need arise and upon amenability of the AGENCY, the latter
should be able to increase the number of security guards deployable to other
areas of responsibility like areas covered by CBPI affiliates/subsidiaries at
any given time and upon written notice from CBPI.
4. QUALIFICATIONS OF SECURITY GUARDS
4.1 The AGENCY shall submit the Curriculum Vitae and work
experiences in security operations of the nominated Detachment
Commanders and Shift-in-Charge for the AOR to enable CBPI to determine if
they satisfy its requirements.
4.2 The security guards to be deployed must possess the following
minimum qualifications:
a) Must be at least a high school graduate;
b) Of good moral character and reputation; must be courteous,
alert and without any criminal or police record;
c) Physically fit,
d) between twenty-one (21) to forty (40) years of age, and at
least five (5) feet and four (4) inches in height, except those who are
occupying officer levels;
e) Must have passed the neuro-psychiatric examination and
standard drug tests to be administered by CBPI or its authorized
representatives/entities at the expense of the AGENCY; and
f) Must be duly licensed, properly screened, and cleared by the
Security Agencies and Guards Supervision Division (SAGSD) of the
Philippine National Police (PNP), the National Bureau of Investigation
(NBI) and Barangay Chairman;
g) Preferably with First Aid Training
h) Such other qualifications as CBPI may deem necessary in the
course of the implementation of this Contract.

tend to prejudice the interest of CBPI. CBPIs decision on the matter shall be
final and binding. Failure on the part of the AGENCY to take appropriate action
thereon within forty-eight (48) hours from receipt of formal advice from CBPI
shall be considered a cause for the termination of the Contract.
12. EFFECTIVITY
12.1 This Contract shall be effective for [] years from the date of actual
deployment of guards in the AOR, unless sooner terminated in accordance
with the provisions of Article 13. For said purpose, the AGENCY shall inform
CBPI in writing of the exact date of such deployment of guards.
12.2 This Contract may be extended or renewed monthly by CBPI for
up to twelve (12) months, as the exigency of the service may require and
subject to the result of the performance evaluation of the AGENCY,
availability of funds, and upon mutual agreement of both Parties.
13. TERMINATION
Either Party may terminate this Contract for breach of any provision
thereof and for other legal causes by written notice given to the other party
at least two (2) weeks before the intended date of termination.
14. DISPUTE RESOLUTION
14.1 Any dispute or controversy between the Parties in connection with
or arising from this Contract shall, as far as practicable, be settled by the
Parties amicably.
14.2 During the pendency of any such dispute, the AGENCY shall
proceed diligently with the performance of its obligations and undertakings
under this Contract as directed by CBPI.
14.3 Should CBPI be constrained to resort to court action to enforce or
safeguard its rights and interest under this Contract, the AGENCY shall be
liable to CBPI for attorneys fees in an amount equal to twenty percent (20%)
of the total sum claimed in the Complaint, but in no case less than
P50,000.00, whichever is higher, exclusive of damages and the expenses of
litigation. Any and all disputes arising out of this contract shall be filed by the
Parties in the proper court of Makati City, Metro Manila, to the exclusion of all
other courts, bodies and tribunals.
15. AMENDMENT
Except as expressly provided in the Contract, no modification of the
terms and conditions or any of the provisions hereof shall be made except by
a written instrument which shall be signed by both Parties hereto.

The AGENCY warrants that it has not given or promised to give money,
gift or any material favor/consideration to any officer or employee of CBPI to
secure or in consideration of this Contract and that any violation of this
warranty shall be sufficient ground for CBPI to revoke or cancel the same with
or without need of judicial action by giving written notice to that effect to the
AGENCY.
