NB. The Offeror shall create 2 archive files (*.zip format only!): one should include technical
proposal,anotheroneshouldincludefinancialproposalandbeencryptedwithpassword.Bothfiles
shouldbeattachedtotheemailletter.

During evaluation process only technically compliant companies will be officially asked by UNDP
procurement unit via email to provide password to archive with financial proposal. Please do not
includethepasswordeithertoemailletterortechnicalproposalanddisclosebeforeofficialrequest.
Messages should not exceed 5 MB in size. Offers larger than 5 MB should be split into several
messagesandeachmessagesubjectshouldindicatepartxofybesidesthemarkingmentionedin
theannouncementandthesolicitationdocuments.Messageslargerthan5Mbwillnotbedelivered.

Note:iftheemaillettersorachievefilesarenotmarkedaspertheinstructionsinthisclause,the

Servicesproposedshallbereviewedandevaluatedbasedoncompletenessandcomplianceofthe
ProposalandresponsivenesswiththerequirementsoftheRFPandallotherannexesprovidingdetailsof
UNDPrequirements.

TheProposalthatcomplieswithalloftherequirementsmeetsalltheevaluationcriteriaandoffers
thebestvalueformoneyshallbeselectedandawardedthecontract.Anyofferthatdoesnotmeetthe
requirementsshallberejected.

AnydiscrepancybetweentheunitpriceandthetotalpriceshallberecomputedbyUNDP,and
theunitpriceshallprevailandthetotalpriceshallbecorrected.IftheServiceProviderdoesnotaccept
thefinalpricebasedonUNDPsrecomputationandcorrectionoferrors,itsProposalwillberejected.

Nopricevariationduetoescalation,inflation,fluctuationinexchangerates,oranyothermarket
factorsshallbeacceptedbyUNDPafterithasreceivedtheProposal.AtthetimeofAwardofContractor
PurchaseOrder,UNDPreservestherighttovary(increaseordecrease)thequantityofservicesand/or
goods,byuptoamaximumtwentyfivepercent(25%)ofthetotaloffer,withoutanychangeintheunit
priceorothertermsandconditions.

AnyContractorPurchaseOrderthatwillbeissuedasaresultofthisRFPshallbesubjecttothe
GeneralTermsandConditionsattachedhereto.ThemereactofsubmissionofaProposalimpliesthatthe
ServiceProvideracceptswithoutquestiontheGeneralTermsandConditionsofUNDP,hereinattachedas
Annex3.

5.1. RelevantProjectBackground
Thelightingsectorconsumessignificantamountsofenergy,whereassubstantialsavings,from75%to
90% compared with conventional practices, can be achieved through the use of new energy efficient
technologies.Atthenationallevel,severalOECDanddevelopingcountrieshavepreparedandenacted
EnergyEfficientLighting(EEL)programsaimedatphasingoutincandescentlampsandotherinefficient
technologies. Such programs reduce energy use by 30% within 5 to 7 years, while quality and even
quantityoflightingisenhanced.Representativesoftheleadinglightingmanufacturersannouncedtheir
support for this ambitious market transformation calling for a coordinated effort among all countries
worldwide.

Despite the fact that Ukraine offers one of the worlds greatest potentials for energy savings and
greenhouse gas (GHG) emission reductions in the lighting sector, the country has so far not achieved
significantimprovementsinenergysavingsfromenergyefficiencyinlighting.

TheoverallobjectiveofUNDP/GEFProjectTransformingtheMarketforEnergyEfficientLightingisto
facilitatethemarketstransitionovertoEElightingtechnologies,byremovingtheexistingimpediments,
contributingtherebythereductionofGHGemissions.

OneoftheProjectgoalsistodevelopandimplementenergyefficientlightingdemonstrationprojects

Relevanceofthestudy

A number of pilot projects were implemented during 20122014 years in order to demonstrate
advantages of energyefficient lighting technologies and thus to lead to reduction of greenhouse
emissions.Inparticulartheseare:

6. Objectives,scopeandresultsofstudy

7. Methodology,TimingandLogistics

7.1. Methodology
To accomplish the task the Contractor shall use approved state methodology and tools to
completeenergyauditofpilotprojects.AlsotheContractorshouldhaveacertifiedemployeefor
suchactivity.
7.2. CommencementDateandPeriodofExecution:ThisassignmentwillcommenceinNovember
2014 and will remain effective during 1 month (as mentioned in the Tentative Workplan
below).

8.3. Management
TheContractorwillberesponsibleformanagingtheprocessofthetask,itshumanresources,logisticsand
expendituresrelatedwiththetasksintermsoftimeandadequacyincloseconsultationswiththeUNDP.
Thecontractingagencywillwork,throughadeputedrepresentative,TeamLeader,closelywiththeUNDP
ProjectManagerinUkraineandtheLocalconsultantonProjectimplementation.
workprogress reporting/monitoring meeting will be held with the Contractor on a monthly basis,
howeverUNDPmayrequestinformationaboutcurrentstudystance.UNDPProjectManagerinUkraine
willbethefinalauthoritytocontrolthequalityandevaluatethework.

9. Reports

9.1.
Reportingrequirements:
The Contractor shall provide the Studys interim progress reports and a final report (in soft and hard
copies)incorporatingfinalrecommendationsinUkrainianaccompaniedbyauthor'ssummaryinEnglish.
InterimandFinalReportsshallincludeallresultsinfullcompliancewiththeTermsofReferenceandin
accordancewiththeWorkPlan.
Itisimperativetoincludeintotheforegoingreportsthefollowing:charts,quantitativeandqualitative
commentsfortheworkscarriedout,aswellastoupdatethereofandmakechangestheretoifnecessary.

This model contract is intended for services (studies, consultancies by firms, etc) to be obtained from companies as well as from NGOs,
Universities, etc. It is not to be used for procuring goods or works. Any substantial deviations to the text should be made in consultation with BOM.

If there are updates to the technical proposal or correspondence exchanged in clarification of certain aspects, reference them too, provided that
they are fully acceptable to UNDP. Otherwise, aspects which resolution is pending should be dealt with in this letter itself or in the Terms of

UNDP. Such payments shall be subject to any specific conditions for reimbursement contained in the

4.

Specialconditions11

4.1 The responsibility for the safety and security of the Contractor and its personnel and property, and of
UNDPspropertyintheContractorscustody,restswiththeContractor.
4.1.1.

Security

TheContractorshall:
(a) putinplaceanappropriatesecurityplanandmaintainthesecurityplan,takingintoaccountthe
securitysituationinthecountrywheretheservicesarebeingprovided;
(b) assumeallrisksandliabilitiesrelatedtotheContractorssecurity,andthefullimplementationof
thesecurityplan.
4.1.2

4.2

UNDPreservestherighttoverifywhethersuchaplanisinplace,andtosuggestmodificationstotheplan
whennecessary.Failuretomaintainandimplementanappropriatesecurityplanasrequiredhereunder
shallbedeemedabreachofthiscontract.Notwithstandingtheforegoing,theContractorshallremain
solelyresponsibleforthesecurityofitspersonnelandforUNDPspropertyinitscustodyassetforthin
paragraph4.1above.

AuditsandInvestigations
EachinvoicepaidbyUNDPshallbesubjecttoapostpaymentauditbyauditors,whetherinternalorexternal,
ofUNDPortheauthorizedagentsoftheUNDPatanytimeduringthetermoftheContractandforaperiod
ofthree(3)yearsfollowingtheexpirationorpriorterminationoftheContract.TheUNDPshallbeentitled
toarefundfromtheContractorforanyamountsshownbysuchauditstohavebeenpaidbytheUNDPother
thaninaccordancewiththetermsandconditionsoftheContract.Shouldtheauditdeterminethatanyfunds
paidbyUNDPhavenotbeenusedaspercontractclauses,thecompanyshallreimbursesuchfundsforthwith.
Wherethecompanyfailstoreimbursesuchfunds,UNDPreservestherighttoseekrecoveryand/ortotake
anyotheractionasitdeemsnecessary.

4.2.1

4.3

TheContractoracknowledgesandagreesthat,atanytime,UNDPmayconductinvestigationsrelatingto
any aspect of the Contract, the obligations performed under the Contract, and the operations of the
Contractorgenerally.TherightofUNDPtoconductaninvestigationandtheContractorsobligationto
complywithsuchaninvestigationshallnotlapseuponexpirationorpriorterminationoftheContract.
The Contractor shall provide its full and timely cooperation with any such inspections, postpayment
audits or investigations. Such cooperation shall include, but shall not be limited to, the Contractors
obligation to make available its personnel and any documentation for such purposes and to grant to
UNDPaccesstotheContractorspremises.The Contractorshallrequireitsagents,including,butnot
limitedto,theContractorsattorneys,accountantsorotheradvisers,toreasonablycooperatewithany
inspections,postpaymentauditsorinvestigationscarriedoutbyUNDPhereunder.

Antiterrorism
TheContractoragreestoundertakeallreasonableeffortstoensurethatnoneoftheUNDPfundsreceived
underthisContractareusedtoprovidesupporttoindividualsorentitiesassociatedwithterrorismandthat
the recipients of any amounts provided by UNDP hereunder do not appear on the list maintained by the
Security Council Committee established pursuant to resolution 1267 (1999). The list can be accessed via
http://www.un.org/Docs/sc/committees/1267/1267ListEng.htm.Thisprovisionmustbeincludedinallsub
contractsorsubagreementsenteredintounderthisContract.

4.4

Theadvancepaymenttobemadeuponsignatureofthecontractbybothpartiesiscontingentuponreceipt
andacceptancebyUNDPofabankguaranteeforthefullamountoftheadvancepaymentissuedbyaBankand
inaformacceptabletoUNDP.12

The amounts of the payments referred to under section 3.6 above shall be subject to a deduction of
