Eclipse Channel Online Film Contest Official Rules

1. How To Enter

To enter, fill out the necessary information on the submission form and mail an
original DVD of your film to the address found on the Terms and Conditions
document, which must be signed. The submitted video must be between 6 and
30 minutes in length (with the exception of the Feature Length Film Contest),
and must include audio, music, dialogue, and/or voiceover. It must also meet
the spec criteria on the submission form and be shot in HD or be at least High
Quality. See Contest Schedule for submission deadlines.

2. Eligibility

Open to U.S. and non-US residents 18 years of age and older. Employees of
Eclipse Channel (the “Sponsor”); as well as members of their family (spouses,
parents, siblings, children) or households are not eligible to participate. The
Eclipse Channel is a U.S. based company and is therefore governed by
applicable U.S. federal and state laws.

3. Conditions of Entry

Work submitted must be the original creation of the entrant. The producer
understands and agrees that any material that is copyrighted protected by trade
secret or otherwise subject to third party proprietary rights, including privacy ad
publicity rights, will not be accepted unless the producer is the owner of the said
rights or has written permission to broadcast content. Only one submission per
month per producer is permitted.

4. Selection of Winners

Viewers will have the opportunity to vote for each film. The top-rated film will
then advance to the finals after, which will be held in January 2011, to compete
for the Grand Prize. To protect the integrity of the contest, spam voting is
prohibited. All voters must have an account with Eclipse Channel. Each month,
the winner will be notified via telephone, mail, or email once a selection has
been made.

5. Winner

In addition to advancing to the finals and compete for the Grand Prize, the
monthly winner’s film will be broadcast on Eclipse for one month after the
contest. This will give the winner world-wide exposure and allow he/she to share
their film and create an audience.

6. General Conditions
With each qualifying submission, the submitter grants Eclipse Channel, its
affiliates, representatives and assigns, a perpetual, worldwide, non-exclusive,
fully paid, royalty free, transferable, and sublicenseable right to use, reproduce,
distribute, prepare derivative works of, display, and perform the content in
connection with Eclipse Channel and Eclipse Channel’s, (its successors assigns
and third parties), distribution network and any other business, including without
limitation for promoting and redistributing part or all of Eclipse Channel’s
Network, (and derivative works thereof), in any media formats and through any
media channels now known or yet to be discovered. The submitter shall defend,
indemnify and hold Eclipse Channel, its parent and affiliate corporations, officers,
directors, employees, agents and assigns, harmless from any and all claims,
threatened claims, damages obligations, losses, liabilities, costs or debt and
expenses (including but not limited to attorney’s fees). The submitter also
accepts and understands that Eclipse Channel accepts no liability of any kind for
the unauthorized use of all or part of the submission by any person. Eclipse
Channel retains the right to broadcast films up to one year from the time of
