AFFIDAVIT

I, Shri Ramesh Kumar son of Risal Singh R/o 4, Hauz Khas Village, New Delhi-16,
Authorised Signatory of M/s Parkwood Infrastructure Pvt. Ltd. having its office at 10 th
floor, Hemkunt Chambers, 89, Nehru Place, New Delhi do hereby solemnly affirm and
declare as under:1.

That Mr. Shri Chand alongwith Mrs. Devki, Virender Singh etc. had approached M/s.
Parkwood Developers Pvt. Ltd. (hereinafter referred to as deponent) and had
represented that they all were lawful owners in possession of agricultural land bearing
khewat no. 107 khata no. 115 Rect. no. 5 killa nos. 18 (7-18) 19 (7-18) 22/1 (1-8) 22/2
(1-11) 23/1 (4-9) 24/1 (2-0) Rect. no. 6 killa no. 14/1 (6-8) total kita 07 measuring 31
kanals 12 marlas, khewat no. 108 khata no. 116 Rect. no. 5 killa nos. 22/3 (3-11) 23/2
(3-11) 24/2 (0-13) Rect. no. 14 killa no. 4/1 (1-8) total kita 4 measuring 9 kanals 3
marlas, khewat no. 110 khata no. 118 Rect. no. 6 killa nos. 14/2 (1-12) 15 (8-0) total
kita 2 measuring 9 kanals 12 marlas, khewat no. 111 khata no. 119 Rect. no. 5 killa nos.

measuring 73 kanals 16 marlas to the extent of 49 kanals 11 marlas situated in the
revenue estate of Mewka, Tehsil and District Gurgaon.

2. That Mr. Shri Chand and Devki etc. had conveyed to the deponent that they had entered
into a collaboration agreement dated 8th of October 2007 with M/s Deputy Gothwal
Construction Private Limited, a company incorporated under the Companies Act, 1956
and having its office at village Kankrola, post office Bhangrola, Tehsil and District
Gurgaon for development of a residential group housing project over land described
above and other land situated in its vicinity.
3. That Mr. Shri Chand who was then alive and other landowners named above had
communicated to deponent that in terms of collaboration dated 8th of October 2007 35%
of the built / unbuilt areas of the project alongwith proportionate rights in common
areas and facilities were to belong to them. It was further represented by Mr. Shri
Chand who was then alive and other landowners named above that they were full
fledged and lawful owners of land measuring 49 kanals 11 Marlas already described
above comprised in a residential sector 92 of the Gurgaon Manesar Urban Complex. It
was conveyed by Mr. Shri Chand and other landowners named above that they were
desirous of selling all their rights, title and interest in the aforesaid land along with all
rights of appurtenant thereto in favour of deponent as they felt that an unduly long
period would elapse before the Residential Group Housing Project was developed and
benefit of the same would accrue to them.

4. That the aforesaid land owners had entered into agreement of sale dated 23.4. 2010
pertaining to land measuring 49 kanals 11 marlas described above with the deponent.
Total sale consideration had been settled at Rs. 18,89,09,375/- (Rupees eighteen crores
eighty nine lacs nine thousand three hundred seventy five only) ( Rupees 3.05 crores
per acre). Out of total sale consideration a sum of Rs. 55,00,000/- (Rupees fifty five
lacs only ) had been paid initially towards advance part of sale consideration by the
deponent to the aforesaid land owners. Thereafter, a further sum of Rs.1,30,50,000/(Rupees one crore thirty lacs fifty thousand only) was paid by the deponent to the land
owners including Mr. Shri Chand towards advance part of sale consideration. Out of
the aforesaid amount a sum of rupees forty lacs was paid to Mr. Shri Chand vide cheque
bearing no. 825396 dated 23.4. 2010.
5. That the cheque referred to above was not got encahsed by Mr. Shri Chand. Thereafter,
a sum of Rs.1,35,00,000/- (Rupees one crore thirty five lacs only) had been received by
Mr. Shri Chand during his lifetime from the deponent by way of two account payee
cheques issued on behalf of the deponent towards advance part of sale consideration in
furtherance of agreement dated 23rd of April 2010
6. That the deponent has always been ready and willing and is still ready and willing to
perform his part of the agreement of sale dated 23.4. 2010. The deponent had always
got with him and still has got adequate funds to pay the balance sale consideration and
to incur stamp and registration expenses.
7. That Mr. Shri Chand died on 18th of August 2010. Mutation of his inheritance bearing
number 1532 has been sanctioned in favour of (1) Braham Prakash (2) Partap Singh (3)
Dharambir Singh (4) Subhash Singh (sons) (5) Savitri (6) Santosh (daughters) all
residents of village Mewka, Tehsil And District Gurgaon. Despite repeated requests
made by the deponent the land owners were not forthcoming to execute and register
sale deed in pursuance of the agreement referred to above. Previously also on 31st of
August 2010, the duly authorised person of the deponent after intimation to the
landowners.
8. That the heirs of deceased Mr. Shri Chand did not come forward to perform their part of
the contract on the stipulated date and presence in the shape of affidavit was got
recorded by the duly authorised person of the deponent on the said date. Since, even
thereafter the heirs of deceased Mr. Shri Chand were not coming forward to fulfil their
contractual obligations, legal notice dated 24.1.2011 was sent by the deponent to the
land owners both by registered AD and UPC. The said notice was duly received by the
sellers. By virtue of the said notice it was intimated to the sellers that deponent shall
remain present in the office of Sub Registrar, Gurgaon on 09.2.2011 alongwith adequate
funds to pay balance sale consideration and to incur stamp and registration

expenses. Deponent is accordingly present but the sellers mentioned above have not
come forward to execute and register sale deed upon receipt of balance sale
consideration. The presence of deponent may kindly be noted.

Verified at Gurgaon on 09.2.2011 that the contents of this affidavit are true and correct
to my knowledge and belief, no part of it is false and nothing material has been
concealed therein.
