MEMORANDUM OF AGREEMENT
An Agreement made this 11th day of December, , 2004 between Mr. Murli Menon, E/503,
Borsali Apt; Khanpur, Ahmedabad 380015, Gujarat (hereinafter called the AUTHOR) of
the one part, and Sterling Publishers Pvt. Ltd., A-59, Okhla Industrial Area Phase II, New
Delhi 110020 (hereinafter called the PUBLISHERS) of the second part, whereby it is
mutually agreed between the two parties hereto as follows :

The Author will deliver to the Publishers the complete typescript of the Work entitled (tentatively) ZeNLP
The Power to Relax (hereinafter called the Work),

The Author guarantees that the said Work in no way violates any existing copyright and that it contains
nothing of a libellous, seditious or scandalous nature and that he/she has full powers to make this
Agreement
The author hereby grants to the Publishers the sole and exclusive rights to print publish and sell the Work
during the legal terms of copyright throughout India

The Publishers will also have the right to publish, on the terms of this agreement, translations,
abridgements, or adaptations, of the text of the Work, charging fees and/or royalties payable to translators or
adapters against royalties payable to the Author/Editor on the sales of the said translations, abridgements, or
adaptations. Should the Publishers indicate in writing a refusal to publish a translation, abridgement or
adaptation of the Work in any language, the Author will be free to arrange elsewhere for a translation,
abridgement or adaptation in that particular language.

(i) The Publishers will, at their own risk and expense, produce and publish the Work and use their best
efforts to promote the sales through their usual channels of publicity, the production, publication and
sales.
(ii) The Author will, if the Publishers so require, supply an MSWORD manuscript of the Work, and the
publisher will get it edited, proof-read and cover design at publishers cost.

The Publishers will deliver to the Author free of charge 50 presentation copies of the Work, when ready,
and the Author will have the right to buy further copies for personal use at 50% percent discount in a lot of
100. The Publishers will be entitled at their discretion to present copies of every edition of the Work to
the editors of periodicals, teachers and other persons through whom , in their judgement, publicity will be
gained;
7. (i)The Publishers will pay to the Author a royalty of 10% (ten per cent) of the printed price of the
book on all copies sold in India
(ii) The Publishers will pay the Author Rs. 30000/- as advance against royalty as follows:
a) Rs. 15000/- on receipt of the complete manuscript and on signing of the agreement
b) Rs. 15000/- on publication of the book
(iii) In the case of Overseas Sheetdeals the Author will be entitled to 10% (ten per cent) royalty of the
amount received by the Publishers.
(v) The Publishers will have the first option to publish the Work in Paperback, in which case the
Publishers will pay to the Author a royalty of 10 percent of the printed price of the Paper-back edition
on all copies sold in India.
(vi) Should copies be sold at a reduced price, the royalty payable on copies so sold shall be reduced
proportionately, but if the copies are sold as remainders at cost or less than cost no payment shall be made
to the Author.

The account of royalty will run annually. The royalty account for books sold up to 31st March will be
submitted by 1st April, and the payment will be made within before 15 th April of the submission of
accounts.
10. In the event of the Publishers or Author being successful in arranging copyright publication in any other
language or in the event of any sums being received by them, in connection with the mentioned work, the
sum will be divided equally between the Author and the Publishers.
11. The rights and obligations under this Agreement belonging to and binding upon the Author and the
Publishers respectively will be binding upon the successors, assignees or the administrators of the Author
and of the Publishers respectively.
12. The copyright of the Work will revert to the Author if the Publishers fail to publish a new edition within
a year of the previous edition having been sold out.
13. All disputes and claims will only be settled in the Ahmedabad Courts only
