Partnership Agreement between

Ateneo LEX and UST LM Society

This Agreement is made and entered into by and between the Ateneo LEX and the UST
LM Society, herein referred to as, University of Sto. Tomas Legal Management Society.
In consideration of the premises and mutual promises set forth herein, the parties,
intending to be legally bound, hereby agree as follow:
1. Event. Ateneo LEX agrees to conduct the LMEx 1 (Legal Management Exchange 1)
which will be held on August 20, 2011.
2. Responsibilities of the Organization. Ateneo LEX will:
a. Provide a Memorandum of Agreement (MOA), which is sanctioned by the Loyola
Schools Office of Student Activities (LS-OSA).
b. General Provision # 1: Secure all logistical permits for the partners entry to
Ateneo at least 1 week before the activity)
1. Specific Task # 1.1: Obtain the needed information and details from the
partner organization ( i.e. list of names, vehicle plate numbers, etc.)
2. Specific Task # 1.2: Accomplish the reservation procedures with the OAS.
3. Specific Task #1.3: Provide on the day itself or beforehand the approved
entry permits by the OAS for the partner organizations entry into campus.
c. General Provision # 2: Ensure an organized and systematic program flow of the
event.
1. Specific Task # 2.1: Prepare an organized and systematic program flow of
the event, to be given to the UST LM Society representatives beforehand
for reference.
2. Specific Task # 2.2: Confirm and follow-up the availability of the professors
assigned to provide talks and simulation classes.
3. Specific Task # 2.3: Distribute Manual kits on the day of the event itself as
reference for the agendas and important information relevant to the event.
4. Specific Task # 2.4: Facilitate particular activities, such as campus tour,
simulation classes, talks and open forum for better appreciation and
understanding of Legal Management that is beneficial and practical in the
fields of business and law.
5. Specific Task # 2.5: Conduct a creative and an effective means, such as
group dynamics and open forums, which would engage both participants
from the Ateneo LEX and UST LM Society to interaction.
d. General Provision # 3: Provide snacks and drinks for the participants at the
latter part of the program after evaluation forms are distributed and retrieved.
1. Specific Task # 3.1: Distribute the evaluation forms to the participants of
both Ateneo LEX and UST LM Soc.
2. Specific Task # 3.2: Simultaneously retrieve the evaluation forms from the
participants and give the snacks and drinks.
e. Have to first consult, collaborate or take into consideration any change(s) to LMEx
1 (Legal Management Exchange 1) intended to be made by organization and act

on any of partner organization concerns and suggestions (if deemed legal, effective
and achievable by organization in collaboration with OSA).

3. Partner Organization Responsibilities. In exchange for promotional tie-ins with

the event, the UST LM Society will:
a. Sign this Memorandum of Agreement (MOA).
b. Specific Task #2: Provide the organization with the needed information about the
partner organization at least a month before the activity. (i.e. list of participants)
c. Specific Task #3: Take charge of transportation of the UST LM Society
participants to and from Ateneo.
d. Specific Task #4: Bring its own budget in expense of food served in the cafeteria
in Ateneo
e. Specific Task #5: Participate in the activities prepared by the Ateneo Lex.
f. Abide by all rules and regulations provided by the Ateneo de Manila University
and Be held liable and accountable in the event of violations by UST LM Society
participants of Ateneo policies and the rules provided by the Ateneo Lex
g. Be held liable and accountable for any unforeseen loss or theft of their
participants.
h. Take responsibility, alongside the Ateneo Lex, in maintaining the discipline among
the participatory crowd.

Consult with and channel their concerns or requests through organization.

4. Term and Termination. This Agreement shall be effective from the date of the
signing of this Partnership Agreement through the end of the aforementioned events.
If when cases a breach of contract happened, the Ateneo de Manila University Loyola Schools Office of Student Activities shall intervene in behalf of the
organization in seeking legal actions.
5. Termination for Default. Organization by written notice, may terminate this
Agreement in whole or in part for failure of the partner organization to perform any
of the provisions herein.
6. Force Majeure. Neither party shall be responsible for events beyond its reasonable
control, such as acts of God, weather delays, or other fortuitous events. If the event
is postponed due to inclement weather or other conditions beyond organizations
control, it may be rescheduled for another time.

7. Entire Agreement. This Agreement contains the entire understanding between the
parties relating to the subject matter contained herein and supersedes any all prior
agreements, arrangement, communication, or representations, whether oral or
written. This Agreement may not be amended, altered, modified or changed except
through a written document signed by both parties.
