DEED OF PARTNERSHIP AGREEMENT

This DEED OF PARTNERSHIP AGREEMENT is made on 08th Mar 2014.

This DEED OF PARTNERSHIP AGREEMENT has been made among the below partners:

Terms and Conditions:

1. Ahmed Impex Enterprises has remained a sole proprietorship firm until 6th Mar
2014, where the 100% ownership of this firm was held by Mr. Khairuddin
Ahmed, National ID card no. 2699501937814. On 8th Mar 2014, Mr. Khairuddin
Ahmed has been decided to dissolve the sole proprietorship business pattern
and been decided to join the above partners to Ahmed Impex Enterprises, and
convert the firm pattern from sole proprietorship to partnership firm.
2. This partnership shall begin on 8th Mar 2014 and that the duration of the
partnership business is not limited and the partnership business shall continue
as long as long as the parties hereto desire to continue the same.
3. All the partners have been agreed to maintain the name of the firm as of
Ahmed Impex Enterprises.
4. That the capital of the partnership business will be such amount which will be
credited in the personal ledger account of the parties hereto equally as per
requirement from time to time.
5. That the objects for which this partnership firm is established are:
a. To carry on all sorts of export of Live/ Frozen/ Chilled EEL fish, crab, sea
food, fresh fruits, fresh vegetables, garments clothes/ accessories, and to
export of any other government approved legal products/ services to
overseas countries.
b. To conduct imports of various households, commercial, food and
beverage, electronics, and other government approved products/ services.

6. That the head office of the partnership business will be based at Dhaka and
branch office or offices if there be any to such other place or places in
Bangladesh as may be considered convenient by them from time to time.
7. Profit and Loss:
The net profits of this partnership shall be divided equally between the partners
and the net losses shall be borne equally by them. A separate income account
shall be maintained for each partner. Partnership profits and losses shall be
charged or credited to the separate income account of each partner. If a partner
has no credit balance in their income account, losses shall be charged to their
capital account.
8. Salaries and Withdrawals:
Neither partner shall receive any salary for services rendered to the partnership.
Each partner may, from time to time, withdraw the credit balance in their income
account.
9. The partners have been agreed that the banking transactions of this business
shall be done to any scheduled bank of Bangladesh. The bank account can be
independently operated by the signatory of any of one individual partner of
Ahmed Impex Enterprises.
10.That any partner who is authorized in writing by all partners shall be entitled to
sign tenders, quotations, petitions, bills, vouchers, invoices, claims individually
on behalf of the partnership firm.

11.That any partner may retire from partnership voluntarily but he shall have to
give 90 (ninety) days notice thereof in writing to the another partner intimating
his intention to retire and within 90 (ninety) days of such notification the assets
and liabilities of the partnership business shall valued according to the books of
accounts of the partnership firm and the share of the outgoing partner shall be
determined in accordance with the terms and conditions of the Deed of
partnership and such share of the retiring shall be paid off out of the assets of
the partnership firm three months from the termination of the share of the
outgoing partner. Such retirement shall not terminate the partnership business.
12.That in case of death of any individual partner, the legal heirs of the deceased
partner may step into the shoes of the respective partner without disturbing the
partnership business and if the legal heirs of the deceased partner are not willing
to continue the partnership business, the final account of the assets and
liabilities of the firm shall be made within a period of 6 (six) months from the
date of such death and the legal heirs of the deceased partner shall be paid their
share of the partnership business in accordance with the result of such according
and after its settlement their claim in the partnership shall be ceased.
13.That Mr. Khairuddin Ahmed is elected as the Managing Partner of Ahmed Impex
Enterprises with the consent of all other partners.
