la presente operacin resulta irrevocable en los
terminos q surgen de este instrumento
el precio y la forma de pago son los siguientes:
en este acto la comprad entrega la suma de dolares xx

en concepto de sea de compra de la mercaderia
descripta
y el saldo de precio, es decir, dolares xx, sera
entregado por esta a la vend en el domic pactado
el precio total establecido en este contrato incluye
y cualesquiera otros tributos fiscales previstos al

en cambio, no incluye cualquier otro impuesto, tasa,
etc que se creara a partir de la fecha
ni los incrementos de impuestos o tasas ya existentes
que resultaran legalmente aplicables

todas las cantidades que deban ser entregadas por la
compradora se entienden pagaderas
en el domicilio de la vendedora, en dia habil y dentro
del horario comercial pertinente
y en dolares norteamericanos dinero efectivo, o bien
en moneda argentina,
segn el quivalente de las respectivas cantidades en
dolares al tipo de
cambio vendedor del Banco de la nacion argentina al
dia del vencimiento correspondiente
o del pago de la obligacion.
ninguna de las cantidades que deba entregar la
compradora podra ser objeto de actualizacion alguna,
no rendira intereses e ira en cocepto de a cuenta del
precio de compra.

la vendedora se obliga, dentro del plazo estimativo de

a realizar toda la actividad a su cargo tendiente a que
las especies adquiridas por la comp
sean entregadas a esta antes del mmm y, salvo caso
fortuito o fuerza mayor,
queda asumido el deber de la vend de entregar dicha
especie
dentro de los periodos de tiempo preindicados.
Cualquier averia o dao menor que presentaran las
especies al momento de la entrega al comp
que no fuere cubierto por el seguro quedara a cargo de
la vend;
pero en ningun caso y bajo ningun pretexto podra la
compradora suspender los pagos
o negarse al retiro de la especie en cuestion en el
momento pactado.
Dentro de los xx dias de la fecha, la vend informara a
la compr sobre el embarque
de la merc adquirida y las fechas de llegada al puerto
de bsas previstas.
Asimismo, la vend informara sobre la existencia de
seguros, compaa aseguradora, primas, etc
Una vez en condiciones de entrega las especies a la
compr, la vend le notificara esta circunstancia
por medio fehaciente y, a partir de ese momento,
aquella contara con 72 horas corridas
para retirarlas de donde indique la vend, asi cm para
pagar el saldo del precio acordado;
la comp no podra, por ninguna razon, postergar esta
obligacion o dilatar la recepcion de la
especie correspondiente, y sera responsable de los
daos q pudiere originar
cualquier demora en la efectivizacion de los saldos del
precio y en la recepcion de la merc.
La presente operacin y el presente contrato son
personales e intransferibles.
Cuando por causas de su incumbencia la comp deseara
transferirlo, debera solicitar
autorizacion expresa y escrita de xx;
para acordar la autorizacion de transferencia, la vend
podra exigir q las oblig a cargo de la comp
sean afianzadas por el adquirente originario. Si la comp
transfiriera sin autorizacion,
se operara automaticamente la rescision del contrato
por culpa de la comp,
las sumas entregadas quedaran a beneficio de la vend
como clausula penal,
y ni el adquirente originario, ni aquel a quien el
contrato fuere transferido

tendran derecho a las especies o al reintegro de sumas

Las partes dejan fijados sus respectivos domicilios
donde se indica ut supra,
renuncian a todo otro fuero o jurisdiccion y se someten
a la competencia ordinaria
de los tribunales civiles y comerciales de la cap
federal.
Garantia especial de la vendedora
Cm garantia especial del cumplimiento del prensente,
la vend asume la responsabilidad de depositaria de
todas las sumas recibidas de la comp
en virtud de este contrato hasta el momento de quedar
las especies adquiridas
a disposicion de esta.
Se firman xx ejemplares de igual tenor y efecto,
y cada parte recibe el suyo de conformidad y para fiel
cumplimiento;
queda entendido que la firma puesta al pie por la vend

Clausula aclaratoria general
En todo cuanto correspondiere a los fines de la ley
argentina y a los efectos impositivos,
las cantidades expresadas en dolares norteamericanos
deberan entenderse trasladadas
a la moneda argentina segn la cotizacion vendedora
del banco de la nac arg
del dia respectivo.

within an approximate term of xx, seller herein binds

inevitable accident,

payment of balance or delay
removal of goods; in any of such cases, he shall be held

for any injury his delay may cause.
This contract and the transaction herein made are personal
and non-transferable.
In the event that buyer wishes to assign these presents
due to reasons concerning himself,
he shall ask for express consent of xx in writing;
