CONSTITUTION AND BY-LAWS

OF THE
POBLACION ESPERANZA, SENIOR CITIZENS ASSOCIATION
PREAMBLE
We, the officers and members of the Poblacion Esperanza Citizens Association, in order
to established a union that shall express our desire and interest to promote the general welfare
through active participation in spiritual, morale, cultural, economic and educational endeavor,
seek assistance and favor we deserve, and secure for ourselves the heavenly blessings to
invigorate our source ordain and promulgate this Constitution and By-laws.
Article I
NAME, OFFICE AND OBJECTIVES
Section 1. Name. This association will be known as the Poblacion Esperanza Senior
Citizens Association adopting an acronym PESCA for short, and a member of which is called
Senior Citizen.
Section 2. Office. The office of this association is located within the municipal campus of
the Poblacion Esperanza, Sultan Kudarat.
Section 3. General Purposed. Consonant to Republic Act No. 9994 known as an Act to
Maximize the Contribution of Senior Citizens to Nation Building, Grant Benefits and Special
Privileges and for other purposes, this association will have the following general purposes:
a.) Established mechanisms whereby the contributions of Senior Citizens in nation
building are maximized;
b.) Adopt measures whereby our Senior Citizens are assisted and appreciated in the
community as a whole;
c.) Established a program beneficial to the Senior Citizens, their families, and the rest of
the community that they serve.
Section 4. Specific Purposes. In line with the general purposes, the following are the
specific purposes:
a.) Render services to the community as tutors and consultants;
b.) Teach and demonstrate hobbies and income-generating skills;
c.) Lectures in specialized fields like agriculture, health and environmental protection;
d.) Transfer and re-echo to younger generation new skills and scientific techniques by
virtue of their experiences;
e.) Facilitate spiritual, moral, cultural. Social, economic and educational needs of the
members;
f.) Facilitate economic activities in livelihood projects to be self-reliant and selfsufficient and other assistance and favor;
g.) Encourage every member to maintain propriety, cordial relationship and harmonious
coexistence among its members.
Article II
MEMBERSHIP
Section 1. Members. Members of this association will be residents of the municipality of
Esperanza and nearby municipalities, at least sixty (60) years old, including those who have
retired from both government service and private enterprises and have an income of not more
than Sixty thousand pesos (60,000.00) per annum subject to review by the National Economic
Development Authority (NEDA) every three (3) years, as defined in Section 2 of Republic Act
No. 9994.
Section 2. Membership. Membership to this association is open to all qualified age group
in the municipality of Esperanza and other localities like Kauran, LAbu-labu, Kamasi, Talisawa
without restrictions as to sex, religion, educational attainment or political and tribal affiliation
and upon filing of application for membership and upon payment of required fees.

Article III
OFFICERS
Section 1. Officers of the Association. The officers of this association will be a president,
a vice president, a secretary, a treasurer, and auditor, a press relation officer and a social manager
who will serve voluntarily and without compensation, except expenses be refunded and financial
consideration to far distances.
Section 2. Duties of the officers of the association are:
1. The President:
a.) To preside over all meetings of the association;
b.) To represent the association in all contracts and activities to which it is partly;
c.) To sign disbursement vouchers of the association and order payments;
d.) To prepare a bi-yearly program and activities for the association based on
recommendations submitted by the Project Development Committee, the
Finance Committee and the Social Manager;
e.) To prepare an annual report as regards to the operation of the association;
f.) To appoint his secretary from among the members.
2. The Vice President:
a.) To take the place of the president when the former is absent on incapacitated;
and
b.) To assist the president in the day-by-day operation of the association.
3. The Secretary:
a.) To record and keep the minutes of the meetings of the association and that of the
Board and other meetings;
b.) To assist the Municipal Social Welfare and Development Esperanza, Sultan
Kudarat in sending notices of the meetings;
c.) To keep the book and records of the association and that of the Board;
d.) To attend to all correspondences as may be assigned to him/ her;
e.) To perform other duties and delegated to him/her by the Board.
4. The Treasurer:
a.) To take charge of the funds of the association;
b.) To deposit the funds of the association in a reputable bank or with the municipal
treasurer of Esperanza, Sultan Kudarat;
c.) To chairman the Financial Management Committee;
d.) To keep up-to-date financial records of the association and open them for
scrutiny or inspection to any member of the association;
e.) To release funds for disbursements upon approval by the president of the
association.
5. The Auditor:
a.) To implement policies on audit and inventory as approved by the Board;
b.) To make a report to the president of the findings after auditing the financial
status of the association;
c.) To chairman the Audit and Inventory Committee.
6. The Press Relations Officer:
a.) To publish the doings and performance of the association, members, or group as
encouragement for action;
b.) To take charge of the information dissemination of the activities of the
association.
7. The Social Manager:
a.) To manage the social, cultural and income-generating activities of the
association.
Section 3. Term of Office: All officers of the association, including the Board of
Directors and the standing committee personnel will hold office for only one (1) year with
reelection.
Section 4. of Electing Officers. The officers of the association will be elected by secret
balloting Election will be done every three (3) years. If the last Monday falls on Christmas Day,

the election will be held on the following day. The new set of officers will resume office on the
second day following the election having been inducted into office.
Article IV
BOARD OF DIRECTORS
Section 1. Board of Directors: There will be fifteen (15) members of the Board of
Directors. The seven (7) officers of the association plus eight (8) others to be elected from among
the members of the association will constituted the Board of Directors to be chairmaned by the
association president.
Section 2. Qualifications of the Board of Directors: A member of the Board of Director
will have the following qualifications:
a.) He is a member or officer of good standing in the association:
b.) He is willing to perform the duties of the office;
Section 3. Authority of the Board of Directors: The Board of Directors will have the
entire charge of the affairs and properties of the association and of the over-all management of its
activities and operation. Specifically the Board of Directors will have the following powers:
a.) Promulgate reasonable rules, regulations and policies not inconsistent with law, for
the guidance of officers, employees and members of the association:
b.) Decide on the matters of fees, fines, penalties and other dues.
Article V
MEETINGS
Section 1. Regular Meetings: The association will have its regular meeting on every 2nd
Thursday of each month to be attended by all members of the association. There shall always be
a quorum in every meeting of the Board or of the association
Section 2. Special Meetings: A special meeting shall be called for through the secretary or
the Municipal Social Welfare and Development, Esperanza, Sultan Kudarat when the needs
arise. Written notice of these meetings is necessary and will be sent to all members at least five
(5) days before the holding of such meeting.
Section 3. Board Meeting: The Board of Directors will have its regular meeting every

1 Thursday of each month to prepare agenda for the regular meeting of the association and
for other important matters.
Article VI
STANDING COMMITTEES AND FUNCTIONS
Section 1. Standing Committees. There will be three (3) standing committees in the
association: (1) Project Development Committee, (2) Financial Management Committee, and
(3) Audit and Inventory Committee.
Section 2. Project Development Committee. This committee shall have a chairman who is
the Social Manager of the association and two (2) members to be appointed by the board, to
which it is directly responsible. It shall meet as often as necessary to: (1) plan and identify
programs for the development of the association and submit the same to the Board for approval
and (2) manage the fund raising campaign and income-generating projects.
Section 3. Financial Management Committee. This committee shall be chairman by the
treasurer of the association with two (2) members to be appointed by the Board, to which it is
directly responsible. This committee shall: (1) take charge of the canvassing and procuring
needed materials for the project of the association, (2) prepare a financial and business plans and
submit such to the Board for approval, and (3) render periodic report to the Board.
Section 4. Audit and Inventory Committee. This committee shall be chairman by the
auditor of the association with two (2) members to be appointed by the Board, to which it is
directly responsible. It shall meet as often as necessary to : (1) see wiether the association book
of accounts has been timely audited, and (2) make an inventory of all the assets and liabilities of
the association to be reported during the general assembly meeting.

Article VII
AMANDMENTS
Section 1. Amendments. This constitution and By-Laws of the Poblacion Esperanza
Senior Citizens Associations of Eight (8) Articles with five (5) pages may be amended, altered or
repealed wholly or in part by two thirds (2/3) votes of the members present in the general
assembly meeting of the association.
Section 2. All motions, or resolutions previously approved by the Board of Directors or
by the general membership contrary to or inconsistent with the provisions of this Constitution
and By-Laws shall be deemed null and void.
Article VIII
EFFECTIVITY
Section 1. Effectivity. This Constitution and By-Laws of the Poblacion of Esperanza
Senior Citizens Association shall take effect upon adoption by the general assembly.
BY-LAWS
Section 1. Oder of business. The association shall observe the following order of business
in conducting a meeting:
a. Call to Order
b. Roll Call
c. Reading of the minutes of the last previous meeting and the approval
d. Reports of the standing committees
e. Unfinished business (if any)
f. New business
g. Adjournment
Section 2.Quorum Rule. There shall always be a quorum in every meeting of the
association or of the Board. A quorum consists of one-half or more of the membership.
Section 3. In order to become a member of the Poblacion Esperanza Senior Citizen
Association, one shall have to pay the following:
a.) The PESCA Membership fee of Ten Pesos ( 10.00)

b.) The annual fees of Forty Pesos (40.00) to be distributed as follows:

d.) The above-mentioned fees shall amount to 250.00
Section 4. Suspension of Membership. Any member may be suspended by the Board of
Directors on the following grounds:
a.) Willful failure to attend the monthly meetings for five (5) consecutive times without
justifiable reasons;
b.) Attempted, frustrated and/ or consummated act injurious, inimical, or prejudicial to
the interest of the association;
c.) Willful failure to pay services and other monetary contribution that have been
sanctioned by the members of the Board; and deliberate negligence of his duties as
a member and violation of the provisions of the constitution and By-laws and as
such other rules and regulations that may be promulgated by the Board.
Section 5. Occurrence. Suspension shall occur after all or any of the above-mentioned
Grounds shall have been decided by the Board.

Section 6. Termination. Any member may be terminated by the Board on the following
grounds:
a.) Continues failure to comply with the provisions of number of by Laws of the
Constitution;
b.) Death, disability and change of residence outside the municipality of Esperanza.
Section 7. Use and Disposition of Funds: The funds of the association shall be utilized to:
a.) Pay the amortization of the loans and to settle all the financial obligations of the
association;
b.) Pay for such other expenses incurred by the association including conduct of its
activities;
c.) Pay the operation and maintenance of its equipment and facilities.
Section 8. Deposit and Widrawals of Association Funds. Funds of the association shall be
deposited in the ONB, Esperanza, Sultan Kudarat by the association treasurer with the note of
approval from the association president and association secretary.
Section 9. Contributions. The association may raise funds for its activities through
contributions and donations from member and non-members either in the form of cash , labor or
in kind and through benefit programs considered appropriate and legal for the purpose.
Section 10. General Fund. All fines and penalties paid by the members well as donations
and fees and other monies derived from other sources shall form part of the general fund of the
association.
Section 11. Death Aid. Through the association treasurer, each members of the
association will give a financial assistance in the amount of One Hundred Pesos (100.00) to the
beneficiary of any active member who dies. This is different from the annual death aid.
Section 12. General Provisions.
a.) Documents. This constitutions and By-Laws shall be reproduced and copies be
distributed to the members. Certificate of Members shall be issued by the Office of
Senior Citizens Affairs, Poblacion Esperanza, Sultan Kudarat. Member-owner shall
attach ID picture;
b.) Seal and banner. The association shall have a rubber stamp and shall own a standard
size banner for use and display at every meeting or assembly and other occasions.
The banner shall be Federation at the top, a logo at the center and Poblacion of
Esperanza, Sultan Kudarat below.
c.) Officials Receipts. The association shall have official receipts for use in all
monetary matters.
Presented by the Committee on Constitution and By-Laws to the General Membership for
adoption on the 28th day of November 2014 at Esperanza Sultan Kudarat.
This constitution and By-Laws was revised by the general membership on the 5th day of
February 2015 in Poblacion Esperanza Sultan Kudarat.
